3 PREFACE Dear Guests of the EDS Auction, Welcome to Excellent Dressage Sales in Hooge Mierde! This year, I believe we have a fantastic collection, as it includes horses for every dressage enthusiast. We ve selected many very good young horses as well as several Small- and Big Tour competitors, including Grand Prix horses which would do well on many national teams. Personally speaking, the performances of the horses purchased at the EDS Auction in years past prove that we re doing a good job. As scouts of talented horses, we re proud of the EDS products Brother de Jeu (s. de Niro), Daula (s. Gribaldi) and Imagine (s. Dream Boy), just to name a few. Brother de Jeu is competing successfully in the Grand Prix under Antonia Ramel of Sweden, Daula is showing in the international Prix St. Georges with Daniëlle Heijkoop and Imagine excelled in the World Championships final under Bart Veeze. We re proud of these riders and their EDS horses, and we wish you similar success with your EDS purchases. I look forward to enjoying this great event with you. We re happy to personally provide you with background information on the horses, and our auction veterinarians can explain their clinical- and radiological reports. 4 6 EDS TEAM Tim Coomans Fokker en sportliefhebber met zijn eigen opfok-, handels- en africhtingsstal Tim Coomans Dutch Sport Horses. Onder andere Steffen Peters, Sjef Janssen, Gonnelien Rothenberger- Gordijn en Imke Schellekens-Bartels reden (Olympische) teampaarden, afkomstig van Tim Coomans. Ook is Tim in 2012 uitgeroepen tot beste fokker van het jaar. Enkele paarden uit de stal van Tim: Olympic Bo, Lancet, Ziësto, TC Ravel, TC Dolly, TC Athene, Great Lady TC, Hannelinde TC en Dream Boy. Tim is a breeder and dressage enthusiast. His sales and training stable Tim Coomans Dutch Sport Horses has produced numerous elite horses among them Olympic mounts, ridden by renowned equestrians including Steffen Peters, Sjef Janssen, Gonnelien Rotherberger-Gordijn and Imke Schellekens-Bartels. In 2012, Tim received the KWPN Breeder of the Year award. Notable horses from his stable include Olympic Bo, Lancet, Ziësto, TC Ravel, TC Dolly, TC Athene, Great Lady TC, Hannelinde TC and Dream Boy. Our past successes are the references for your future Joep Schellekens Groot liefhebber van paarden, werkzaam bij familiebedrijf Academy Bartels, waar hij sinds jaren verantwoordelijk is voor sales en acquisitie van paarden. Samen met echtgenote Imke Schellekens- Bartels als professional trainer vindt hij wereldwijd de perfecte combinatie van paard en ruiter. Joep is betrokken bij de carrière van Imke met o.a. Sunrise. Lancet en Toots in het Olympisch kader, waar ze meerdere individuele en teammedailles op Europese- en Wereldkampioenschappen en Olympische Spelen behaalde. Enkele paarden die vanuit Academy Bartels succesvol wereldwijd aan topruiters zijn verkocht: Lancet, Victoria, Jazz, Voice, Ziësto, Rhapsody, Barolo en Toots. A great horse enthusiast, Joep works in the family business Academy Bartels, where he has been responsible for the sales and acquisition of horses for years. Together with his wife Imke Schellekens-Bartels, a professional trainer, he matches horses perfectly with riders around the world. Joep is also involved with Imke s career, which has featured notable mounts such as the Olympic cadre horses Sunrise, Lancet and Toots. Imke s achievements with these horses include winning several individual- and team medals at the European- and World Championships as well as in the Olympics. Top riders from around the world searching for talented horses come to Academy Bartels, where past sales include Lancet, Victoria, Jazz, Voice, Ziësto, Rhapsody, Barolo and Toots. Joop van Uytert Eigenaar van internationale hengstenhouderij met eigen KI station en dressuurstal. Hengstenstation van Uytert was Hippische Ondernemer van het jaar De toppaarden van Joop van Uytert worden uitgebracht door (Olympische) ruiters en amazones, zoals Anky van Grunsven, Edward Gal en Hans-Peter Minderhoud. Enkele toppers uit zijn stal: Gribaldi, Krack C, TCN Partout, Vivaldi, Tango, United, Zhivago, Bordeaux, Ferdeaux, Eye Catcher, Estoril, Easy Game en Painted Black. Joop received the Dutch Equestrian Entrepreneur of the Year award in He is the owner and director of his stud farm in Heerewaarden, near s -Hertogenbosch, where he has produced many approved stallions. His top horses compete or have competed under talented riders, among them the Olympians Anky van Grunsven, Edward Gal and Hans-Peter Minderhoud. Eugène Reesink Eigenaar van Reesink Horses, een paardenman in hart en nieren en succesvol in het (op-)fokken van jonge talentvolle hengsten. Door de jaren heen heeft hij een groot netwerk van vele goede fokkers in binnen- en buitenland opgebouwd waar hij regelmatig zaken mee doet. Hij bepaalt daarom mede het aan- en verkoopbeleid en geeft fokadviezen. Hij stond aan de wieg van onder andere Florencio, Franziskus, Don Juan de Hus, Spielberg, Schumacher, Florenciano, Vitalis, Ampère en Charmeur, en meer recentelijk Valverde, Asgards Ibiza en De Beau. Owner of Reesink Horses, a true horse man and successful in (re) breeding young talented stallions. Over the years, he has built a large network of many good breeders in The Netherlands and abroad with whom he regularly does business. He also provides breeding advice and determines the sales policy. Eugène is known for several successful horses, like Florencio, Franziskus, Don Juan de Hus, Spielberg, Schumacher, Florenciano, Vitalis, Ampère en Charmeur, and more recent Valverde, Asgards Ibiza en De Beau. Echtgenote Madeleine Witte boekt momenteel veel succes met haar huidige toppaarden Charmeur en Cennin. Met laatst genoemde was ze eerste reserve voor de OS in Rio 2016 en tijdens de World Cup Final 2017 behaalde ze een eervolle vijfde plaats. Momenteel staat ze met Cennin op de 22 e plaats van de World Ranking. Nico is the owner of Stal Witte BV, which specializes in raising foals, buying/selling horses and training. He has an eye for spotting young talent, examples of which include Jazz, Bretton Woods, Charmeur, Wynton, Vontango, Cennin, Ampére, Franklin, Grand Galaxy and Daily Daimond. Nico s wife Madeleine Witte is experiencing great success with her current top horses: Charmeur and Cennin. With Cennin, she was appointed first reserve for the 2016 Olympics in Rio; and in 2017, the duo finished an honorable fifth place in the World Cup Final. Madeleine and Cennin are currently 22th in the World Ranking. 7

10 BIJZONDERE BEPALINGEN SPECIAL CONDITIONS Bieden via telefoon Wanneer u niet aanwezig kunt zijn bij de veiling maar u hebt wel interesse om een paard te kopen in de veiling, dan kunt u telefonisch bieden. Hier wordt een waarborg van 5.000,- voor gevraagd. Hiervoor dient u zich vooraf aan te melden bij de organisatie op het telefoonnummer + 31 (0) of per info@excellentdressagesales.com. Live stream ClipMyHorse verzorgt de livestream tijdens de presentatie op 27 maart en de veiling op 30 maart. Via zijn de presentatie en de veiling live te volgen. Stokmaten De stokmaten van de paarden worden als volgt weergegeven: S: tot 1.62m M: 1.63m 1.66m L: 1.67m 1.70m XL: 1.71m > Uitproberen Wanneer u geïnteresseerd bent in één of meerdere veilingpaarden, dan kunt u een afspraak maken met de organisatie om de paarden te bezichtigen en uit te proberen onder het zadel. Een week voorafgaand aan de veiling kunt u de paarden proberen op de veilinglocatie, daarvoor is het mogelijk om de paarden te rijden op de thuisbasis van het betreffende paard. Het rijden van de paarden geschiedt geheel op eigen risico. Veilingvolgorde De volgorde van de catalogus wijkt af van de veilingvolgorde. De officiële veilingvolgorde wordt bekend gemaakt voor aanvang van de veiling op 30 maart Veilingvoorwaarden Achter in de catalogus zijn de complete veilingvoorwaarden opgenomen. In geval van een geschil prevaleert de Nederlandse versie. De Engelse versie is slechts een toelichting op de Nederlandse. Veterinaire rapporten Alle paarden zijn drie maanden voorafgaand aan de veiling röntgenologisch of klinisch onderzocht. De rapporten en röntgenfoto s liggen vanaf heden ter inzage op het kantoor van Excellent Dressage Sales. Vanuit de organisatie is tijdens de veilingdagen een dierenarts aanwezig om desgewenst toelichting te geven op de foto s. Indien u eerder toelichting op de rapporten en röntgenfoto s wenst kunt u telefonisch contact opnemen met de organisatie, deze zal u in contact brengen met een van de dierenartsen. Verzekering Tijdens Excellent Dressage Sales is Xcellent Horse Insurance aanwezig om u de mogelijkheid te bieden om na de veiling uw paard te verzekeren. U heeft daarbij de keuze uit verschillende verzekeringen. Indien u op voorhand informatie wenst dan kunt u deze opvragen bij de organisatie. Zij kunnen u informeren over de verschillende mogelijkheden. Bidding by telephone For those who cannot attend the auction it is possible to bid by telephone. A guarantee of 5.000,- is requested. If you wish to do so in the week prior to the auction all horses will be based at the venue. Please note: trial rides are entirely at your own risk. Auction order The horses will be shown in a different order to that in the catalogue. In cases of dispute only the Dutch version is binding; the English version is only meant as an explanation of the Dutch version. Veterinary report In the three months before the auction all horse will be X-rayed and clinically examined. The veterinary reports as well as the x-rays will be available for public inspection in the auctioneer s office during the auction period. The organizations veterinarian will be present to supply explanations. If you require information on x-rays and/or veterinary reports earlier than the auction period this can be arranged by contacting the organisation on info@excellentdressagesales.com. 15 PGS 1 Ali B All at Once - Laudablis 2014 A combination of elegance and grace A handsome and athletic sporthorse: those words describe this appealing gelding named Ali B, an offspring of the young sire All at Once. This reserve champion of Westfalen competes in the Small Tour and boasts very interesting breeding, with the top stallions Ampère, Gribaldi and Jazz in his pedigree. Ali B is very likeable and has good trainability. He also possesses a remarkably good walk, which impresses with its abundant power and rhythm. 16 MEDIUM 2 Just 4U All at Once - Stedinger 2014 A talent with international bloodlines Just 4U definitely inherited his looks from his sire All at Once. A blood-type black gelding, Just 4U showcases effortless movement a quality which earned him a place in the Pavo Cup semi-final as a four-year-old. Due in part to his good trainability, Just 4U has already earned scores greater than 70% at the national level. All at Once is not only a sensation in the dressage ring but also a producer of beautiful offspring with good movement. Furthermore, the pedigree of this Westfalen reserve champion unites almost all the foundation sires of the Dutch dressage horse. Just 4U s dam also produced the Z-level horse Hype (s. 17 MEDIUM 3 Hivemmie Apache - Ferro 2012 Suppleness with super strong gaits Without a doubt, this elite mare named Hivemmie takes after her sire Apache. She has obviously inherited his looks, a fact which was also noted at the inspection and earned her a score of 8 for conformation. Hivemmie also scored an 8 for her trot. Under saddle, she turns heads with her powerful movement and boasts excellent trainability. Hivemmie s dam-line features an impressive list of proven sporthorses. 18 PSG 4 Zypriano Blue Hors Zack - Duntroon 2011 Impressive with a impeccable character Few horses possess a canter as good as this handsome horse named Zypriano. Uphill, carried and perfectly through, he does it all. Furthermore, Zypriano is extremely comfortable to ride and very willing. The chestnut s sire is the elite stallion Blue Hors Zack, who is not only among the best horses in the sport but also a more than remarkable breeding stallion. 19 5 Bobby McGee Borsalino - De Niro 2016 A stallion with rights In 2014, Bobby McGee s sire Borsalino emerged the convincing champion of the Westfalen stallion selection. Borsalino also demonstrated his talent under saddle and won the sport test. Since then, his offspring have turned heads with their good conformation and lovely movement. Bobby McGee s dam-line features the coveted blood of the elite sire De Niro. An attractive horse, Bobby McGee was invited to the main Westfalen inspection. He moves effortlessly through the arena, demonstrating abundant suppleness and beautiful front end movement. 20 ADVANCED 6 Haciëndo Bretton Woods - Kansas C 2012 A fabulous dispostion A handsome gelding with correct movement: that s Haciëndo. He performs the changes with ease, shows abundant bend in the half-passes and features a trot with abundant push. At age five, Haciëndo placed in the top 15 in the Pavo Cup final. Currently, he is a very successful ZZ-light level competitor, having already achieved several good scores. His sire is Bretton Woods, and his dam s side includes the stallions Kansas C and Welt Hit II. Haciëndo is definitely a promising dressage horse! 21 MEDIUM 7 Gyon Charmeur - Jet Set-D 2011 A dream to dance with As a three-year-old, Gyon finished fourth in the stallion selection championship at s-hertogenbosch. Thereafter, he easily earned his KWPN breeding license, impressing the selection committee with his willingness to work and outstanding canter. For carriage, balance, rideability, trainability and talent for dressage, he scored all 8 s. Since then, Gyon has been gelded for the purpose of focusing solely on the sport. He is classified at the Z2 level in which he has achieved good scores. Gyon is a product of the Charmeur x Jet Set-D combination. His dam Pandora competed at the Small Tour level. 22 ADVANCED 8 Guinevere Charmeur - Ronaldo 2011 The best for sport and breeding Guinevere features good conformation and interesting bloodlines. Her granddam is the renowned mare Dolly, an Ulster offspring. Dolly is a two-time National Mare Show champion and the dam of the Olympic horse Just Micky (s. Michelangelo). Several of her offspring compete at the Z-level or higher. Guinevere is classified at the ZZ-light level and therefore holds the sport predicate. Her entire dam-line is very predicate rich, with three consecutive dams carrying the preferent predicate thanks to the good performances of their offspring. 58 VOORWAARDEN EDS CONDITIONS EDS VEILINGVOORWAARDEN EDS-VEILING 2019 ALGEMEEN 1. Deze Veilingvoorwaarden (hierna: Veilingvoorwaarden ) zijn van toepassing op de rechtsverhoudingen tussen de besloten vennootschap Excellent Dressage Sales B.V. (hierna: EDS ) en deelnemers aan de door EDS georganiseerde veiling op zaterdag 30 maart 2019 te Hooge Mierde ( Veiling ) van paarden. Degene die tijdens de Veiling op (een) paard(en) biedt (hierna: Bieder / Koper ) wordt geacht de toepasselijkheid van deze Veilingvoorwaarden te hebben aanvaard. Toepasselijkheid van andere algemene voorwaarden is uitgesloten. 2. EDS organiseert en faciliteert de Veiling en veilt de paarden in opdracht van een verkoper ( Verkoper ). 3. Koper is degene die het bod tijdens de Veiling uitbrengt dat door EDS in opdracht van Verkoper als hoogste bod wordt aanvaard en aan wie het ter Veiling aangeboden paard van Verkoper wordt gegund. Tussen Koper en Verkoper komt een koopovereenkomst ( Koopovereenkomst ) tot stand op het moment dat EDS een bod van Bieder/Koper als hoogste bod aanvaardt ( Afslagbedrag ) en het geveilde paard aan die Bieder/Koper is gegund. Gunning vindt plaats op het moment van ondertekening van de volledig ingevulde Verklaring Koopovereenkomst door Bieder/Koper direct na afloop van de Veiling. 4. Alle bedingen in deze Veilingvoorwaarden zijn mede gemaakt ten behoeve van al degenen die voor, ten behoeve van en/of namens EDS werkzaam zijn of waren. Zij kunnen op de bepalingen van deze Veilingvoorwaarden rechtstreeks een beroep doen, als waren zij zelf EDS. 5. Alle bedragen genoemd in deze Veilingvoorwaarden zijn exclusief BTW, tenzij uitdrukkelijk anders vermeld. DE VEILING 6. De Veiling vindt plaats onder leiding van een door EDS aangestelde veilingmeester en onder toezicht van een notaris. EDS bepaalt de orde en de volgorde van de Veiling. 7. De ter Veiling aangeboden paarden worden voetstoots geveild/verkocht zonder actie of refactie, in de staat waarin zij zich bij gunning bevinden, zonder aansprakelijkheid van EDS verband houdende met de waarde, de staat en/of de hoedanigheid van geveilde paarden. Het risico van verlies van en/of van schade aan en/of van schade veroorzaakt door het geveilde/ gekochte paard berust bij Bieder/Koper vanaf het moment van totstandkoming Koopovereenkomst. 8. Bieder/Koper biedt voor eigen rekening en risico en is aan zijn bod gehouden totdat een hoger bod is geaccepteerd. These Auction terms and conditions (hereafter: Auction Terms and Conditions ) apply to all legal relationships between the private limited liability company Excellent Dressage Sales B.V. (hereafter: EDS ) and the parties participating in the by EDS organised auction of horses in Hooge Mierde ( Auction ) on Saturday March 30th Those who bid on (a) horse(s) during the Auction (hereafter: Bidder / Buyer ) is deemed to have accepted the applicability of these Auction Terms and Conditions. The applicability of general terms and conditions other than these Auction Terms and Conditions is expressly excluded. 2. EDS organises and facilitates the Auction and auctions the horses as commissioned by a vendor ( Vendor ). 3. Buyer is the party that makes the bid during the Auction that is excepted by EDS on instruction of the Vendor as the highest bid and to which the Vendor s horse offered for auction is allotted. A Purchase Agreement ( Purchase Agreement ) is concluded between the Vendor and Buyer at the moment EDS accepts a bid made by the Bidder/Buyer as the highest bid ( Exit Amount ) and the auction horse is allotted to that Bidder/Buyer. Allotment takes place at the moment the fully completed Purchase Agreement Declaration is signed by the Bidder/Buyer immediately following the auction. 4. All clauses in these Auction Terms and Conditions are also stipulated for all persons who work or have worked for, on behalf of and/or in the name of EDS. These persons may directly invoke the provisions in these Auction Terms and Conditions as if themselves were EDS. 5. All amounts stated in the Auction Terms and Conditions exclude VAT, unless explicitly stated otherwise. AUCTION 6. The Auction takes place under supervision of an auctioneer appointed by EDS and a civil-law notary. EDS determines the order and the sequence of the auction. 7. The horses offered for Auction will be put of for auction/sold outright, without proceedings or recompense, in the state in which they are allotted, without any liability on the part of EDS in connection with the value, condition and/or quality of the auctioned horses. The risk of loss of and/or damage to and/or damage caused by the auctioned/purchased horse rests with the Bidder/Buyer from the moment the Purchase Agreement is concluded. 8. Bidder/Buyer bids at his/her own risk and account and is committed to his/her bid until a higher bid has been accepted. 9. EDS stelt de veilingcatalogus zo zorgvuldig mogelijk samen. De informatie in de veilingcatalogus is erop gericht een indruk te geven van de kwaliteit van de ter Veiling aangeboden paarden, zonder dat EDS hiermee volledigheid betracht en zonder dat daaraan rechten kunnen worden ontleend. 12. De ter Veiling aangeboden paarden zijn veterinair klinisch onderzocht. De laatste klinische inspectie vindt plaats op de dag voorafgaand aan de Veiling. Van het veterinair klinische onderzoek wordt een veterinair rapport volgens KNMvD-normen opgemaakt, hetgeen op de dag van de Veiling kan worden ingezien, of zoveel eerder als beschikbaar. 13. De ter Veiling aangeboden rijpaarden zijn röntgenologisch onderzocht aan rug en hals en voor de kenmerken straalbeen beide voorbenen, osteochondrose kniegewricht beide achterbenen, osteochondrose spronggewricht beide achterbenen, osteochondrose kogel alle benen, en kogelarthrose beide voorbenen, sesambeentjes beide voorbenen, spronggewricht-spat beide achterbenen en nevenbevindingen. De röntgenbeelden voldoen kwalitatief aan de criteria van het meest recente reglement keuringsdierenarts voor paarden, van de KNMvD. De röntgenbeelden zijn binnen drie maanden voorafgaand aan de Veiling gemaakt. De röntgenbeelden en een afschrift van het op basis daarvan opgemaakte veterinair rapport kunnen op verzoek worden ingezien tot aanvang van de Veiling. 14. De inhoud van de genoemde veterinaire rapportages is bindend voor EDS, voor Verkoper en voor Bieder/Koper. 15. Voorafgaand aan de Veiling en/of op de dag van de Veiling zijn de ter Veiling aangeboden paarden te bezichtigen op een nader door EDS aan te geven tijdstip en locatie. AFSLAGBEDRAG, OPGELD, KOOPSOM, BETALINGSVERPLICHTINGEN KOPER 16. Koper dient direct na afloop en op dezelfde dag van de Veiling de Koopsom in Euro s aan EDS te betalen door overmaking op het bankrekeningnummer ten name van EDS, zonder enige korting of verrekening. De Koopsom wordt als volgt berekend: het Afslagbedrag wordt vermeerderd met een bedrag gelijk aan 7% van het Afslagbedrag ( Opgeld ), een en ander te vermeerderen met het van toepassing zijnde BTW tarief. Het 9. EDS cannot guarantee that the Vendor can transfer the title of ownership of the auctioned horse to the Bidder/Buyer that is free and unencumbered, and EDS is not liable for any losses or damages that are related to this. 10. As long as EDS has not received payment in full from Bidder/Buyer, also under any other Purchase Agreements, the Vendor remains owner of the horse. Until such time EDS has a right of retention over the horse. Exclusively after receiving of written permission of EDS, the Vendor is authorised to deliver the auctioned horse to Buyer. INFORMATION 11. EDS devises the catalogue as carefully as possible. The information in the auction catalogue is intended to provide an impression of the quality of the horses offered for Auction, without EDS trying to achieve completeness and without conferring any rights. 12. The horses offered for Auction have been clinically examined. The final clinical examination takes place on the day prior to the day of the Auction. A veterinary report is composed of the clinical examination in accordance with KNMvD-standards, which can be inspected on the day of the Auction or as soon as available. 13. The horses Auction for Auction have been examined radiographically. This includes a radiographic examination of the back and neck and of the radius in both front legs, for osteochondritis in the knee joints in both hind legs, for osteochondritis in the hock in both hind legs, for osteochondritis in the fetlock in all legs and for arthritis in the fetlock joint in both front legs, of the sesamoid bones in both front legs, for blood-spavin in both hind legs and secondary findings. The quality of the X-ray images meets the criteria set in the most recent regulation on veterinary examinations of horses provided by the KNMvD. The X-ray images have been produced within a period of three months prior to the Auction. The X-ray images and a copy of the veterinary report written on the basis of these images, can be inspected on request up to the start of the Auction. 14. The content of the aforementioned veterinary reports is binding for EDS, for Vendor and for Bidder/Buyer. 15. Prior to the Auction and/or on the day of the Auction the horses being offered for auction can be inspected at a time and location to be specified by EDS. EXIT AMOUNT, BUYER S PREMIUM, PURCHASE PRICE, BUYER S PAYMENT OBLIGATIONS 16. Immediately following the Auction and at the same day, Buyer will pay the Purchase Prise to EDS in euros via bank transfer to the account number in the name of EDS, with no discount or setoff being applied. The Purchase Prise will be calculated as follows: the Exit Amount is increased with an amount equal to 7% of the Exit Amount ( Buyer s Premium ), plus the applicable VAT rate. The VAT rate can depend

Bij gebreke aan tijdige betaling van de Koopsom is Bieder/Koper in verzuim en heeft EDS het recht het paard onmiddellijk onderhands te verkopen, waarbij het bod van de oorspronkelijke Bieder/Koper niet meer geldt. Bieder/Koper heeft nimmer recht op een meeropbrengst bij onderhandse verkoop en blijft gehouden de minderopbrengst aan EDS te vergoeden. EDS heeft dan voorts de bevoegdheid zonder ingebrekestelling namens Verkoper en zonder Verkopers toestemming de Koopovereenkomst als ontbonden te beschouwen zonder dat Bieder/Koper een recht op (schade)vergoeding(en) toekomt. In geval van verzuim van Koper heeft EDS een retentierecht op het paard, is Bieder/Koper aan EDS administratiekosten verschuldigd ter hoogte van 6% van de Afslagbedrag en is Bieder/Koper alle (buiten)gerechtelijke kosten gemoeid met incasso van EDS vordering op Bieder/Koper, met een minimum van 1.000,--, aan EDS verschuldigd. Koper komt geen recht op verrekening toe. UITSLUITING EN BEPERKING AANSPRAKELIJKHEID EDS 18. EDS is niet aansprakelijk voor schade veroorzaakt door verstrekking van onjuiste en/of onvolledige informatie, ongeacht aard en omvang van die schade en van die informatie en ongeacht de herkomst van die informatie. on the capacity/nationality of the Vendor, Buyer and on applicable regulations. 17. In the event of a failure of timely payment of the Purchase Price, Bidder/Buyer will be in default and EDS will have the right to privately sell the horse forthwith; whereby the bid of the original Bidder/Buyer is no longer applicable. Bidder/Buyer is never entitled to any additional profit from this private sale and continues to be obligated to pay the difference in case of less profit to EDS. EDS will be authorised, with no notice of default on behalf of nor consent from the Vendor being required, to consider the Purchase Agreement to have been dissolved, without Bidder/Buyer being entitled to any (damage) compensation. If Buyer is in default, EDS will have the right of retention of the horse; Bidder/Buyer will owe EDS administration fees equal to 6% of the Exit Amount and Bidder/Buyer will owe EDS any (extra)judicial costs involved in collecting EDS claims against Bidder/Buyer, subject to a minimum amount of 1,000. Buyer has no right to any setoff. EXCLUSION AND LIMITATION OF EDS S LIABILITY 18. EDS is not liable for any loss caused by incorrect and/or incomplete information being provided, regardless of the nature and score of this loss and of the information and regardless of the source of this information. 25. Indien ter zake van de overgang van geveilde paarden naar een andere lidstaat van de Europese Unie op verzoek van de Bieder/Koper wordt gefactureerd met het BTW-nultarief, verplicht de Bieder/Koper zich alle daartoe noodzakelijke voorwaarden te vervullen teneinde een rechtsgeldige intracommunautaire transactie te verwezenlijken. 26. Indien toepassing van het BTW-nultarief door welke omstandigheid dan ook (achteraf) niet mogelijk blijkt, is de Bieder/Koper op dat moment alsnog een bedrag verschuldigd ter grootte van het bedrag dat verschuldigd zou zijn indien sprake is van een binnenlandse levering van het desbetreffende paard. Op verzoek van EDS is de Bieder/Koper echter verplicht vorenbedoeld bedrag onmiddellijk aan EDS te voldoen. Alsdan zal terugbetaling daarvan eerst en slechts plaatsvinden indien de Bieder/Koper naar genoegen van EDS aan de voorwaarden sub 25 heeft voldaan. De Bieder/ Koper is aansprakelijk en vrijwaart EDS in ieder geval voor alle schade die voortvloeit uit het niet voldoen aan de voorwaarden sub 25. Daarnaast is de Bieder/Koper aansprakelijk voor alle (buiten)gerechtelijke kosten die EDS maakt, met een minimumbedrag van 1.000, Per paard wordt voorafgaand aan de Veiling kenbaar gemaakt onder welk BTW regiem het betreffende paard wordt geveild. GESCHILLEN EN TOEPASSELIJK RECHT 25. If, when an auctioned horse goes to another EU member state at the request of the Bidder/Buyer the VAT on the invoice is itemised as zero, the Bidder/Buyer undertakes to fulfil the conditions laid down with respect to this with a view to realising a legally valid intra-community transaction. 26. If it emerges (afterwards) that the application of the zero VAT rate is not possible due to any circumstances, the Bidder/Buyer will at that time be liable to pay an amount equal to the amount that would be payable if the auctioned horse in question were to be delivered within the Netherlands. However, at the request of EDS the Bidder/ Buyer is required to pay the above amount to EDS forthwith. In that case repayment of this amount will only take place if the Bidder/ Buyer has met the conditions set out in Clause 28 to the satisfaction of EDS. The Bidder/Buyer is liable for and indemnifies EDS against, at the very least, all loss arising from failure to meet the conditions set out in Clause 28. In addition, the Bidder/Buyer is also liable for all (extra) judicial costs incurred by EDS, subject to a minimum amount of 1,000 including VAT. 27. Prior to the auction, it is announced per horse under which VAT-system the horse in question will be auctioned. DISPUTES AND APPLICABLE LAW 19. EDS is niet aansprakelijk voor schade ontstaan voorafgaand aan, tijdens en/of na afloop van de Veiling veroorzaakt door of aan personen en/of door of aan zaken en/of door of aan paarden. 20. EDS is niet aansprakelijk voor schade, direct noch indirect en ongeacht aard en omvang, als gevolg van een tekortkoming in de nakoming van een verbintenis door een derde(n). 21. Bieder/Koper is aansprakelijk voor alle schade door hemzelf veroorzaakt en vrijwaart EDS tegen iedere aanspraak van (een) derde(n), waaronder mede begrepen, maar niet beperkt tot, Verkopers en/of andere Bieders/ Kopers, verband houdende met die schade, ongeacht aard en omvang. 22. Uitsluitingen van aansprakelijkheid van EDS gelden niet in geval van aan EDS toe te rekenen opzet of grove schuld van EDS. 23. Iedere aansprakelijkheid van EDS is te allen tijde beperkt tot een bedrag van maximaal ,--. Het recht op schadevergoeding vervalt in ieder geval 12 maanden na de gebeurtenis waaruit de schade voortvloeit en waarvoor EDS aansprakelijk is, onverminderd het bepaalde in art. 6:89 BW. OMZETBELASTING 24. EDS is ondernemer voor de omzetbelasting. Wijzigingen ten aanzien van het geldende BTW-tarief kunnen aanleiding zijn voor een overeenkomstige aanpassing van de toe te passen BTW percentages. 19. EDS is not liable for loss arising prior to, during and/or after the Auction caused by or to persons and/or to property and/or to horses. 20. EDS is not liable for damage, either direct or indirect, and regardless of the nature and scope of the damage, resulting from a failure to meet an obligation by a third party or third parties. 21. Bidder/Buyer is liable for any damage caused by Bidder/Buyer and indemnifies EDS against any third-party claim or claims, including, but not limited to, Vendors and/or Bidders/Buyers, related to such damage, regardless of the nature and scope of the damage. 22. Any exclusion of liability on the part of EDS do not apply if EDS has acted with intent or is guilty of gross negligence. 23. Any liability on the part of EDS will at all times be limited to the maximum amount of 10,000. In any case, the right to damages will lapse 12 months after the incident from which the loss arises and in respect of which EDS is liable, without prejudice to the provisions in Article 6:89 of the Dutch Civil Code (BW). TURNOVER TAX 24. For the purpose of turnover tax EDS is considered as an entrepreneur. Changes in respect of the applicable VAT-rate can give rise to a proportionate adjustment to the VAT-rates to be applied. 28. Indien tijdens de Veiling een geschil ontstaat over de gang van zaken tijdens de Veiling is de veilingmeester bevoegd hierover een bindend oordeel uit te spreken en bevoegd de Veiling bij opbod voort te zetten. Indien de veilingmeester de notaris verzoekt over de gang van zaken tijdens de Veiling een oordeel te vellen, zal de notaris bindend en onherroepelijk voor alle partijen beslissen. 29. De rechtsverhoudingen tussen EDS en Verkoper, tussen EDS en Koper en tussen Verkoper en Koper worden uitsluitend beheerst door Nederlands recht, met algehele uitsluiting van het Weens Koopverdrag (CISG). Geschillen, anders dan die aan het oordeel van de veilingmeester of de notaris zijn onderworpen, zullen worden beslecht overeenkomstig het Arbitragereglement van het NAI (Nederlands Arbitrage Instituut) door één arbiter te benoemen volgens de lijstprocedure. De arbitrage vindt plaats in Utrecht. De arbitrageprocedure wordt in de Nederlandse taal gevoerd. Indien Koper een consument is, is op diens schriftelijke verzoek de Rechtbank Midden-Nederland, locatie Utrecht, bevoegd. Indien Verkoper en/of EDS een procedure aanhangig wil maken en Koper is consument, zal Verkoper/EDS gedurende een maand Koper in de gelegenheid stellen schriftelijk Kopers keuze voor NAI-arbitrage of de Rechtbank Midden-Nederland, locatie Utrecht, kenbaar te maken. In geval van een spoedeisend belang (kort geding) kan Verkoper/EDS die termijn bekorten tot vijf werkdagen. 30. De Nederlandse tekst van deze Veilingvoorwaarden is bindend. 28. If a dispute should arise during the Auction about the procedure during the Auction, the auctioneer is authorised to pronounce a binding opinion on this dispute and then to continue the increasing auction. If the auctioneer requests the civil-law notary to pronounce an opinion on the procedure during the auction, the civil-law notary will decide for all parties and this decision will be binding and irrevocable. 29. The legal relationship between EDS and Vendor, between EDS and Buyer and between Vendor and Buyer is governed exclusively by Dutch law, with full exclusion of the Vienna Sales Convention (CISG). Disputes, other than those subject to the opinion of the auctioneer or the civil-law notary, will be heard in accordance with the Arbitration Rules laid down by the Netherlands Arbitration Institute (NAI) by one arbiter to be appointed in accordance with the list procedure. The arbitral proceedings shall take place in Utrecht. The arbitral proceedings shall be conducted in the Dutch language. If Buyer is consumer, at his/her written request the district court Midden-Nederland, location Utrecht, is competent. If Vendor and/or EDS want to lay a matter before court and Buyer is consumer, Vendor/EDS will afford Buyer for a period of one month with the opportunity to make known his/her choice for NAI-arbitration or district court Midden-Nederland, location Utrecht. If cases involve an urgent interest (summary proceedings), Vendor/EDS may shorten this period to five working days. 30. The Dutch text of these Auction Terms and Conditions is binding
