Centrale probleem in business-to-business transactions Dilemma: Hoe conflict-of-interest op te lossen.?
Challenge The problem of contracting is seen as one of transforming a conflict (political) system into a cooperative (rational) one. A conflict system is one in which individuals have objectives that are not jointly consistent. It organizes through exchanges and other interactions between actors A cooperative system is one in which individuals act rationally in the name of a common objective
Conflict systems can arise through: Bounded rationality:participants would like to act rationally but fail to do this and /or Opportunism: participants try to optimize their position at the expense of others Agency Theory explains why these problems occur
Agency Theory Agency theory deals with the Agency problem ie. the problem that occurs when cooperating parties have different goals and division of labor (Eisenhardt, 1989, p. 58) One party (principal) delegates work to another party (agent), who performs that work..
The agency problem arises when: 1. The desires or goals of the principal and agent conflict (goal incongruence) 2. It is difficult or expensive to verify what the agent is actually doing (information assymmetry) 3. Parties have different attitudes towards risk and risk sharing 4. Parties suffer from moral hazard
Principal Agent Theory differentiates between two types of contracts: Behavior oriented contracts: these specify in detail the actions to be performed by the agent Output oriented contracts: these specify the output to be produced and the gains and pains to be shared from the outcome
Proposition 1: When the contract between the principal and agent is outcome based, the agent is more likely to behave in the interests of the principal. Proposition 2: When the principal has information to verify agent behavior, the agent is more likely to behave in the interests of the principal.
In order to prevent these problems from happening, the client should consider the following: Increase and improve communications flow on the project Ensure the project participants are properly incentivized Appropriate governance structures (determined by the contractual relationships) need to be put in place to achieve these ends.
