Portfolio unquoted IPO Avantium Avantium has raised 103 million with its IPO on Euronext Amsterdam and Euronext Brussels at an introduction price of 11.00 per share. The Offering was multiple times oversubscribed with strong demand from both institutional and retail investors. The share were be listed at these exchanges from 15 March. Quest for Growth first invested in Avantium in 2014 ( 1,020,200) and in 2016 ( 500,000). The existing shareholders have agreed not to sell any shares within 12 months following the IPO. After the first quotation, Quest for Growth recorded these shares in its books with a discount of 18% compared to the market price, in accordance with its valuation rules. From the first month following the IPO, the discount will be reduced by 1.5% per month. Prior to the IPO, Quest for Growth valued its stake in Avantium at 1,520,200. On the basis of the IPO price and the discount referred to above, the value of the Avantium shares in Quest for Growth s portfolio at 31/03/2017 was 1,586,097. 23

Portfolio unquoted Value adjustments not assigned to a specific company or venture capital fund In the unquoted portfolio value adjustments for a total of - 4,117,839 were booked in a separate line. These value adjustments were booked mainly out of fear that certain portfolio companies, almost in need of refinancing, will have to go to the market with a lower valuation because of the deteriorating economic situation and the more difficult funding climate that goes with it. 26

Decisions EGM Hernieuwing machtiging toegestaan kapitaal Machtiging, geldig gedurende vijf jaar te rekenen vanaf de bekendmaking in de Bijlage bij het Belgisch Staatsblad om het maatschappelijk kapitaal overeenkomstig artikel 603 en volgende van het Wetboek van vennootschappen in één of meerdere malen te verhogen ten belope van een maximumbedrag van EUR 135.130.875,32, en dit in overeenstemming met (nieuw) artikel 9 bis van de statuten. Binnen de modaliteiten bepaald in artikel 9 van de statuten, is de raad van bestuur gemachtigd om bij de kapitaalverhoging(en) het voorkeurrecht van de aandeelhouders te beperken of op te heffen. Het is de raad van bestuur eveneens toegelaten om alle verrichtingen zoals vermeld in artikel 605 van het Wetboek van vennootschappen uit te voeren met inachtneming van de toepasselijke regelgeving. De raad van bestuur heeft de bevoegdheid om de statuten van de vennootschap te wijzigen in overeenstemming met de kapitaalverhoging die binnen het kader van het toegestaan kapitaal werd beslist. 28
Decisions EGM Naam en vorm QUEST FOR GROWTH, Privak, Openbare Alternatieve Instelling voor Collectieve Belegging (AICB) met vast kapitaal naar Belgisch recht Wijziging statuten artikel 1 paragraaf 4: De vennootschap is een openbare alternatieve instelling voor collectieve belegging met een vast aantal rechten van deelneming, onderworpen aan het wettelijk stelsel van de beleggingsvennootschappen met vast kapitaal voorzien door de wet van 19 april 2014 betreffende de alternatieve instellingen voor collectieve belegging en hun beheerders (hierna de AICB Wet genoemd) en de vennootschap heeft geopteerd voor de categorie van beleggingen als bedoeld in artikel 1 van het Koninklijk besluit van 10 juli 2016 met betrekking tot de alternatieve instellingen voor collectieve belegging in niet-genoteerde vennootschappen en in groeibedrijven (hierna het Koninklijk besluit van 10 juli 2016 betreffende openbare privaks genoemd). 29
Decisions EGM Aanstelling beheervennootschap Raad van bestuur van 2 februari 2017 heeft Capricorn Venture Partners NV aangesteld als beheervennootschap van de Vennootschap Goedkeuring FSMA op 28 maart 2017 Wijziging statuten artikel 5: De vennootschap wordt conform artikel 10 2 van de AICB Wet beheerd door de naamloze vennootschap "Capricorn Venture Partners", met maatschappelijke zetel te 3000 Leuven, Lei 19 bus 1 (hierna de Beheervennootschap genoemd). 30

Decisions EGM Keuzedividend Koninklijk besluit van 10 juli 2016 betreffende openbare privaks genoemd geeft de publieke PRIVAKs de mogelijkheid om te voorzien in de uitkering van een keuzedividend Wijziging statuten artikel 8: Onverminderd de toepassing van de artikelen 595 tot 599 van het Wetboek van vennootschappen, dient het onherleidbaar toewijzingsrecht niet te worden toegekend bij een inbreng in geld met beperking of opheffing van het voorkeurrecht in aanvulling op een inbreng in natura in het kader van de uitkering van een keuzedividend, voor zover dit effectief voor alle aandeelhouders betaalbaar wordt gesteld. 33
