PLACE: Brussels AVIS N : BRX_ _00038_EUR DATE: 15/01/2013 MARCHE: EURONEXT BRUSSELS RESULTAT DE LA REOUVERTURE VOLONTAIRE DE L OFFRE PUBLIQUE D ACQUISITION VOLONTAIRE ET CONDITIONNELLE EN ESPECES SUIVIE D UNE OFFRE DE REPRISE A la clôture de la Période d Acceptation de la réouverture volontaire de l Offre Publique d Acquisition, le 9 janvier 2013, Actions ont été présentées dans l Offre. En total, Actions (ou 93,38% des Actions) que les Offrants, la société anonyme Auriga Finance S.A. ( Auriga) et STAK Packaging Investments ( STAK PI) et les Personnes Liées, ne détenaient pas encore à l issue de l Offre ont été apportées à l Offre. Par conséquent, les Offrants et les Personnes Liées détiennent 99,43% de VPK et procèderont à une Offre de Reprise - Le prix de l offre est de EUR 33,00 par action - L offre de reprise sera rouverte du au inclus. - Publication des résultats de l'offre de reprise: Paiement des actions offertes: Les Actions non présentées aux Offrants à l expiration de la période d acceptation del Offre de Reprise, sont réputées transférées de plein droit aux Offrants. Le Prix de l Offre des titres ainsi transférés sera consigné le 13 février 2013 auprès de la Caisse des dépôts et consignation, au profit de leurs anciens propriétaires. Frais: Aucun frais ne sera imputé aux actionnaires proposant directement leurs actions aux banques guichet. Toutefois, les frais éventuels facturés par d'autres intermédiaires financiers que les banques-guichet ci-dessous sont à charge des actionnaires. L'éventuelle taxe sur les opérations boursières sera acquittée par l'offrant. LOCATIE: Brussels BERICHT NR: BRX_ _00038_EUR DATUM: 15/01/2013 MARKT: EURONEXT BRUSSELS RESULTAAT van de VRIJWILLIGE HEROPENING van het VRIJWILLIG EN VOORWAARDELIJK OPENBAAR OVERNAMEBOD IN GELD, GEVOLGD DOOR EEN UITKOOPBOD Bij afsluiting van de Aanvaardingsperiode van de vrijwillige heropening van het Bod op 9 januari 2013, zijn Aandelen aangeboden. In totaal werden in het Bod Aandelen aangeboden (of 93,38% van de Aandelen) die nog niet in het bezit waren van de Bieders, Auriga Finance S.A. ( Auriga) en STAK Packaging Investments ( STAK PI),en Verbonden Personen bij de start van het Bod. Hierdoor bezitten de Bieders en Verbonden Personen 99,43% in VPK en zullen zij overgaan tot een Uitkoopbod. - De geboden prijs bedraagt EUR 33,00 per aandeel. - Het openbaar uitkoopbod loopt van tot en met Bekendmaking van de resultaten van het uitkoopbod: Betaling van de aangeboden aandelen: De Aandelen die na afsluiting van het Uitkoopbod niet aan de Bieders werdenaangeboden, worden geacht van rechtswege aan de Bieders te zijn overgedragen. De Biedprijs van de aldus overgedragen effecten zal op 13 februari 2013 in bewaring gegeven worden bij de Deposito- en Consignatiekas, ten gunste van hun vroegere eigenaars. Kosten: Er worden geen kosten aangerekend aan de aandeelhouders die hun aandelen rechtsreeks bij de loketbanken aanbieden. De eventuele kosten die echter door de andere financiële tussenpersonen worden aangerekend, zijn ten laste van de aandeelhouders. De eventuele taks op beursverrichtingen zal worden gedragen door de bieder. LOCATION: Brussels NOTICE: BRX_ _00038_EUR DATE: 15/01/2013 MARKET: EURONEXT BRUSSELS RESULTS OF THE VOLUNTARY REOPENING OF THE VOLUNTARY AND CONDITIONAL TAKEOVER BID IN CASH FOLLOWED BY A SQUEEZE OUT At the closing of the voluntary reopening takeover bid the 9 th January ,210 shares were tendered in the Offer. In total 704,147 shares (or 93.38% of the shares) which the Bidders, Auriga Finance S.A. ( Auriga) and STAK Packaging Investments ( STAK PI) and the Persons acting in concert, did not have at the beginning of the Offer were tendered in the Offer. Consequently the Bidders and the Persons acting in concert hold 99.43% of the VPK shares and will launch a squeeze out bid. - The price offered is EUR per share. - The squeeze out bid will be reopened as from up to and including Publication of the results of the squeeze out bid: Payment of the tendered shares during the squeeze out bid: Shares not tendered to the Bidders at the expiry of the squeeze out period, shall be deemed to be transferred automatically to the Bidders. The funds needed to pay the offer price of the transferred securities will be recorded on 13 February 2013 at the "Deposito- en Consignatiekas" for the benefit of their former owners. Costs: No costs will be charged to shareholders who tender their shares directly to the financial agents below. Any costs charged by other financial intermediaries than the financial agents below will be for the shareholders' account. Any taxes on stock market transactions will be borne by the Bidder.
