Class A et B inscrits dans les registres de la Société à la date du 26 mars 2013, de 0,0574 unit Brookfield Property Partners L.P. par action ordinaire Brookfield Asset Management détenue. En ce qui concerne les International Depositary Receipts (IDRs) émis sous la forme scripturale ISIN BE par B.O.A.L. en représentation d'actions ordinaires Brookfield Asset Management Inc., il sera procédé à partir du 19 avril 2013 aux guichets de ING Belgique, en Belgique, et de ING Luxembourg, à Luxembourg, à la distribution de 0,0574 unit de Brookfield Property Partners L.P. par action ordinaire Brookfield Asset Management Inc., contre remise du coupon n 25 ISIN BE détaché des IDRs Brookfield Asset Management, en circulation. Les détenteurs d IDRs recevront, à la clôture de l opération, une indemnisation en cash, représentant la vente des fractions des units Brookfield Property Partners L.P. n ayant pu être livrées. Etant donné que les units Brookfield Property Partners L.P. ne seront pas cotés au marché réglementé de NYSE Euronext Brussels et ne pourront être obtenus que sous la forme nominative, les remises de coupons n 25 devront être accompagnées des instructions nécessaires en ce qui concerne l'immatriculation des units correspondants. Frais: Conformément au statut des IDRs, les bénéficiaires auront à acquitter une commission de 1 % de la valeur des units Brookfield Property Partners L.P. délivrés, calculée sur base d'une valeur de EUR 16,65 (contre-valeur de CAD 22,225, moyenne du cours le plus haut et du cours le plus bas de l'unit Brookfield Property Partners L.P. le 15 avril 2013 à la Bourse de Toronto) ainsi que les frais et les taxes éventuelles occasionnés par l immatriculation. Si un bénéficiaire demande d obtenir les units Brookfield Property Partners L.P. sous la forme de certificat nominatif, il devra en outre acquitter les frais et les taxes éventuelles occasionnés par le transfert ou l envoi du certificat nominatif. La commission et les frais sont soumis à la TVA au taux de 21%. Régime fiscal: Cette distribution d actions est soumise en Belgique à la perception du précompte mobilier de 25% (sous réserve des réductions ou exonérations de précompte mobilier éventuellement applicable sur Page 1 of 6

2 base du droit belge ou des conventions internationales) et de la T.O.B. de 0,25 % (avec un plafond de EUR 740 par opération et par investisseur) calculée sur la contre-valeur en euros des units Brookfield Property Partners L.P. délivrés sur base d'une valeur de EUR 16,65 par unit (contre-valeur de CAD 22,225 moyenne du cours le plus haut et du cours le plus bas de l'unit le 15 avril 2013 à la Bourse de Toronto). Après le 19 avril 2014, B.O.A.L. vendra les units Brookfield Property Partners L.P. pour lesquels elle n'aura pas reçu d'instructions, ainsi que les units représentatives des fractions des units Brookfield Property Partners L.P., n ayant pu être livrés et tiendra le produit net de la vente à la disposition des ayants-droit, sous déduction, de la commission de 1% de la valeur des units vendus (commission soumise à TVA au taux de 21%), et en Belgique, du précompte mobilier dont question plus haut, contre remise du coupon n 25. Class A en B die op 26 maart 2013 in de registers van de Vennootschap waren ingeschreven, per gewoon aandeel Brookfield Asset Management in bezit, 0,0574 unit Brookfield Property Partners L.P.uitgekeerd. Voor wat betreft de International Depositary Receipts (IDR s) uitgegeven in scripturale vorm door B.O.A.L. in vertegenwoordiging van gewone aandelen Brookfield Asset Management Inc., ISIN BE , zal vanaf 19 april 2013 aan de loketten van ING België, in België en van ING Luxemburg, in Luxemburg worden overgegaan tot de uitkering van 0,0574 unit de Brookfield Property Partners L.P. per aandeel Brookfield Asset Management Inc., tegen afgifte van coupon nr. 25 ISIN BE van de uitstaande IDR s Brookfield Asset Management. De IDR houders zullen, na het afsluiten van de transactie, een vergoeding in cash ontvangen, dewelke de verkoop van fracties van de units Brookfield Property Partners LP, die niet konden worden uitgekeerd, vertegenwoordigd. Aangezien de units Brookfield Property Partners L.P.in België niet op de gereglementeerde markt van NYSE Euronext Brussels zullen genoteerd worden en deze enkel in de vorm van inschrijvingen op naam zullen bestaan, zal men - samen met de afgifte van de coupons nr de nodige instructies moeten geven voor de inschrijving van de overeenstemmende units. Kosten: Overeenkomstig het statuut van de IDR's dienen de begunstigden een provisie te betalen van 1% van de waarde van de uitgekeerde units Brookfield Property Partners L.P., berekend op basis van een waarde van de unit van EUR 16,65 (tegenwaarde van CAD 22,225, zijnde het gemiddelde van de hoogste en de laagste koers van de unit Brookfield Property Partners op 15 april 2013 op de beurs van Toronto) alsook de eventuele kosten en taksen die verschuldigd zijn voor de inschrijving. Als een begunstigde vraagt om de units Brookfield Property Partners L.P. in de vorm van nominatieve certificaten te ontvangen, dient hij ook de kosten en eventuele belastingen te betalen die door de overschrijving of de verzending van het nominatief certificaat verschuldigd zijn. (provisie en kosten onderworpen aan 21% BTW). Fiscaal regime: Deze uitkering van aandelen is in België onderworpen aan de inhouding van de roerende voorheffing van 25% (onder voorbehoud van verminderingen of vrijstellingen van roerende voorheffing die eventueel van toepassing kunnen zijn op grond van het Belgisch recht of dubbelbelastingverdragen) en aan de TOB van 0,25% (met een plafond van EUR 740 per transactie en per investeerder) - berekend op Page 3 of 6

4 de waarde in EUR van de units Brookfield Property Partners L.P. die werden uitgekeerd op basis van een waarde van EUR 16,65 per unit (de tegenwaarde van CAD 22,225 zijnde het gemiddelde van de hoogste en de laagste koers van de unit op 15 april 2013 op de beurs van Toronto). Na 19 april 2014 zal B.O.A.L. de units Brookfield Property Partners L.P.waarvoor zij geen instructies ontvangen heeft en de fracties van units Brookfield Property Partners LP die niet geleverd konden worden, verkopen en het netto provenu van de verkoop ter beschikking van de rechthebbenden stellen, na aftrek van de provisie van 1% van de waarde van de verkochte aandelen (provisie onderworpen aan 21 % BTW), en, in België, van de roerende voorheffing waarvan hierboven sprake, tegen afgifte van coupon nr. 25 Loketinstelling: ING Belgium Produktnaam: BROOKFIELD CERT A ISIN code: BE Euronext code: BE Symbool: BAM Page 4 of 6

Class A and B shares registered on 26 March 2013 in the records of the Company were distributed unit Brookfield Property Partners L.P. for 1 share Brookfield Asset Management. As regards the International Depositary Receipts (IDR's) issued in book-entry form by B.O.A.L. in representation of the ordinary shares Brookfield Asset management, ISIN BE , as from 19 April 2013 at the counters of ING Belgium, Belgium and of ING Luxembourg, Luxembourg will be proceeded with the distribution of unit Brookfield Property Partners L.P. per share Brookfield Asset Management, against delivery of coupon no. 25 ISIN BE of the outstanding IDR's Brookfield Asset Management. The holders of the IDR's, at the closing of the operation, will receive a cash indemnity, representing the proceeds of the sale of the fractions of the units Brookfield Property Partners which could not be delivered. Since the units Brookfield Property Partners will not be listed on the regulated market of NYSE Euronext Brussels and are in nominative form, the necessary instructions - together with the coupon nb. 25, will have to be forwarded for the registration of the corresponding units. Costs : In accordance with the statute of the IDR's beneficiaries are to pay a commission of 1% of the value of the distributed units Brookfield Property Partners, calculated on the basis of a value of EUR (equivalent of CAD namely the average of the highest and lowest unit price on April 15, 2013 on the Toronto Stock Exchange) as well as any costs and taxes payable for the registration. If a beneficiary asks to receive the Brookfield Property Partners units in the form of nominative certificates, it shall also pay the costs and potential taxes generated by the transfer or shipment of the nominative certificate. Commission and costs are subject to 21% VAT. Fiscal regime : This distribution of shares is in Belgium subject to the deduction of the withholding tax of 25% (subject to reductions of or exemptions from withholding tax that apply under Belgian law or double tax treaties) and to the TOB of 0.25% (with a ceiling of EUR 740 per transaction and per investor) calculated on the value in EUR of the units Brookfield Property Partners on the basis of a value of EUR per unit (the equivalent of CAD being the average of the highest and lowest unit price on April 15, 2013 on the Toronto Stock Exchange). After 19 April 2014 B.O.A.L will sell the stock Brookfield Property Partners for which they received no instructions and the fractions of the Brookfield Property Partners units which could not be delivered, and the net proceeds of the sale will remain available to the claimants, after deduction of a c ommission of 1% Page 5 of 6
