8 GENERAL TERMS AND CONDITIONS OF SALE 1. Terms and conditions for placement: Unless the parties have agreed to special terms and conditions in writing, the following provisions apply to accepting advertising contracts. The advertisements will appear under the exclusive responsibility of the client, agent or advertiser, all this subject to the relevant statutory provisions. A client is always defined as the party that gave the order. 2. Refusal: The managements can refuse, suspend or discontinue any advertisements without providing an explanation, even if the employees of the publishing department have accepted the jobs without comment. Such action cannot be cause to pay any compensation to the client. 3. Discontinuation - Suspension: Any requests for the discontinuation or suspension of advertising orders that have been placed can only be performed if they are submitted to Uitgeverij Verheyen b.v.b.a. by registered post 60 workdays prior to the date of printing. If the client discontinues or suspends the job, the client must pay 40% of the total value of the contract by way of compensation, and any discounts permitted in respect of advertisements that have already been published will expire and must be reimbursed. Likewise, the client must repay any costs incurred by Uitgeverij Verheyen b.v.b.a. in respect of formatting and materials. 4. Determination of placement and dates: Insertion in specific places cannot be guaranteed. All instructions provided by the client in this respect are simply considered to be the client s wishes. Advertisements must be paid for, regardless of the position in which the advertisement is published. However, the position and placement date requested by the advertiser or its agent also if accepted will be honoured insofar as possible. Certain positions or dates can only be guaranteed on payment of the fees set for this purpose. 5. Fees: The advertisements will be inserted under the terms and conditions for the applicable fee at such time as the advertisement is inserted. The fees are always exclusive of VAT and environmental levies, and they can be inspected at the company s headquarters. Management retains the right to change the advertising fee, the column width or the method for measuring advertisements at any time whatsoever. However, management will honour the usual customs for contracts in respect of orders for which contractual performance has already begun. Contractual terms can never exceed 1 year from the date of the first placement for a given contract. 6. Provisions governing materials: The client must provide digital material, (CD-Rom, (PDF) or via ISDN) and typesetting. This material must comply with special requirements, (QuarkXpress, Acrobat, Indesign, Illustrator, Photoshop programs) (Files: EPS, Tiff - JPG - PDF - PS). Otherwise, charges can be applied for the cost of scanning, typesetting and translations. The materials provided by the client will be kept for six months after the most recent placement. After this period any material the client has not requested to be returned will be destroyed. Any errors or omissions arising due to improper materials cannot be cause to dispute or refuse payment or for a new insertion free of charge. of advertising jobs smaller than 62 millimetres per column. A charge will be applied for any additional voucher numbers. If a voucher number would not usually be sent, this will be available at the company s headquarters, so that the non-receipt of a voucher number can never be cause for a valid dispute. 8. Payment terms and conditions: Unless otherwise provided for in writing, our invoices must be paid in cash. Monthly bills for ongoing contracts must be paid within 30 days. If payment has not been made by the due date, interest on the unpaid amount will be charged ipso jure, without any notification, at the rate of 12% per annum. If payment has not been made within fifteen days after the due date, the unpaid amount will be increased by 10% ipso jure, without any notification and without prejudice to any costs, by way of conventional damages and with a minimum amount of 30. If the amount due on a monthly bill for an ongoing contract has not been paid by the due date, any further placement of the announcement can be discontinued without prior warning. Any claims must be sent to the company s headquarters by registered post within eight days after the advertisement was published. The agent will continue to be responsible for payment in respect of the advertising space, even if its order states that the invoice must be made out in the name of the client. 9. Complaints: Given that complaints may be considered, they must be sent to the company s headquarters by registered post within eight days after the advertisement was published. The management disclaims any liability in respect of errors that are alleged to be the result of dubious, incomplete, poorly written, poorly drafted instructions and instructions given by telephone. Likewise, this applies to inadequate translations. Except in case of serious error, no compensation can be claimed in respect of possible confusion, printing errors, poor or unclear representation of text and image. If the materials are in the possession of Uitgeverij Verheyen b.v.b.a. five days prior to publication, the print proof can always be checked at the company s headquarters, on request, so that no error may be eligible for a valid dispute. Uitgeverij Verheyen b.v.b.a. can only make a 95% guarantee of publication, so that it cannot be held liable for any potential non-publication of the magazine. 10. Disputes: In the event of a dispute, the Courts of District of Antwerp alone are competent. Special terms and conditions: 1. Any suspensions or amendments to texts can only be made after receipt of a written order within 10 days prior to the date of publication at the latest. The advertisement text must be drafted in the language of the magazine. 2. In the event of force majeure of other disputes, no compensation can be claimed from Uitgeverij Verheyen b.v.b.a.
