Opinion You and two Nova Scotia companies that you control, Homburg Bondclaim Limited. (HBL) and Homburg Shareclaim Limited.(HSL), hold the rights of action in certain bonds and shares of Homburg Invest Inc. (HII), also an Alberta corporation with head office in Nova Scotia, which on September 9, 2011 was forced to seek protection under Canada s Companies Creditors Arrangement Act (CCAA) in a proceeding that continues to this day. 2 Arrangement Act (CCAA) in een geschil dat tot op heden voortduurt. You possess the rights to the shares you held in HII in your own right. HBL and HSL possess the rights of action in the bonds and shares of HII assigned, and to be assigned, to them by Dutch and other bondholders and shareholders, subject to the terms of those assignments. In my opinion, once assigned, those rights cannot not be successfully challenged as invalid or non-justiciable. In my opinion, you, HBL and HSL have a good a good chance of winning a lawsuit in the Supreme Court of Nova Scotia against AFM, DNB, the Government of the Kingdom of the Netherlands and others (Defendants) for damages. The Supreme Court of Nova Scotia is a superior court of justice with full common law jurisdiction. Its judges, appointed by the federal crown with security of tenure, are all lawyers of long experience and exemplary reputation who are independent, impartial and admirably able. The damages that you HBL and HSL would be seeking before this high court would be the losses in value of the bonds and shares of HII, to which you, HBL an HSL have rights, resulting from the court-orders in the CCAA proceeding. In my opinion, but for actions of the Defendants that forced HII into seeking such CCAA protection, those losses would not have occurred. En HBL en HSL bezitten de rechten uit hoofde van de obligaties en aandelen van HII die zijn of worden toegewezen aan hen door Nederlandse en andere obligatieen aandeelhouders, afhankelijk van de voorwaarden van deze overdracht. Ik ben van mening dat deze rechten, eenmaal toegewezen, niet kunnen worden aangevochten als zijnde ongeldig of niet wettelijk bindend. Ik ben van mening dat u, HBL en HSL een goede kans hebben een rechtszaak te winnen tegen de AFM, DNB, de regering van het Koninkrijk der Nederlanden en andere (verweerders) bij het Hooggerechtshof van Nova Scotia, voor een schadevergoeding. Het Hooggerechtshof van Nova Scotia is de hoogste rechterlijke macht met volledige rechtsbevoegdheid in gewoonterecht. Haar rechters, benoemd door de federale overheid met een beschermde aanstelling, zijn allen ervaren advocaten met jarenlange ervaring en een uitstekende reputatie. Ze zijn onafhankelijk, onpartijdig en zeer kundig. De schadevergoeding die u, HBL en HSL vorderen bij dit Hooggerechtshof, komt overeen met de waardedaling van de obligaties en aandelen van HII, waarvan u, HBL en HSL de rechten hebben, als gevolg van de rechterlijke beslissing in de CCAA-procedure. Ik ben van mening dat deze verliezen niet zouden zijn ontstaan als de verweerders HII niet hadden

3 gedwongen bescherming te zoeken onder de CCAA. The lawsuit will be for the common-law torts of abuse of authority and unlawful means committed by the Defendants. These torts were committed by AFM and DNB acting extraterritorially. They interfered with the management of HII by (i) forcing Richard Homburg to resign as President, CEO and Chairman of the Board of HII; (ii) forcing Richard Stolle to resign as COO and director of HII; (iii) acquiring, illicitly from the Dutch Tax Office (DTO), and then publicizing Richard Homburg s confidential tax issues (most of which were resolved in his favour) to the HII Board and the Dutch press; (iv) demanding that Richard Homburg give up his shares in HII; and, (v) forcing HII into the CCAA proceeding by threatening to revoke HII s Netherlands licence without which management could not reorganize the company on a going-concern basis, unless Richard Homburg gave up his shares in HII. These actions were contrary to Canadian law, ruinous of HII and the cause of the damages suffered by Richard Homburg and the Dutch and other bondholders and shareholders of HII. De rechtszaak is een gewoonterecht zaak, voor het plegen van een onrechtmatige daad, namelijk 'misbruik van gezag' en 'onwettige middelen' van de kant van de verweerders. Deze onrechtmatige daden zijn gepleegd door de AFM en DNB door extraterritoriaal op te treden. Zij hebben zich gemengd in de bedrijfsvoering van HII door (i) Richard Homburg te dwingen af te treden als President, CEO en Voorzitter van de RvB van HII; (ii) Richard Stolle te dwingen af te treden als COO en directeur van HII; (iii) het, illegaal, opvragen bij de Nederlandse Belastingdienst (DTO) en daarna publiceren in de Raad van Bestuur en de Nederlandse pers van de vertrouwelijke belastingproblemen van Richard Homburg (waarvan de meeste in zijn voordeel zijn opgelost); (iv) van Richard Homburg te eisen dat hij zijn aandelen in HII zou opgeven; en (v) HII in de CCAA-procedure te dwingen door het dreigen met intrekking van de Nederlandse licentie van HII, zonder welke de directie het bedrijf niet duurzaam kon reorganiseren, tenzij Richard Homburg zijn aandelen in HII opgaf. Deze acties waren in strijd met de Canadese wet, fataal voor HII en de oorzaak van de schade die Richard Homburg, de Nederlandse en andere obligatiehouders en aandeelhouders van HII hebben geleden.

They interfered with the management of HII by (i) forcing Richard Homburg to resign as President, CEO and Chairman of the Board of HII; (ii) forcing Richard Stolle to resign as COO and director of

4 Why the Homburg companies can sue AFM and DNB and others in Canada Section 5 of Canada s State Immunity Act RSC, 1985, c. S-18 (SIA) states that: A foreign state is not immune from the jurisdiction of a court in any proceedings that relate to any commercial activity of the foreign state. Jurisprudence of the Supreme Court of Canada and other Canadian superior courts establish that a foreign state that interferes with the management of a Canadian business corporation, attempts to affect its shareholding or participates in a Canadian court proceeding in furtherance of those aims is engaging in commercial activity within the meaning of s.5 of the SIA. This means that the Homburg Plaintiffs may sue all the Defendants in Canada. Why the Supreme Court of Nova Scotia has jurisdiction In my opinion, the Supreme Court of Nova Scotia has jurisdiction over this case pursuant to ss. 4(d) and (e) of the Court Jurisdiction and Proceedings Transfer Act of Nova Scotia. Waarom de Homburg-bedrijven AFM en DNB en andere partijen kunnen aanklagen in Canada Sectie 5 van de Canadese State Immunity Act RSC, 1985, c. S-18 (SIA) bepaalt dat: Een buitenlandse staat is niet immuun voor de rechtsbevoegdheid van een rechtbank in welke procedure dan ook die betrekking heeft op commerciële activiteiten van deze buitenlandse staat. Jurisprudentie van het Hooggerechtshof van Canada en andere hogere gerechten in Canada geven aan dat een buitenlandse staat die zich mengt in de bedrijfsvoering van een Canadees bedrijf, haar aandeelhouderschap probeert te beïnvloeden/aan te tasten of deelneemt in een Canadese gerechtelijke procedure om deze doelen door te zetten/aan te moedigen, betrokken is bij een commerciële activiteit in de zin van s.5 van de SIA. Dit houdt in dat de eisers van Homburg alle verweerders in Canada kunnen aanklagen. Waarom het Hooggerechtshof van Nova Scotia rechtsbevoegdheid heeft Ik ben van mening dat het Hooggerechtshof van Nova Scotia rechtsbevoegdheid heeft over deze zaak op grond van ss. 4(d) en (e) van

It is also my opinion that the court would decide that Nova Scotia, rather than the Netherlands, would be the most convenient forum for this case. Conclusion I am prepared to respond to any questions.
