We are also pleased to report record results for 2005, with a strong increase of the Gross Margin and the Profitability: We have increased the Gross Margin by +18,79% at 33,447 million ( 28,156 million in 2004) We have increased the Profit from Operations by +41,83% at 4,697 million ( 3,312 million in 2004) We have increased our Net Result by +41,84% at 2,827 million ( 1,993 million in 2004) Despite the acquisition of Jeeves Systems, the net cash position at the end of the year has increased by +44% at 10,067 million ( 6,973 at the end of 2004) The net result per share has increased by +39,85% at 1,86 ( 1,33 in 2004) EBIT Million EUR 4,697 2,047 2,709 3, Based on the 2005 results and positive 2006 perspectives, the board of directors of I.R.I.S. has decided to propose an increase of the dividend of +28% at 0,45 per share ( 0,35 per share in 2004) Based on the analysis of the order backlog at the beginning of this year, and on the short term perspectives, the I.R.I.S. management expects a continued growth in 2006, both in terms of Gross Margin and Profitability. We are introducing many new products in 2006 (for the Professional and Soho markets) that should help us to develop our revenue in 2006 (check our sections on new products inside this newsletter and watch our website after

2 April 15, 2006). The I.R.I.S. International Partners Meeting, held on February 23, 2006, where most of these new products were unveiled has been a real success. Longer term, I.R.I.S. management is optimistic about the prospect of international development. On one hand, we are developing productivity products that provide important Return on Investment, building a unique Intellectual Property. I.R.I.S. invests substantial amounts in the development of proprietary technology, specifically for the recognition of printed and handprinted text, for the intelligent recognition of forms, invoices, banking documents and incoming correspondence. I.R.I.S. project teams develop custom solutions that combine intelligent document recognition ( IDR ) with electronic document management ( EDM ); we re now talking about scanning and character recognition ( OCR ), automated form reading and invoice reading, electronic press reviews, electronic document management, content management and archiving. Finally, I.R.I.S. supplies optimized solutions that cover all aspects of a complex IT infrastructure - scanners, servers and storage (mainframe and open systems).

5 I.R.I.S. has strengthened its position on its various markets in 2005 I.R.I.S. Office Products & Technologies Worldwide developer of software for the intelligent recognition of documents I.R.I.S. develops and markets software packages that handle the intelligent recognition of documents; these products are sold worldwide through license agreements (OEM contracts), via the IT distribution channels, via Internet eshops and in collaboration with specialized resellers ( VAR - value-added reseller ). The company has strengthened its offer in the course of Today, I.R.I.S. covers the following needs: Scanning and indexing paper documents. Optical Character Recognition (OCR): text recognition of printed text in 126 languages (amongst others Russian, Greek, Arabic, Hebrew, Chinese, Japanese and Korean) and recognition of handprinted text. Business card readers and pen scanners. Automated reading of structured documents - forms, questionnaires, banking documents etc. Automated sorting and intelligent recognition of non-structured documents - incoming correspondence and invoices. Conversion of documents into searchable PDF files that contain the recognized text and hence lead to archiving solutions and full-text search capabilities. Given the numerous license agreements and technological partnerships, I.R.I.S. supplies its solutions to such key companies on the market as HP, Kodak, Apple, Samsung, Panasonic, Microsoft, Fujitsu, ecopy, Plustek, LaserFiche etc. I.R.I.S. Professional Solutions Developer and integrator of specialized solutions for electronic document management and content management I.R.I.S. supplies professional solutions for electronic document management, for content management and for the processing of the life cycle of documents to large accounts - companies, government agencies and international organizations. These projects comprise hardware (scanners and servers), (specialized) software and services (technical architecture, functional analysis, development, installation, training, support and maintenance). It is the experience of our consultants, developers, documentalists, project leaders and system engineers that makes I.R.I.S. a preferred partner on the covered home markets.

6 I.R.I.S. disposes of an impressive client roster among the government agencies (European institutions, ministries, regional and local governments), the financial world (banks and insurance companies), service-oriented and industrial companies and professional federations (specifically the international federations). Integrator of specialized solutions for complex IT infrastructures In 2005, I.R.I.S. has strengthened its position as market leader in Belgium and Luxembourg for the supply and management of hardware and software for complex IT infrastructures. The clients wish to dispose of an infrastructure (with mainframe, open systems and applications) that is optimized for both their current and future needs. I.R.I.S. has established a solid position in this highly specialized niche market thanks to the quality of the offered architectures and the high level of its services. The turnover for this activity includes a significant share of hardware sales - and that hardware is not manufactured by I.R.I.S.! As a result, the gross margin is much lower here than is the case for the other activities of the company. Annual results show strong growth I.R.I.S. strategy is to make the company worldwide a major player on the Document to Knowledge market. The management has concentrated its efforts on the following objectives: Promote organic growth by strengthening the teams that perform well. Integrate Jeeves, a company that was acquired on August , in the business unit Storage & Systems (that has since adopted the name Jeeves I.R.I.S. Systems ). Introduce new products that show promise and continue development of the existing products by extending the R&D teams. 7 Strong growth of sales figure and gross margin Chairman and CEO Pierre De Muelenaere says: Our applications meet the growing need for tools which enhance the productivity and quality of office labor. Think for instance of the automatic encoding of suppliers invoices - after the recognition phase, the financial data gets exported to the workflow or ERP system. Such solutions open the door to an interesting new market for I.R.I.S. In the year 2005, all business units contributed to the global growth of the gross margin (by 18.79%) to 33,447,410. When we exclude the supply of hardware, the gross margin of the division Professional Systems was 70.06% in 2005 thanks to a high share of proprietary software in the professional projects. 4,698 5,000 4,500 4,000 3,500 3,000 Income 2,500 from operations 2,000 EBIT (K ) 1,500 1, , Years Operational profitability and net profit soar CEO Etienne Van de Kerckhove comments: The efforts of the group s management and the various teams have paid off: the teams were expanded and the R&D effort was increased, our revenue grew faster than before. The division Office Products & Technologies exceeded 30 million users in the year 2005! The division Professional Solutions has among its customers more than 900 large accounts for data capture, electronic document management and archiving needs. Two hundred of those customers combine data capture with electronic document management in a single solution: in the course of 2005, we

8 signed contracts with 85 new large accounts. This very positive evolution pushed the income from operations (EBIT) higher (by 41.83%) to 4,697,855. The net financial charges dropped substantially to 1,781 (compared with 466,856 in 2004). Among the financial revenue, we find the profit we made on the dollar exchange rate and the income generated by financial investments. Among the financial expenses we find the interests paid on loans entered to finance buildings, the fees paid on sales that customers pay for with a credit card, the costs of a non-revocable credit line (see below) and the fees paid to financial institutions. The taxes paid on the profit for the fiscal year were 1,678,863; the real tax rate (tax on profit of fiscal year-profit before taxes) was 37% in the year 2005 (vs. 30% in 2004). Note that the tax rate was exceptionally low in 2004 due to fiscal losses carried forward, whereas in the year 2005 the tax rate was exceptionally high because a conflict with the Belgian Ministry of Finance (caused by I.R.I.S. status as an innovative company) got resolved. The net profit was 2,827,211, which constitutes a 41.84% increase! Strengthening of cash position and financial means The company s net cash position is 10,067,161; that s 44.36% higher than in I.R.I.S. has increased its committed credit line - which we call committed because the credit line is non-revocable unless extraordinary conditions apply - from 8,750,000 to 10,500,000. I.R.I.S. has entered a long-term loan under favorable conditions for 1,250,000 to finance the purchase of a building in Louvain-la-Neuve. These premises contain a large production and storage facility, which increases the company s capability to produce software packages dramatically. Furthermore, this building contains 950 m 2 of office space, which allows us to absorb the further growth of the I.R.I.S. teams located in Louvain-la-Neuve. Following the acquisition of Jeeves, I.R.I.S. has become the owner of a building in Vilvoorde (Belgium) which is partially financed by a long-term loan. Impact of the acquisitions in the year 2005 The turnover of the company Jeeves is consolidated as of August ; Jeeves contributed to the group s results as follows in the year 2005: Jeeves Sales ( ),752,672 Gross margin ( ) 2,376,217 Income from operations (EBIT) ( ) 138,835

9 We point out that 11,830,000 of the turnover was generated by I.R.I.S. customers, whereas 7,922,672 in sales came from Jeeves customers. Strategy and outlook for the fiscal year 2006 The International Partners Meeting of February 23 served as platform to introduce new, more powerful versions of the complete product range for the large accounts and the SOHO market (SMBs and home users). These products are marketed internationally. At this occasion, I.R.I.S. has announced three products designed for the Middle-East; these offer new OCR technology that allows the user to recognize documents in Arabic, Farsi (Iran) and Hebrew. I.R.I.S. strategy concerning the documentary applications is to offer solutions for intelligent document recognition that complete databases, ERP, messaging or CRM software etc.: Professional text recognition: the applications IRISPdf and IRISPdf Server were designed to scan large volumes of documents continuously, index them and convert them into PDF files that contain the image and the recognized text. These digital files can be used later on to feed robust electronic document management and archiving applications. Automated form reading: IRISCapture for Forms extracts the data from structured (paper and electronic) documents. The read data are then exported to large databases to be exploited by custom applications. Automated invoice reading: IRISCapture for Invoices recognizes the key data found on a supplier s invoice (without the need for any prior preparation). Afterwards, the data gets exported to the bookkeeping or financial software - for instance an ERP system or workflow software used to approve the payment of the invoice. Pierre De Muelenaere concludes: We have more on-going orders than was the case in the beginning of Given the global trend of our activity, the management of I.R.I.S. expects further growth in the year Here are some specific elements: the company will increase its R&D effort significantly this year. We want to shorten our development cycles so that we can introduce new products faster and increase the quality and power of the products we offer our clients. Secondly, we intend to increase the sales and marketing effort to leverage the opportunities that the market offers more efficiently; this effort will be concentrated on specific sectors and specific markets. Given the information currently available, our business plan for 2006 expects a reasonable improvement of the gross margin, the income from operations and the net profit. Proposed dividend Given the results of the fiscal year 2005 and the bright outlook for 2006, the Board of Directors will submit a proposed gross dividend of 0.45 per share (vs last year) to the approval of the upcoming Ordinary General Annual Meeting.

Les clients entendent disposer d une infrastructure (mainframe, open systems et applications) optimisée en fonction de leurs besoins actuels et futurs. C est par la qualité des architectures proposées et de ses services qu I.R.I.S. s est imposé sur ce segment très spécialisé. Le chiffre d affaires de cette activité comprend une forte composante hardware, qui n est pas produit pas I.R.I.S. La marge brute est donc nettement plus faible que dans les autres métiers d I.R.I.S. Résultats annuels en forte croissance Dans le cadre du plan stratégique d I.R.I.S. qui vise à faire du groupe un acteur incontournable du marché du «Document to Knowledge» dans le monde, le management a centré ses efforts sur : La croissance interne par le renforcement des équipes performantes L intégration de Jeeves (société acquise le 5 août 2005) dans la business unit «Storage & Systems» (devenue «Jeeves I.R.I.S. Systems») Le lancement de nouveaux produits à grand potentiel et l évolution des produits grâce à l élargissement constant des équipes de R&D Le travail sur les marges et la maîtrise des coûts pour poursuivre la croissance de la rentabilité Marge brute (K ) Années

Grâce à la forte proportion de logiciels propriétaires installée dans les solutions professionnelles, et si l on exclut les livraisons essentiellement hardware, la marge brute de la division «Professional Solutions» s établit à 70,06% en Résultat opérationnel EBIT (K ) Années Rentabilité opérationnelle et profit net en forte hausse Etienne Van de Kerckhove, CEO : «Le travail du management et de nos équipes a porté ses fruits : nous avons renforcé la taille des équipes et augmenté nos efforts de R&D, et nos revenus ont augmenté plus fortement. La base in-stallée d I.R.I.S. «Office Products & Technologies» à travers le monde a dépassé 30 millions d utilisateurs en I.R.I.S. Professional Solutions compte plus de 900 grands comptes en saisie de documents, gestion électronique de documents ou archivage, dont plus de 200 utilisent une solution

16 combinant la saisie et la gestion électronique des documents : en 2005, nous avons signé des contrats avec 85 nouveaux grands comptes. Grâce à cetteévolution très positive, le résultat opérationnel a fortement progressé pour atteindre (+ 41,83%).» La charge financière nette a sensiblement diminué : (contre en 2004). Parmi les produits financiers, citons les gains de change et de conversion sur le dollar et les revenus des placements de trésorerie. Parmi les charges financières figurent les intérêts sur les emprunts immobiliers, les commissions sur les paiements de nos clients par cartes de crédit, les coûts fixes des lignes de crédit «committed» (voir plus loin) et frais bancaires. L impôt sur le bénéfice de l exercice est de , soit un taux d impôt effectif (impôt de l exercice/bénéfice comptable avant impôt) de 37% en 2005 (contre 30% en 2004). Si le taux d impôt en 2004 était anormalement faible suite à l impact de pertes fiscales reportées, il est exceptionnellement élevé en 2005 et influencé notamment par la résolution d un litige avec l administration fiscale belge, concernant le statut d I.R.I.S. comme société novatrice. Le bénéfice net atteint (+ 41,84%). Renforcement de la trésorerie et des moyens financiers La trésorerie nette du groupe s établit à (+ 44,36%). Par ailleurs, I.R.I.S. a augmenté ses lignes de crédit bancaire «committed» (non résiliables sauf circonstances exceptionnelles) qui sont passées de à I.R.I.S. a contracté un emprunt à long terme de , à des conditions favorables, pour le financement de l acquisition d un bâtiment à Louvain-la- Neuve. Ce bâtiment comprend un grand espace de production et de stockage qui permet d augmenter considérablement la capacité de production de produits packagés. Il contient également 950 m2 de bureaux qui permettront d absorber la croissance des équipes d I.R.I.S. à Louvain-la-Neuve. Suite à l acquisition de Jeeves, I.R.I.S. est devenu propriétaire du bâtiment de bureaux situé à Vilvoorde qui est partiellement financé par un emprunt à long terme. Stratégie et perspectives pour 2006 Lors de l I.R.I.S. «International Partners Meeting» du 23 février dernier, I.R.I.S. a annoncé les nouvelles versions, encore plus efficaces, de l ensemble de ses produits packagés pour le marché des grands comptes et pour le marché SOHO (PME et utilisateurs individuels). Ces produits font l objet d une distribution internationale. I.R.I.S. a également annoncé le lancement commercial de trois produits à destination du Moyen-Orient, qui intègrent une nouvelle technologie OCR permettant la reconnaissance automatique de l Arabe, du Farsi (Iran) et de l Hébreu. Dans le monde documentaire, la stratégie d I.R.I.S. vise à proposer des solutions de reconnaissance intelligente de documents placées en amont des applications ERP, de messagerie, de bases de données, de CRM, etc. : OCR professionnel : IRISPdf et IRISPdf Server sont des outils de scanning de production permettant de numériser en continu les plus grands volumes de documents, de les indexer et de les éditer en format PDF image/texte. Ces documents numériques peuvent alimenter de grandes applications de gestion documentaire et d archivage. Lecture automatique de formulaires : IRISCapture for Forms extrait les données de documents structurés (papier ou électroniques). Ces données peuvent être transférées vers de grandes bases de données où elles serviront à des applications-métier. Reconnaissance automatique de factures : IRISCapture for Invoices reconnaît et extrait (sans préparation préalable) les données-clés des factures d entrée. Celles-ci peuvent ensuite être exportées vers les applications comptables et financières telles qu ERP ou workflow d approbation des factures. 18 Proposition de dividende Sur base des résultats de l exercice 2005 et des perspectives favorables, le Conseil d administration proposera à l assemblée générale du 16 mai 2006 de fixer le dividende à 0,45 bruts par action (contre 0,35 l année dernière). Rapport du commissaire Ernst & Young Reviseurs d Entreprises (représenté par Eric Golenvaux), commissaire, a confirmé que ses travaux de révision, qui sont terminés quant au fond, n ont pas révélé de correction significative qui devrait être apportée aux informations comptables reprises dans le communiqué.
