Als je via HelloStudent! je gebruikte studieboeken wilt verkopen, dan gelden daarvoor deze Algemene voorwaarden voor de verkoop van boeken via HelloStudent!. Dat is een hele mond vol, dus elders in de tekst noemen we ze de algemene verkoopvoorwaarden. Wij hebben de tekst opgedeeld in hoofdstukken en geprobeerd alles zo helder mogelijk voor je op een rijtje te zetten. 1. Definities In deze algemene verkoopvoorwaarden worden bepaalde begrippen meerdere keren gebruikt. Om ervoor te zorgen dat er geen verwarring bestaat over de betekenis van deze begrippen wijden we het eerste hoofdstuk aan definities. Eerst even voorstellen. HelloStudent! is een eenmanszaak gevestigd aan de Papsouwelaan 360 te Delft. Bij de Kamer van Koophandel vind je ons terug onder nummer , bij de Belastingdienst staan wij bekend onder BTW-nummer NL B01 en betalingen doen we via rekeningnummer NL97 BUNQ In deze algemene verkoopvoorwaarden verwijzen wij naar onszelf als HelloStudent!, we of wij (en soms ons/onze). Als we het hebben over je, jij of jou (en soms jouw), dan bedoelen we daarmee jou als de persoon die een account heeft aangemaakt op onze website en/of een boek verkoopt via HelloStudent! Over boeken gesproken. Onder een boek verstaan we nieuwe en tweedehands studieboeken van de meeste recente of op één na meest recente druk, waarvan wij kenbaar hebben gemaakt dat deze door jou mogen worden aangeboden via HelloStudent!. De boekenlijst is de lijst van boeken die je mag aanbieden via ons en wordt gepubliceerd op onze website, waar we tevens de nieuwprijs van het boek vermelden. De website is natuurlijk Om boeken te kunnen aanbieden via HelloStudent! heb je een account nodig en daaronder verstaan we dat gedeelte van de website dat enkel toegankelijk is voor jou wanneer jij met jouw persoonlijke gebruikersnaam en wachtwoord inlogt. De nieuwprijs van een boek is de laagste prijs waarvoor een erkende boekverkoper het boek in ongebruikte nieuwstaat aanbiedt. Op basis van een percentage van die nieuwprijs berekenen wij onze commissie, welke de vergoeding wordt genoemd. De vergoeding wordt in mindering gebracht op de verkoopprijs en wat overblijft is voor jou. De verkoopprijs wordt gedefinieerd als de prijs waarvoor wij een boek verkopen aan een klant, inclusief BTW en vergoeding. Een klant is iedere natuurlijke persoon die een koopovereenkomst sluit met ons om een boek van jou te kopen. Voor de volledigheid, onder koopovereenkomst verstaan we de overeenkomst die in jouw opdracht door ons wordt aangegaan met de klant om jouw boek te verkopen tegen de verkoopprijs. In de definities hierboven zijn de woorden de begrippen in enkelvoud vermeld, maar de definitie geldt natuurlijk ook voor het betreffende begrip in meervoud.

2 2. Algemene informatie Wij bieden jou de mogelijkheid om via ons je studieboeken te verkopen aan medestudenten. Omdat wij jou een boel tijd en handelingen besparen rekenen we een klein percentage van de opbrengst voor onze dienstverlening. De rest van de opbrengst is voor jou. De opbrengst ontvang je alleen als het boek ook daadwerkelijk wordt verkocht. Wordt het niet verkocht, dan ontvang je niets, maar betaal je ook niets aan ons. Het boek blijft dan uiteraard van jou en je mag op elk gewenst moment aangeven dat je het terug wenst te halen. Om ervoor te zorgen dat wij je studieboeken kunnen verkopen geef jij ons een volmacht om dat te doen voor jou op het moment dat jij je boeken bij ons inlevert. Wij handelen de verkoop dan verder af en de klant betaalt aan ons de koopprijs. 3. Over je account Als je boeken wilt verkopen via HelloStudent! heb je allereerst een account nodig bij ons. Dit maak je aan via onze website. Voor het aanmaken en hebben van een account gelden de volgende spelregels: Je moet 18 jaar of ouder zijn. Wanneer je jonger bent dan 18 jaar heb je toestemming nodig van je ouder(s)/voogd(en) om een account aan te maken en je boeken via ons te verkopen. Het is jouw verantwoordelijkheid om die toestemming te krijgen. Je hebt een geldige Nederlandse bankrekening. Je vult alle gegevens naar waarheid in en controleert alle ingevoerde gegevens goed, want wij gebruiken deze om met jou te communiceren en je uit te betalen. Het is jouw eigen verantwoordelijkheid de juiste gegevens door te geven aan ons. Je account is van jou alleen. Dit betekent dat jij verantwoordelijk bent voor het veilig houden van je account (onder andere je inloggegevens) en voor wat er met je account gebeurt. Je mag maar één account hebben per persoon en niemand anders mag gebruik maken van je account. Je mag geen bedrijf zijn of handelen namens een bedrijf. Voordat je een account aanmaakt krijg je de mogelijkheid deze algemene verkoopvoorwaarden door te nemen. Als je besluit een account aan te maken gaan wij ervan uit dat je bekend bent met de Algemene verkoopvoorwaarden en daar ook mee akkoord gaat. Je kunt ze op elk gewenst moment teruglezen op onze website. Het kan zijn dat je wij ervoor kiezen om je geen account te verlenen, aanvullende eisen te stellen voor activatie van je account of je account te blokkeren. Dat kan verschillende redenen hebben, dit zal bijvoorbeeld het geval zijn wanneer (wij vermoeden dat) er in strijd wordt gehandeld met deze algemene verkoopvoorwaarden of andere toepasselijke voorwaarden, wanneer er sprake is van (een vermoeden van) fraude of wanneer je gebruik van het account de goede werking van onze website verstoort. Wat de reden ook is, de beslissing is aan ons. Wanneer wij hiervoor kiezen heb jij geen recht op vergoeding van kosten of eventuele schade.

3 4. Over de boeken Niet alle boeken worden door ons geaccepteerd. Hieronder tref je een aantal voorwaarden waar de boeken die je wenst te verkopen via HelloStudent! aan moeten voldoen: Je mag alleen boeken aanbieden die jouw eigendom zijn. Je mag enkel de meest recente druk of op één na meest recente druk van het boek aanbieden. Je mag zowel nieuwe als gebruikte boeken aanbieden. Gebruikte boeken mogen lichte beschadigingen hebben aan de kaft en mogen in beperkte mate markeringen bevatten. Wij beoordelen uiteindelijk of een boek voor verkoop in aanmerking komt. Als een boek op de boekenlijst vermeld staat mag je het sowieso verkopen via ons. Staat het boek niet op de boekenlijst, dan beoordelen wij of we het boek zullen accepteren en proberen te verkopen. 5. Over het aanbieden van boeken Wanneer je een boek wilt verkopen via HelloStudent!, dan log je in op je account via onze website. Je controleert of het boek op onze boekenlijst vermeld staat. Als dat niet het geval is, dan kun je het boek wel aanbieden via ons, als je kunt aantonen dat het boek nog wel gebruikt wordt op jouw instelling. Wij zullen uiteindelijk beslissen of we dit boek accepteren voor de verkoop. Mocht je van mening zijn dat het boek op de boekenlijst moet worden toegevoegd, dan kun je contact met ons opnemen. Wij geven geen garanties dat we het betreffende boek ook daadwerkelijk zullen opnemen in de boekenlijst, maar je kunt het in ieder geval proberen. Staat je boek vermeld op de meest recente boekenlijst, dan kun je het via je account aanmelden voor verkoop via HelloStudent!. Nadat je het boek hebt aangemeld heb je 5 werkdagen de tijd om het boek te deponeren in de container op de plaats die wij aangeven op de website. Meestal zal dat in of rondom de bibliotheek van je onderwijsinstelling zijn, maar controleer dit goed voor je de deur uit gaat. Het is jouw verantwoordelijkheid om het boek deugdelijk te verpakken, zodat het niet kan worden beschadigd tijdens opslag of vervoer. Zolang je van ons geen bevestiging hebt dat wij het boeken hebben ontvangen is het risico voor beschadiging voor jou. Het is daarom raadzaam om bijvoorbeeld een foto te nemen van het boek en de verpakking voordat je het deponeert. Zolang wij het boek niet aan iemand hebben verkocht blijft het boek jouw eigendom, maar jij geeft ons wel de volmacht om dat eigendom over te dragen aan een klant bij het sluiten van een koopovereenkomst. Zoals gezegd ontvang jij een bevestiging van ons wanneer wij het boek in ontvangst hebben genomen. Hierop staat het aantal ingeleverde boek vermeld, hun titels en een indicatie van de verkoopprijs per boek. Vanaf het moment waarop wij ontvangst van het boek bevestigen dragen wij het risico voor het boek.

4 Het staat ons vrij om een boek te weigeren. Wat de reden ook is, de beslissing is aan ons. Het kan zo zijn dat jij een studieboek aan het begin van het studiejaar inlevert die pas tegen het einde van het studiejaar voorgeschreven wordt. Wij doen ons best om het boek binnen 12 maanden nadat wij het van jou hebben ontvangen te verkopen. Lukt het niet om het boek binnen 12 maanden te verkopen of weigeren wij het boek, dan ontvang jij hiervan bericht. Je hebt dan 7 dagen de tijd om het boek op te halen. Wanneer je het ophaalt laat je ter verificatie ons bericht aan jou zien om ervoor te zorgen dat niemand anders zomaar met je boek ervandoor kan gaan. Heb je zelf niet de mogelijkheid om het boek op te halen, dan kan iemand anders dat ook in jouw naam doen, mits deze persoon ons bericht aan jou kan overleggen. Mocht je het boek niet binnen 7 dagen hebben opgehaald, dan zullen wij het boek doneren aan een goed doel of op een andere manier uit onze collectie verwijderen. Mocht je je bedenken en het boek toch niet willen verkopen via HelloStudent! dan kan je op elk gewenst moment hierover een bericht naar ons sturen. Zolang het boek nog niet verkocht is zullen wij het voor jou uit onze collectie halen en je een bevestiging hiervan sturen. Vanaf dat moment heb je 7 dagen de tijd om het boek bij ons te komen ophalen. Je zult het bericht hierover aan ons moeten kunnen laten zien ter verificatie, om ervoor te zorgen dat wij je boek niet per ongeluk aan een derde weggeven. Mocht je het boek niet binnen 7 dagen hebben opgehaald, dan zullen wij het boek doneren aan een goed doel of op een andere manier uit onze collectie verwijderen. 6. Zo wordt de prijs bepaald Eens in de zoveel tijd publiceren wij op onze website een boekenlijst van boeken die je mag aanbieden via HelloStudent! en de laagst bekende nieuwprijs voor elk van die boeken. De boekenlijst kan op elk gewenst moment worden bijgewerkt of vernieuwd, dus het is jouw taak om deze geregeld te controleren. Het uitgangspunt voor de bepaling van de prijs van je boek is 65% van de nieuwprijs van het boek. Die nieuwprijs vind je, zoals gezegd, op de boekenlijst terug. Het uitgangspunt is dat je 40-50% van de nieuwprijs van het boek ontvangt, afhankelijk van de staat van het boek, als het wordt verkocht. Wij houden het overblijvende percentage (dus 65% minus jouw percentage voor het boek) als vergoeding voor onze dienstverlening. Zolang het boek niet is verkocht ontvangen wij beiden dus niets. Het kan zijn dat je boek beschadigd is of om een andere reden niet voor 65% van de nieuwprijs kan worden verkocht. Het oordeel hierover is aan HelloStudent!, maar we kunnen met elkaar in overleg treden over een lagere verkoopprijs. Jij ontvangt dan een lager percentage van de nieuwprijs als het boek wordt verkocht. Onze vergoeding is altijd minimaal 10% van de nieuwprijs. Ga je niet akkoord met het percentage, dan staat het je vrij om je boek op te halen zoals omschreven in hoofdstuk 5. Wanneer jij je boek bij ons hebt ingeleverd op de wijze in hoofdstuk 5 ontvang jij van ons een bevestiging van ontvangst met een indicatie van de verkoopprijs. Die verkoopprijs is gebaseerd op de laagste nieuwprijs voor het boek. In het geval de nieuwprijs zakt in de periode tussen het moment waarop je het boek bij ons hebt ingeleverd en het moment waarop wij wij het boek voor jou hebben verkocht, dan wordt jouw opbrengst en de vergoeding aan ons berekend op basis van die lagere nieuwprijs.

5 7. Over de koop en verkoop van boeken Nadat wij jou een ontvangstbevestiging hebben gestuurd van de door jou ingeleverde boek bieden wij het aan in onze fysieke of online winkel. Wij doen natuurlijk ons uiterste best het boek voor je te verkopen, maar wij geven geen garanties dat dat ook lukt. Wanneer een klant het boek koopt heeft hij het recht het binnen een bepaalde periode te retourneren. De lengte van die periode hangt af van de locatie waar de koopovereenkomst tot stand is gekomen: in de fysieke winkel of online. Zolang de periode waarbinnen de klant het boek mag retourneren nog loopt houden wij de betaling van de klant vast. Wanneer de periode waarbinnen de klant het product had mogen retourneren is afgelopen en het boek niet retour is gekomen, is de koopovereenkomst definitief. 8. Uitbetaling aan jou Zodra de koopovereenkomst definitief is ontvang je hierover van ons bericht. De opbrengst van de verkoop van het boek, verminderd met de vergoeding voor onze diensten zoals je kunt lezen in hoofdstuk 6, maken we aan jou over binnen 10 werkdagen. Het is daarom heel belangrijk dat jij de juiste rekeninggegevens aan ons doorgeeft in je account. Zolang het boek via HelloStudent! te koop wordt aangeboden is het niet toegestaan dat de koper van het boek jou rechtstreeks, buiten ons om, betaalt. 9. Aansprakelijkheid Nooit leuk, maar wel belangrijk. Jij bent volledig verantwoordelijk en aansprakelijk voor het gebruik van je account en het handelen volgens de regels uiteengezet in deze algemene verkoopvoorwaarden. Doe je dat niet, dan ben je daar zelf voor aansprakelijk en vrijwaar je HelloStudent! voor alle schade en/of kosten van wat voor aard dan ook die voortvloeien uit de niet nakoming van één of meerdere verplichtingen uit deze algemene verkoopvoorwaarden. Je mag je niet voordoen als een agent of vertegenwoordiger van HelloStudent! richting wie dan ook. In het bijzonder mag je geen toezeggingen doen of verplichtingen aan gaan voor of namens ons. Doe je dat wel, dan ben je daar zelf voor aansprakelijk en vrijwaar je HelloStudent! voor alle schade en/of kosten van wat voor aard dan ook die voortvloeien uit het niet nakomen van deze bepaling. Tenzij er sprake is van opzet of grove schuld is HelloStudent! niet aansprakelijk voor jouw schade en/of kosten van wat voor aard dan ook in verband met het gebruik van de diensten van HelloStudent!, (de juistheid van de informatie op) de Website, technische stortingen et cetera. Indien een daartoe bevoegde rechter de uitsluiting van aansprakelijkheid geheel of gedeeltelijk vernietigt dan komen jij en HelloStudent! reeds nu overeen dat de aansprakelijkheid van HelloStudent! in zulks geval enkel zal zijn voor direct aantoonbaar geleden schade/gemaakte kosten en dat deze aansprakelijkheid nooit meer dan 100 per jaar in totaal zal bedragen.

6 10. De laatste puntjes Soms veranderen de spelregels en in zo een geval hebben wij het recht deze algemene verkoopvoorwaarden aan te passen. De nieuwe algemene verkoopvoorwaarden gelden vanaf het moment dat ze op onze website worden geplaatst. Mocht je het niet eens zijn met de nieuwe algemene verkoopvoorwaarden, dan heb je natuurlijk altijd het recht je account bij ons te beëindigen en onze diensten niet meer af te nemen. Mocht het zo zijn dat een bepaling in deze voorwaarden in strijd is met het toepasselijke recht, dan wordt die bepaling aangepast op zo een manier dat deze alsnog in overeenstemming is met het toepasselijke recht. Bij zo een aanpassing wordt er zoveel mogelijk gekeken naar het achterliggende doel van de betreffende bepaling. Soms moeten we even iets kwijt over onze dienstverlening, je account of onze website. Als je een account aan maakt, dan ga je ermee akkoord dat we je van tijd tot tijd hierover informeren per e- mail. 11. Over privacy Om onze diensten aan te kunnen bieden hebben we persoonlijke gegevens van je nodig. Als je wil weten welke gegevens wij verzamelen en wat we met je gegevens doen, lees dan onze Privacy Statement via onze website Mocht er een conflict ontstaan Op deze algemene verkoopvoorwaarden is Nederlands recht van toepassing. Heb je een klacht of opmerking? Neem dan alsjeblieft contact met ons op, wij zullen ons best doen om je klacht naar wens af te handelen. Mochten we in een conflict verzeild raken (en wij hopen natuurlijk dat het nooit zo ver komt), dan wordt het conflict voorgelegd aan de bevoegde rechter in het arrondissement Den Haag.

7 Terms and Conditions for the sale of books via HelloStudent! These Terms and Conditions for the sale of books via HelloStudent! apply when you use HelloStudent! s services to sell your used study books. We realize the title of the document is a mouthful so elsewhere in this document we will refer to them as the general terms of sale. To make this document easier to read we have divided it into chapters and have tried to make everything as clear as possible for you. 1. Definitions Certain words are used throughout these general terms of sale. To ensure that there is no confusion about the meaning of these words, we have dedicated the first chapter to definitions. First things first, let us introduce ourselves. HelloStudent! is a sole proprietorship located at the Papsouwelaan 360 in Delft. At the Chamber of Commerce you can find us under number , we use VAT number NL B01 for tax purposes and we do our banking via account number NL97 BUNQ In these general terms of sale we refer to ourselves as HelloStudent! and we (and sometimes us/our). When we refer to you (and sometimes your), we mean you as in the person who created an account on our website and/or sells a book through HelloStudent! Speaking of books, by book we mean the most recent or second most recent editions of new and second-hand student textbooks, which we have been accepted for sale through HelloStudent! The book list is the list containing books you may offer for sale through us. The book list is published on our website and includes the retail price of each book. The website is of course To be able to offer books through HelloStudent! you need an account. An account is the part of the website that is only accessible to you when you log in with your personal username and password. The retail price of a book is the lowest price for which a recognized book seller offers the book in unused new state. Based on a percentage of the new price, we calculate our commission, which is called the fee. Our fee will be deducted from the selling price and the sum remaining is what you receive. The selling price is defined as the price for which we sell a book to a customer, including VAT and our fee. A customer is a natural person who concludes a purchase agreement with us to buy a book you re offering. For the sake of completeness, under a purchase agreement, we understand the agreement with the customer entered by us on your behalf to sell your book to the customer for the selling price. The bold terms above are in singular form, but the definition also applies to the corresponding term in plural. 2. General information We offer you the opportunity to sell your study books to fellow students through us. Because we save you a lot of time and effort, we calculate a small fee for our services. The rest of the proceeds of the sale are for you.

8 You will only receive the aforementioned proceeds if the book is actually sold. If your book is not sold, neither you nor we receive payment. The book will, of course, remain your property and you may at any time notify us that you would like it back. To ensure that we are authorized to sell your books, you give us a proxy to do so when you submit your books to us. We then try to sell your book. When we conclude a purchase agreement the customer pays us the selling price, from which we deduct our fee and transfer the rest of the proceeds to you in accordance with these general terms of sale. 3. About your account If you want to sell books through HelloStudent! you will need to register an account with us on our website. The following rules apply when you register for an account: You must be at least 18 years old. When you are under 18, you need permission from your parent(s)/guardian(s) to create an account and sell your books through us. It is your responsibility to get that permission. You need to have a valid Dutch bank account. You must fill in all the information truthfully and check all entered data properly, as we use them to communicate with you and transfer your proceeds. It is your responsibility to share the correct information with us. Your account is yours and yours alone. This means that you are responsible for keeping your account safe (including your login information) and for what happens to your account. You may only have one account per person and no one else may use your account. You may not be a company or act on behalf of a company. Before you create an account you will have the opportunity to review these general terms of sale. If you decide to create an account, we assume that you re familiar with the general terms of sale and agree with them. You can reread them at any time on our website. We may choose to not grant you an account, ask additional requirements for activating your account or block your account. This may be for several reasons, for example, when (we suspect that) these general terms of sale or other applicable terms are violated, if there is (suspected) fraud or your use of the account interferes with the proper functioning of our website. Whatever the reason, the decision is ours. When we opt for one of the above options you will not be entitled to reimbursement of any costs or any damages. 4. About the books Not all books are accepted by us. Below are a number of conditions the books you wish to sell through HelloStudent! need to meet: You may only offer books that are your property. You may only offer the most recent edition or second most recent edition of the book. You may offer both new and used books. Used books may have minor damage to the cover and may contain marks to a limited extent. Ultimately, it is up to us to assess whether a book is eligible for sale. If a book is listed on the book list, you may sell it through us. If the book is not on the book list, we will assess whether we will accept and try to sell the book.

9 5. Offering your books to us If you want to sell a book via HelloStudent!, then the first thing you ll need to do is log in to your account on our website. You need to check if your book is listed on our book list. If that is not the case then you can still offer the book through us, if you can prove that the book is still being prescribed by your educational institution. Ultimately, the decision to accept your book for sale lies is ours. If you re of the opinion that the book must be added to our book list, please contact us. We do not guarantee that we will actually include that book in the book list, but you can give it a try. If your book is listed on our most recent book list, you can register it for sale through HelloStudent! After you register the book for sale, you have 5 working days to deposit the book in a container at the location indicated on our website. Usually, this will be in or around the library of your educational institution, but double check this before you leave the house. It s your responsibility to properly wrap and package the book so that it cannot be damaged during storage or transportation. As long as you have not received a confirmation that we have received the book in good order, you shall bear any risk for damage to the book. It is therefore advisable to take a picture of the book and the packaging before you deposit it. The book will remain your property as long as we have not sold it, but by using our services you give us a proxy to transfer ownership of the book to a customer after concluding a purchase agreement. As stated, you will receive a confirmation from us when we have received your book(s). The confirmation shall include the number of books submitted, their titles and an indication of the selling price per book. From the moment we confirm receipt of the book, we bear the risk for any damage to the book. We are free to refuse a book. Whatever the reason, the decision is ours. It may be the case that a book submitted by you at the beginning of the academic year is only prescribed by the end of the academic year. We will do our best to sell the book within 12 months after we receive it from you. If we do not succeed in selling the book within 12 months or if we decline the book, you will receive a corresponding notification. You then have 7 days to pick up the book. When you pick it up, you'll need to be able to show our notification to you to ensure that nobody else can take your book home. If you cannot collect the book yourself, someone else can do it for you, provided that this person is able to show our notification to you. If you do not retrieve the book within 7 days, we will donate the book to a charity or otherwise remove it from our collection. You may at any time decide to stop offering your book through us. In that case you must send us a message as soon as possible. As long as the book has not been sold, we will remove it from our collection and send you a confirmation. From that moment on you have 7 days to collect the book. You'll need to be able to show our notification to you to ensure that nobody else can take your book home. If you cannot collect the book yourself, someone else can do it for you, provided that this person is able to show our notification to you. If you did not retrieve the book within 7 days, we will donate the book to a charity or otherwise remove it from our collection.

10 6. Pricing Every once in a while, we publish a list of books you can offer through HelloStudent! on our website, including the lowest available retail price for each of those books. The book list can be updated or renewed at any time, so it's wise to check the book list regularly. The selling price of your book is set at 65% of the retail price of the book, unless stated otherwise. As mentioned above, you will find the retail price on the book list. Depending on the state of your book, your proceeds when the book is sold are set at 40% to 50% of the retail price. The remaining percentage is our fee (i.e. 65% or a different agreed upon percentage minus your percentage for the book) for our services. As long as the book is not sold, neither you nor we receive any remuneration. Your book may be damaged or there may be another reason why the book cannot be sold for 65% of the retail price. In such a case we can discuss a lower selling price, but the final decision lies with HelloStudent! In such case you ll receive a lower percentage of the retail price when the book is sold. Our fee is always at least 10% of the retail price. If you do not agree with the proposed percentage as your proceeds, you are free to collect your book as described in Chapter 5. Once you have submitted your book to us in the manner described in Chapter 5, you will receive a receipt from us with an indication of the selling price. The selling price is based on the lowest available retail price for the book. In case the retail price drops during the period between the moment of your submission of the book to us and the moment we sell the book for you, then your proceeds and our fee will be calculated on the basis of that lower retail price. 7. About the sale of your books After we have sent you a receipt of your book, we will offer it for sale in our physical or online store. Of course, we try our best to sell the book for you, but we do not guarantee that we will succeed in doing so. When a customer buys the book, he has the right to return it within a certain period of time. The length of that period depends on the location of the purchase: in the physical store or online. As long as the period within which the customer is allowed to return the book has not lapsed, we will hold the customer's payment. When the period within which the customer was allowed to return the book has expired without the book being returned, the purchase agreement becomes final. 8. Our payment to you As soon as the purchase agreement is final, you will receive a notification. As mentioned in chapter 6, the proceeds of the sale minus our fee are yours. We shall transfer your proceeds within 10 working days to the bank account provided by you. It is therefore important to submit the correct bank account information to us in your account on our website. As long as the book is offered for sale via HelloStudent! you are not allowed to receive payment directly from the customer, excluding us.

11 9. Liability Never a fun subject, but important nonetheless. You are fully responsible and liable for the use of your account and your acting in accordance with the rules set out in these general terms of sale. Not abiding to these terms comes at your own risk and you shall indemnify HelloStudent! for all damages and/or costs of any kind arising out of your noncompliance with one or more obligations under these general terms of sale. You may not act as an agent or representative of HelloStudent! towards anyone. In particular, you cannot make any commitments or accept obligations for or on our behalf. If you do, you will be liable and you shall indemnify HelloStudent! for all damages and/or costs of any kind resulting from noncompliance with this provision. Unless there is intent or gross negligence on the side of HelloStudent!, we are not liable for your damages and/or costs of any kind in connection with the use of HelloStudent! s services, the accuracy of the information on the website, technical malfunctions and so on. If a competent court nullifies this exclusion of liability in whole or in part, you and HelloStudent! agree in advance to limit the liability of HelloStudent! to no more than 100 a year in total and only for direct and demonstrable damages/costs incurred by you. 10. Last but not least We have the right to adjust these general terms of sale at any point in the future. The new general terms of sale shall apply from the moment they are published to our website. If you do not agree with the new general terms of sale, you will always be entitled to terminate your account with us and no longer make use of our services. In the event that a provision in these terms is contrary to applicable law, that provision will be amended in such a way that it becomes in accordance with the applicable law. When making such an adjustment, the underlying purpose of the relevant provision shall be taken into account as much as possible. Sometimes we need to inform you about our services, your account or our website. When you register for an account with us you agree that we can you relevant information from time to time. 11. Do you have a complaint or comment? Please contact us, we will do our best to resolve your complaint as desired. Should we get into a conflict (and we hope, of course, we never will), the conflict must be submitted to the competent court in the judicial district of The Hague.
