This presentation is different from the format that is required by present Dutch regulations. Starting the financial year 2003, the Company applies the required presentation format for the consolidated income statement and the comparative figures for the financial year 2002 have been adapted accordingly. In the overview with summary financial information, the comparative figures for the financial years 1999 up till and including 2001 have not been adapted, but are presented in accordance with the original applied format for presentation. 13 11 Media Group The Media Group s business consists predominantly of Media Groep Deze bedrijfsactiviteit bestaat voornamelijk uit de fabricage van CD s, CD-ROM s en DVD s (Audio, ROM en Video) ten behoeve van uitgevers. Via haar werkmaatschappijen in Nederland, Frankrijk, Duitsland en het Verenigd Koninkrijk levert DOCdata aan uitgevers authoring, (pre)productie, kopieerbeveiliging, verpakking, ontwerp en andere toegevoegde waarde diensten. Onze klanten zijn hoofdzakelijk onafhankelijke muziek-, spelletjes- en filmmaatschappijen, gespecialiseerde softwareontwikkelaars en leveranciers van digitale informatie. Daarnaast levert DOCdata productiecapaciteit aan grote film- en muziekuitgevers indien zij zelf met hun eigen capaciteit niet aan de vraag kunnen voldoen. DOCdata is in staat op korte termijn te voorzien in CD- en DVD-productieservices en hieraan gerelateerde diensten. Dit stelt onze klanten in staat te voldoen aan de wisselende vraag van de consument. 15 13 E-commerce Fulfillment DOCdata s e-commerce fulfillment business specialises in fine meshed logistics and personalised distribution. Services offered include procurement, allocation, picking, sorting, warehousing, personalisation, packing, shipping, invoicing and support of credit card collection. The fulfillment center in Waalwijk, the Netherlands, processes goods like small electronics, books, CDs, DVDs, videotapes, software, games, premiums and related products for e-commerce, retail and direct marketing companies. Orders are shipped predominantly in Europe. E-commerce Fulfillment DOCdata s e-commerce fulfillment activiteit houdt zich bezig met fijnmazige logistiek en gepersonaliseerde distributie. De aangeboden diensten omvatten onder meer inkoop, ontvangst en opslag, orderpikken, sorteren, personaliseren, verpakken, verzenden, facturering en het ondersteunen van creditcard betalingen. Het fulfillment centrum in Waalwijk, Nederland, kan goederen als kleine elektronica, boeken, CD s, DVD s, videobanden, software, spelletjes, premiums en aanverwante producten verwerken voor e-commerce bedrijven, detailhandel en direct marketing bedrijven. 17 ImagePerf Verification at a glance Industrial Automation Integrators Industrial Automation Integrators (IAI) is gespecialiseerd in het ontwerpen en bouwen van productiesystemen gebaseerd op optische- en lasertechnologie voor een breed spectrum aan industriële gebruikers. IAI concentreert zich op drie belangrijke aandachtsgebieden: documentbeveiliging, ondertiteling van films en bewerkingsprocessen voor verpakkingsmateriaal. In aanvulling daarop is IAI actief als partner in gevallen waar specifieke knowhow van klanten kan worden gecombineerd met de eigen expertise van IAI op het gebied van optische- en lasertechnologie. Beveiliging IAI brengt documentbeveiliging naar een hoger niveau met innovatieve antifraude maatregelen gebaseerd op lasertechnologie. Voor internationaal opererende veiligheidsdrukkers, financiële instellingen en overheidsinstellingen ontwikkelt IAI documentbeveiligingsconcepten die zijn gebaseerd op de kracht van lasertechnologie. De natuurkundige eigenschappen van een laserstraal maken perforatie en/of gravering mogelijk welke duidelijk te onderscheiden is van allerlei soorten mechanisch aangebrachte perforatie en/of gravering. De beveiligingskenmerken van IAI zijn eerstelijns kenmerken, welke met behulp van slechts het blote oog zijn te verifiëren. Ondertiteling IAI levert volledig geautomatiseerde laserondertitelingsystemen ten behoeve van de filmindustrie. Verpakkingen IAI heeft in nauwe samenwerking met de belangrijkste fabrikanten van verpakkingen, en door gebruik te maken van een nieuwe geavanceerde lasertechnologie, systemen voor Easy Opening by Laser ontwikkeld voor de verpakkingsindustrie. Door toepassing van de kracht van lasertechnologie kunnen ontwerpers en bewerkers van verpakkingsmaterialen het openen van een verpakking zo makkelijk maken als het omslaan van een bladzijde, zonder dat dit afbreuk doet aan de bescherming van de inhoud daarvan. Nieuwe ontwikkelingen Bij de ontwikkeling van nieuwe systemen werkt IAI intensief samen met opdrachtgevers zodat de verzamelde kennis en ervaring van beide partijen het systeemontwerp ten goede komen. Industrial Automation Integrators Industrial Automation Integrators (IAI) is specialised in design and building of production systems which utilise optical and laser technology for a broad spectrum of industrial users. IAI focuses on three major areas: Document Security, Motion Picture Subtitling and Processing of Packaging Materials. In addition, IAI is active in co-makership arrangements in which the specific customer s know-how is combined with our own expertise in laser and optical technology. Security IAI takes document security into a new age with anti-fraud innovation based on laser technology. For international operating security printers, financial institutions and government authorities, IAI created document security concepts based on the power of laser technology. The physical characteristics of a laser beam enable a perforation and/or engravure, which is clearly distinguishable from the mechanically punched or etched variety. IAI s security features are first line features, which are easy to check with only the help of the naked eye. Subtitling IAI provides fully automated Laser Subtitling Systems to the motion picture industry. Packaging Working in close co-operation with major packaging companies and using a new advanced laser process, IAI developed systems for Easy Opening by Laser for the packaging industry. By applying the power of laser technology, packaging designers and converters can engineer an opening device that makes access to the contents as easy as turning a page without compromise to protection of the contained product. 20 18 Report of the Supervisory Board Verslag van de Raad van Commissarissen Financial Statements and Dividend Proposal Jaarrekening en dividendvoorstel The financial statements of DOCdata N.V. for 2003, as prepared by the Management Board, have been audited by KPMG Accountants N.V., independent public auditors. Their report appears on page 79. The Audit Committee and the Supervisory Board have discussed in the annual meeting with the independent public auditors and the Management Board the outcome and findings of the independent audit. We have approved the financial statements of DOCdata N.V. for 2003 and we recommend the General Meeting of Shareholders to adopt these financial statements in accordance with the proposal of the Management Board. Also, we recommend the General Meeting of Shareholders to adopt the Management Board s dividend proposal of EUR 0.25 per Ordinary Share. Furthermore, we request that the General Meeting of Shareholders discharges the Management Board for the management and the Supervisory Board for the supervision in De door de Directie opgestelde jaarrekening 2003 is door KPMG Accountants N.V. gecontroleerd en van een goedkeurende verklaring voorzien. Deze accountantsverklaring is opgenomen op pagina 79. De bevindingen van de externe accountant naar aanleiding van de controle van de jaarrekening zijn door de audit commissie en de Raad van Commissarissen in de jaarlijkse bijeenkomst met de externe accountant en de Directie besproken. Wij hebben de jaarrekening 2003 van DOCdata N.V. goedgekeurd en wij adviseren de Algemene Vergadering van Aandeelhouders deze jaarrekening in overeenstemming met het voorstel van de Directie vast te stellen. Tevens adviseren wij de Algemene Vergadering van Aandeelhouders het voorstel van de Directie te aanvaarden om een dividend van EUR 0,25 per gewoon aandeel vast te stellen. Verder verzoeken wij de Algemene Vergadering van Aandeelhouders decharge te verlenen aan de Directie voor het gevoerde bestuur en aan de Raad van Commissarissen voor het gehouden toezicht in The Supervisory Board is satisfied with the achieved result in 2003 and would like to thank the Management Board and personnel of DOCdata for their efforts in 2003, which have lead to the presented result. De Raad van Commissarissen is tevreden met het in 2003 behaalde resultaat en dankt de Directie en het personeel van DOCdata voor hun inzet in 2003 die heeft geleid tot het gepresenteerde resultaat. Meetings of the Supervisory Board Vergaderingen van de Raad van Commissarissen The Supervisory Board, acting in the interest of all the stakeholders of the DOCdata-group, supervises and advises the Management Board in performing its management tasks and the affairs of the group. Major management decisions, including the strategy, require the approval of the Supervisory Board. The Supervisory Board determines the remuneration of the members of the Management Board. De Raad van Commissarissen, handelend in het belang van alle belanghebbenden van de DOCdata-groep, adviseert en ziet toe op de Directie inzake het bestuur en de gang van zaken van de groep. Voor belangrijke directiebeslissingen inclusief strategische besluiten is de goedkeuring van de Raad van Commissarissen vereist. De beloning van de leden van de Directie wordt door de Raad van Commissarissen vastgesteld. The Supervisory Board met six times during 2003 in presence of the Management Board and had two telephone conferences. The Supervisory Board has not met in absence of the Management Board in 2003, as this appointment was rescheduled to January At the meetings, the Supervisory Board discussed, amongst other things, business strategy, business development, internal control systems, budgets, remuneration, management development, intermediate reporting and partnership forms. The Supervisory Board was duly informed and consulted by the Management Board with respect to the policies, activities, important decisions and the strategy of DOCdata. De Raad van Commissarissen kwam in 2003 zesmaal met de Directie bijeen. Verder werd tweemaal telefonisch overleg gevoerd met de Directie. In 2003 heeft geen overleg door de Commissarissen plaatsgevonden zonder de aanwezigheid van de Directie, aangezien dit overleg is verzet naar januari In de vergaderingen is onder andere gesproken over strategie, activiteitenontwikkeling, interne beheersingssystemen, begrotingen, beloning, management development, tussentijdse rapportages en samenwerkingsvormen. De Raad van Commissarissen werd door de Directie gedurende het jaar geïnformeerd over het beleid, de gang van zaken, belangrijke beslissingen en de strategie van DOCdata. DOCdata Jaarverslag 2003
