11 9 Company Profile DOCdata Media Group is a leading independent provider of supply chain management services to content owners: movie, audio, multimedia and software publishers in Europe. DOCdata E-commerce Fulfillment business specialises in fine meshed logistics and personalised distribution for amongst others Internet shops, retail chains and hard- and software companies, predominantly for the European market. Industrial Automation currently designs and builds production systems, which utilise optical and laser technology for application in amongst others document security systems for Bedrijfsprofiel DOCdata Media Groep is een vooraanstaande onafhankelijke dienstverlener voor media uitgevers op het gebied van film, audio, multimedia en software in Europa. 13 11 Media Group The Media Group s business consists predominantly of Media Group Deze bedrijfsactiviteit bestaat voornamelijk uit de fabricage van CD's, CD-ROM s en DVD's (Audio, ROM en Video) ten behoeve van uitgevers. Via haar werkmaatschappijen in Nederland, Frankrijk, Duitsland en het Verenigd Koninkrijk levert DOCdata aan uitgevers authoring, (pre)productie, kopieerbeveiliging, verpakking, ontwerp en andere toegevoegde waarde diensten. Onze klanten zijn hoofdzakelijk onafhankelijke muziek-, spelletjes- en filmmaatschappijen, gespecialiseerde softwareontwikkelaars en leveranciers van digitale informatie. Daarnaast levert DOCdata productiecapaciteit aan grote muziekuitgevers indien zij zelf met hun eigen capaciteit niet aan de vraag kunnen voldoen. DOCdata is in staat op korte termijn te voorzien in CD- en DVDproductieservices en hieraan gerelateerde diensten. Dit stelt onze klanten in staat te voldoen aan de wisselende vraag van de consument. De vier landenorganisaties binnen de Media Groep bevinden zich in belangrijke pre-recorded mediamarkten en hebben een gezamenlijke productiecapaciteit van ongeveer discs per dag. 15 13 E-commerce Fulfillment DOCdata s e-commerce fulfillment business specialises in fine meshed logistics and personalised distribution. Services offered include procurement, allocation, picking, sorting, warehousing, personalisation, packing, shipping, invoicing and support of credit card collection. The fulfillment center in Waalwijk, the Netherlands, processes goods like small electronics, books, CDs, DVDs, videotapes, software, games, premiums and related products for e-commerce, retail and direct marketing companies. Orders are shipped predominantly in Europe. E-commerce Fulfillment DOCdata s e-commerce fulfillment activiteit houdt zich bezig met fijnmazige logistiek en gepersonaliseerde distributie. De aangeboden diensten omvatten onder meer inkoop, ontvangst en opslag, orderpikken, sorteren, personaliseren, verpakken, verzenden, facturering en het ondersteunen van creditcard betalingen. Het fulfillment centrum in Waalwijk, Nederland, kan goederen als kleine elektronica, boeken, CD s, DVD s, videobanden, software, spelletjes, premiums en aanverwante producten verwerken voor e-commerce bedrijven, detailhandel en direct marketing bedrijven. DOCdata has an automated sorting system, which is able to process up to 20,000 shipments to individual consumers per day. 17 15 Industrial Automation Industrial Automation Industrial Automation Integrators (IAI) is gespecialiseerd in het ontwerpen en bouwen van productiesystemen gebaseerd op optische- en lasertechnologie voor een breed spectrum aan industriële gebruikers. IAI concentreert zich op drie belangrijke aandachtsgebieden: documentbeveiliging, ondertiteling van films en bewerkingsprocessen voor verpakkingsmateriaal. In aanvulling daarop is IAI actief als partner in gevallen waar specifieke knowhow van klanten kan worden gecombineerd met de eigen expertise van IAI op het gebied van optische- en lasertechnologie. Beveiliging IAI brengt documentbeveiliging naar een hoger niveau met innovatieve antifraude maatregelen gebaseerd op lasertechnologie. Voor internationaal opererende veiligheidsdrukkers, financiële instellingen en overheidsinstellingen ontwikkelt IAI beveiligingsconcepten die zijn gebaseerd op de kracht van lasertechnologie. De natuurkundige eigenschappen van een laserstraal maken perforatie en/of gravering mogelijk welke duidelijk te onderscheiden is van allerlei soorten mechanisch aangebrachte perforatie en/of gravering. De hoge resolutie en nauwkeurigheid waarmee de lasers van IAI opereren en de optische technologie waarop beveiligingsoplossingen zijn gebaseerd, zorgen er voor dat pogingen om beveiligde documenten na te maken of te vervalsen nagenoeg zinloos zijn. De beveiligingskenmerken van IAI zijn eerstelijns kenmerken, welke met behulp van slechts het blote oog zijn te verifiëren. Ondertiteling IAI levert volledig geautomatiseerde laserondertitelingsystemen ten behoeve van de filmindustrie. Verpakkingen IAI heeft in nauwe samenwerking met de belangrijkste fabrikanten van verpakkingen, en door gebruik te maken van een nieuwe geavanceerde lasertechnologie, systemen voor Easy Opening by Laser ontwikkeld voor de verpakkingsindustrie. Door toepassing van de kracht van lasertechnologie kunnen ontwerpers en bewerkers van verpakkingsmaterialen het openen van een verpakking zo makkelijk maken als het omslaan van een bladzijde, zonder dat dit afbreuk doet aan de bescherming van de inhoud daarvan. Industrial Automation Integrators (IAI) is specialised in design and building of production systems which utilise optical and laser technology for a broad spectrum of industrial users. IAI focuses on three major areas: Document Security, Motion Picture Subtitling and Processing of Packaging Materials. In addition, IAI is active in co-makership arrangements in which the specific customer s know-how is combined with our own expertise in laser and optical technology. Security IAI takes document security into a new age with anti-fraud innovation based on laser technology. For international operating security printers, financial institutions and government authorities, IAI created security concepts based on the power of laser technology. The physical characteristics of a laser beam enable a perforation and/or engravure, which is clearly distinguishable from the mechanically punched or etched variety. The high resolution and accuracy associated with IAI s laser and optical technology based solutions make attempts to counterfeit or forge security documents an almost futile activity. IAI s security features are first line features, which are easy to check with only the help of the naked eye. Subtitling IAI provides fully automated Laser Subtitling Systems to the motion picture industry. Packaging Working in close co-operation with major packaging companies and using a new advanced laser process, IAI developed systems for Easy Opening by Laser for the packaging industry. By applying the power of laser technology, packaging designers and converters can engineer an opening device that makes access to the contents as easy as turning a page without compromise to protection of the contained product. 20 18 Report of the Supervisory Board Verslag van de Raad van Commissarissen General Algemeen The financial statements of DOCdata N.V. for 2002, as presented by the Management Board, have been audited by KPMG Accountants N.V., independent public auditors. Their report appears on page 77. The Audit Committee and the Supervisory Board have discussed in the annual meeting with the independent public auditors the outcome and findings of the independent audit. We have approved the financial statements of DOCdata N.V. for 2002 and we recommend the General Meeting of Shareholders to adopt these financial statements in accordance with the proposal of the Management Board. De door de Directie opgestelde jaarrekening 2002 is door KPMG Accountants N.V. gecontroleerd en van een goedkeurende verklaring voorzien. Deze accountantsverklaring is opgenomen op pagina 77. De bevindingen van de externe accountant naar aanleiding van de controle van de jaarrekening zijn door de audit commissie en de Raad van Commissarissen in de jaarlijkse bijeenkomst met de externe accountant besproken. Wij hebben de jaarrekening 2002 van DOCdata N.V. goedgekeurd en wij adviseren de Algemene Vergadering van Aandeelhouders deze jaarrekening in overeenstemming met het voorstel van de Directie vast te stellen. Meetings of the Supervisory Board Vergaderingen van de Raad van Commissarissen The Supervisory Board, acting in the interest of all the stakeholders of the DOCdata-group, supervises and advises the Management Board in performing its management tasks and the affairs of the group. Major management decisions, including the strategy, require the approval of the Supervisory Board. The Supervisory Board determines the remuneration of the members of the Management Board. De Raad van Commissarissen, handelend in het belang van alle belanghebbenden van de DOCdata-groep, adviseert en ziet toe op de Directie inzake het bestuur en de gang van zaken van de groep. Voor belangrijke directiebeslissingen inclusief strategische besluiten is de goedkeuring van de Raad van Commissarissen vereist. The Supervisory Board met five times during 2002 in presence of the Management Board and had one telephone conference. The Supervisory Board has also met in absence of the Management Board. At these meetings, the Supervisory Board discussed, amongst other things, business strategy, internal control systems, budgets, remuneration, management development and acquisitions. The Supervisory Board was duly informed and consulted by the Management Board with respect to the policies, activities, important decisions and the strategy of DOCdata. The Supervisory Board aims for an appropriate combination of knowledge and experience amongst its members in relation to the activities of DOCdata. On May 16, 2002 the General Meeting of Shareholders has determined the remuneration for a period of six years, starting the financial year 2002 till 2007, at an amount of EUR 14,000 per year for members of the Supervisory Board and EUR 16,500 per year for the Chairman of the Supervisory Board. Corporate Governance Corporate Governance We generally endorse the recommendations of the Netherlands Committee on Corporate Governance. These recommendations have been subject of discussion within the Supervisory Board. We have expressly taken these recommendations at various points in the Annual Report. The Supervisory Board has drawn up rules for its own division of tasks and procedures, including a profile of itself and a schedule for retirement by rotation. In addition, we have introduced an Audit Committee and a Remuneration Committee in The Company closely monitors developments in the field of Corporate Governance and will, if appropriate, make additional changes to its annual reporting in the coming years. Wij onderschrijven in het algemeen de aanbevelingen van de Nederlandse commissie voor Corporate Governance. Cash flow generation and improvement of the financial position are satisfactory. The composition of results, and mainly the decline of results for the Media Group, is disappointing. The improvements realised by the divisions E-commerce Fulfillment and Industrial Automation in itself are satisfactory, however they are insufficient to fully compensate the decline in results for the Media Group. DOCdata keert na een periode van verliesgevendheid terug naar winstgevendheid. Over het genereren van cash en de verbetering van de financiële positie kunnen we tevreden zijn. De samenstelling van het resultaat, met name de achteruitgang van het resultaat binnen de Media Groep, is teleurstellend. 24 22 Outlook Vooruitzichten The uncertain economic situation in which the World economy found itself in 2001 has not improved in Declining consumer trust, followed by lower demand, has resulted in a growth for the World economy of only 1 to 2%. De onzekere economische situatie waarin de wereldeconomie in 2001 verkeerde is in 2002 niet verbeterd. Afgenomen consumentenvertrouwen, met als gevolg een dalende vraag, heeft tot een groei van de wereldeconomie geleid van niet meer dan 1 à 2%. Decreasing demand and overcapacity on the market will keep margins for the Media Group under pressure. Due to the market volatility, management is not able to provide a reliable expectation of the results for the Media Group. E-commerce Fulfillment is expected to further improve its EBIT in 2003 under the condition that the current customer base can be maintained. Under normal circumstances, the Industrial Automation division should be able to realise improvement of results in De marges in de Media Groep zullen vanwege de afnemende vraag en de overcapaciteit op de markt onder druk blijven staan. Organisation and Activities Organisatie en activiteiten DOCdata s activities have been organised in three divisions: Media Group: replicating CDs, DVDs (and also cassettes in the United Kingdom) and providing related services to content owners: movie, audio, multimedia and software publishers in Europe. In order to give superior customer service and fast turnaround times, DOCdata operates production facilities in the Netherlands, France, Germany and the United Kingdom. E-commerce Fulfillment: fine meshed logistics and personalised distribution for amongst others Internet shops, retail chains and hard- and software companies, predominantly for the European market. Industrial Automation: currently designs and builds production systems, which utilise optical and laser technology for application in amongst others document security systems for high security printers and equipment for processing of packaging materials. Industrial Automation also provides security features for authentication. DOCdata s activiteiten zijn georganiseerd in drie divisies, te weten: Media Groep: productie van CD s, DVD s (en cassettes in het Verenigd Koninkrijk) en levering van aanverwante diensten aan uitgevers op het gebied van audio, multimedia, film en software in Europa. Business Strategy Strategie General DOCdata s goal is to create value for the shareholders, as well as for all other stakeholders of the Company. Other stakeholders include our clients, employees and suppliers. In recent years, the primary attention of the DOCdata management was focussed on restructuring, with an emphasis on reducing costs and generating cash flow. This has resulted in a strong financial position. 25 23 In addition to a further optimisation of the cash flow from the Media Group, the management of DOCdata will for the coming years mainly focus on growth of the Industrial Automation division. This growth may be achieved autonomously, as well as through acquisitions, but will be concentrated on expansion in the security market. The goal is to apply new technologies in current authentication solutions, and to introduce current applications in new markets, for example brand protection. Focus for the E-commerce Fulfillment division will predominantly be directed at autonomous growth. Het management van DOCdata zal zich in de komende jaren, naast het verder optimaliseren van de cashflow van de Media Groep, vooral richten op groei binnen de Industrial Automation divisie. Deze groei zal zowel autonoom als door acquisitie kunnen plaatsvinden, met name door een verdere uitbouw in de identificatie- (ID) en authenticatie-beveiligingsmarkt. Media Group For the Media Group the strategy will remain focussed on maximising the cash flow for the coming years. We will however keep investing in DVD production capacity in order to safeguard our future cash flows. A part of the decline in production of CDs will be compensated with DVD production. Media Groep Voor de Media Groep zal de strategie erop gericht blijven om een maximale cashflow te realiseren over de komende jaren. Wij blijven daarbij investeren in DVD productiecapaciteit om onze toekomstige cashflow veilig te stellen. Een gedeelte van de neergang in CD productie zal gecompenseerd kunnen worden met DVD productie. The following factors may have an important influence on the development in results of the Media Group: price development for raw materials; developments regarding royalties for CD and DVD production; market developments, such as digital downloading. Belangrijke factoren die de resultaatontwikkeling van de Media Groep kunnen beïnvloeden zijn: prijsontwikkeling van grondstoffen; ontwikkelingen op het gebied van royalty s voor CD en DVD productie; marktontwikkelingen, zoals digitaal downloaden. DOCdata is, for a large part of the turnover, still dependent on the production of CDs. Due to the increased illegal copying of CDs and the fierce price competition on the production market, the turnover of the Media Group will remain under pressure. The DVD market is buoyant, but the largest part of this market is DVD-video. DOCdata does not yet have a strong foothold in the market. Production royalties have a material impact on the cost price for CD and DVD and may also influence the competitive position of DOCdata, in case not all CD and DVD production companies pay these royalties. DOCdata is nog voor een groot deel van de omzet afhankelijk van de productie van CD s. Door de grote toename van het illegaal kopiëren van CD s en de forse prijsdruk als gevolg van de stevige concurrentie zal de omzet van de Media Groep verder onder druk staan. E-commerce Fulfillment The division E-commerce Fulfillment has shown little growth in 2002; the strategy however remains focussed on growth as more and more products are purchased through the Internet. DOCdata is, in addition to autonomous growth, analysing the possibilities for partnerships and small scale acquisitions in order to extend the service offering. E-commerce Fulfillment De divisie E-commerce Fulfillment heeft in het jaar 2002 relatief weinig groei laten zien; toch blijft de strategie van DOCdata erop gericht om hier autonoom te groeien. 26 24 The most important risk for the development of E-commerce Fulfillment is the continuity of the customer base. Industrial Automation The division Industrial Automation remains focused on operating in several niche markets, especially in the market for the security of documents. For a part of its revenue the division Industrial Automation functions as a third party engineering contractor to its customers. Industrial Automation De Industrial Automation divisie blijft zich richten op bepaalde nichemarkten. Dit is met name in de markt voor de beveiliging van documenten. Tevens opereert de Industrial Automation divisie voor een gedeelte van de omzet als een ontwikkelafdeling ten behoeve van de klanten. In the market for security systems, the division Industrial Automation has a number of security applications. From these, two of them look promising: 1. MicroPerf for the authentication of banknotes. This security feature is already applied in the Swiss banknotes and will shortly be applied to some of the Russian banknotes. 2. ImagePerf for the authentication of identity documents. ImagePerf is predominantly applied in passport application, currently in several countries in Europe. In the Netherlands ImagePerf is also applied in high secure IDcards on a standard card format. In de beveiligingsmarkt heeft de Industrial Automation divisie een aantal toepassingen waarvan er twee veelbelovend lijken: 1. MicroPerf voor het beveiligen van bankbiljetten. Voor wat betreft de beveiliging van bankbiljetten is MicroPerf toegepast in Zwitserse bankbiljetten en binnenkort ook in enkele Russische bankbiljetten. 2. ImagePerf voor het beveiligen van identiteitsdocumenten. Voor wat betreft de beveiliging van ID-documenten is ImagePerf in meerdere Europese landen in gebruik voornamelijk ten behoeve van paspoorten en in Nederland ook voor ID-cards op klein formaat. Currently the division Industrial Automation supplies the systems for the application of the security features to the market. The division also supplies maintenance services to its customers. For ImagePerf customers pay a license fee per processed document for the use of the technology owned by the division Industrial Automation. In de huidige projecten levert de Industrial Automation divisie de machines voor het aanbrengen van de beveiliging. Daarnaast worden onderhoudscontracten met de afnemers gesloten. ImagePerf is een door de Industrial Automation divisie ontwikkelde toepassing. Voor het gebruik van de toepassing worden door de afnemer royalty s betaald per geproduceerd document. On a worldwide scale the damages as a result of identity fraud are estimated to be in the range of EUR 25 billion. Also identity fraud is associated with safety risks. In the future, a person not only has to give his identity but also has to prove his identity. Authentic ID documents supplemented with digital ID s and biometrical verification means will play an important role in the future. It is expected that the identification market will grow significantly in the near future. Momenteel wordt de wereldwijde schade als gevolg van identiteitsfraude op circa EUR 25 miljard geraamd. Verwacht wordt dat de markt ten behoeve van identificatie in de toekomst sterk zal groeien. The most important risk that can influence the development of the division Industrial Automation is the risk of the availability of new and cheaper technology that will make the application of the division Industrial Automation less economic. Also the projects of the division Industrial Automation bear not only a technological risk but also a control risk. These risks may influence the results of the division Industrial Automation. Het belangrijkste risico dat de ontwikkeling van de Industrial Automation divisie zouden kunnen beïnvloeden is het risico van het beschikbaar komen van nieuwe goedkopere technologieën welke de toepassing van de Industrial Automation divisie minder economisch maken.
