1 PERSBERICHT Rotterdam, 11 mei 2010 Handelshuis zet met 100 miljoen overname reuzenstap in food commodities Acomo verwerft leidende marktpositie in de wereldhandel in thee en zaden Amsterdam Commodities NV (Acomo) heeft met N.V. Deli Maatschappij (Deli) overeenstemming bereikt over de overname van hun thee- en zadenactiviteiten voor een totaalbedrag van circa 100 miljoen. Hiermee verdubbelt het handelshuis in specerijen, noten en voedingsingrediënten in omvang. Met de overname van de Van Rees Group en Red River Group verwerft Acomo in één keer een leidende marktpositie in de handel in thee en zaden. De geacquireerde bedrijven zijn wereldwijd actief met vestigingen op vier continenten. Voor Acomo, dat in 2008 honderd jaar notering aan de Amsterdamse beurs vierde, is deze overname, die nog goedkeuring behoeft van de aandeelhouders, een grote doorbraak die naadloos past in de enkele jaren geleden ingezette strategie Focus op Food. Acomo betaalt Deli 67,5 miljoen in contanten, 8 miljoen in de vorm van eigen aandelen en 5 miljoen in de vorm van een converteerbare obligatielening. Daarbij neemt het een netto schuld over van circa 20 miljoen (per 31 maart 2010).

2 'We hebben jaren toegewerkt naar een mooie overname als deze. Dit is een fantastische ontwikkeling voor onze aandeelhouders: we verbreden onze productportefeuille, spreiden de handelsrisico s en bieden nieuw perspectief voor een forse rendementsgroei van ons aandeel, aldus Stephane Holvoet, Managing Director van Acomo. Beide bedrijfsonderdelen van Deli hebben een leidende positie op hun respectievelijke markten. Ze beschikken, aldus Holvoet, over zeer ervaren en deskundig management en dito handelsteams. Wat dat betreft lijken ze heel erg op onze specerijenhandel. We hebben dezelfde handelsgeest en een vrijwel identieke historische achtergrond en wij delen met onze sterk gelijkende bedrijfsculturen eenzelfde visie ten aanzien van business ethiek en waardecreatie op lange termijn. Onze thee- en zadenbedrijven passen uitstekend bij Acomo en ik heb er alle vertrouwen in dat het bestaande potentieel en de plannen gerealiseerd gaan worden. Bij Deli een onderneming met een omzet van bijna 1,2 miljard en 3000 mensen ligt het zwaartepunt in de toelevering van hout- en bouwmaterialen aan de bouwsector en de toelevering van constructieve en decoratieve materialen aan de DHZ ketens en tuincentra. De gewenste uitbreiding in alle sectoren is niet altijd tegelijk te realiseren. Wij zijn er van overtuigd dat het potentieel van de Deli thee- en zadenbedrijven beter bij Acomo tot zijn recht komt. Na de transactie beschikt Acomo met Van Rees en Red River in één keer over een wereldwijd gespreid netwerk van klanten en producenten, een deskundige product- en marktexpertise, eigen verwerkingsfaciliteiten en een door de markt hooggewaardeerde klantenservice. Beide bedrijven zijn financieel gezond en kunnen bogen op een uitstekende marktreputatie bij leveranciers en afnemers. Die criteria vormen het fundament onder het succes van de twee bedrijven en zijn sterk vergelijkbaar met die van Catz International. Gebaseerd op onze

3 focus op food commodities, bieden beide bedrijven interessante groeimogelijkheden, zowel autonoom als door overnames, aldus Holvoet. De wereldwijde omzet van Acomo ziet er na de acquisitie als volgt uit: De Van Rees Groep ( is de grootste onafhankelijke theehandelaar ter wereld met eigen vestigingen in Nederland, Sri Lanka, Kenia, Malawi, Indonesië, Egypte, het Verenigd Koninkrijk, Noord-Amerika, Rusland en Vietnam. De groep heeft rechtstreeks toegang tot producenten in alle belangrijke theeproducerende landen inclusief Argentinië en China. De groep verhandelt, bewerkt, melangeert en distribueert wereldwijd ton thee, goed voor een omzet van $ 182 miljoen in het afgelopen boekjaar, afgesloten op 31 maart Veel belangrijke internationale theepakkers en de grote regionale theepakkers zijn er klant. De groep heeft circa 130 medewerkers en speciale mix- en opslagfaciliteiten in vrijwel alle landen waar de groep actief is.

4 Red River Groep ( met hoofdkantoor in Fargo in North Dakota, is een vooraanstaande wereldmarktspeler in de handel in, en schoning, bewerking en distributie van confectionary zonnebloemzaden, maanzaad en karwijzaad. Deze producten vinden hun weg naar de voedingsmiddelenindustrie, de groothandel en de winkelketens. De groep levert en produceert ook van zaden gemaakte snacks zoals gezouten en geroosterde zonnebloemzaden. Verder bekleedt het bedrijf een sterke positie in de markt voor wild bird food. In de Verenigde Staten is wild bird food na tuinieren - de op één na grootste post in vrijetijdsbestedingen. Tenslotte produceert Red River SunButter, een succesvol antiallergisch alternatief voor peanut butter. De groep verwerkt jaarlijks ton zaden, goed voor een omzet in het net afgesloten boekjaar van $ 145 miljoen. De zadenactiviteiten omvatten naast vier productielocaties in Texas, Kansas en North Dakota ook Red River Van Eck B.V. in Zevenbergen, gespecialiseerd in maanzaad en karwijzaad. Volgens Bernard Stuivinga President-Commissaris van Acomo, passen de thee- en zadenbedrijven uitstekend binnen de gedecentraliseerde managementstructuur van Acomo en bij de wijze waarop de werkmaatschappijen thans worden aangestuurd, risico s worden gemanaged en toezicht wordt gehouden: Zij zullen hun structuur behouden en blijven opereren onder het zittende management, dat ervaren is en zich bewezen heeft met een gezonde groei en margeverbetering in de afgelopen jaren.' Financiering Het overnamebedrag inclusief de overgenomen schuld, bij elkaar net over 100 miljoen, wordt gefinancierd met uitgifte van 1,5 miljoen nieuwe aandelen en verder uit circa 7 miljoen eigen kasmiddelen en bancaire overnamefinanciering verstrekt door ING Bank. Daarnaast heeft Acomo onderhands bij professionele beleggers een achtergestelde converteerbare obligatielening geplaatst van 40 miljoen. De plaatsing van de converteerbare obligaties is begeleid door SNS Securities N.V.

5 De converteerbare obligatie is achtergesteld, heeft een looptijd van zes jaar en kan zes maanden na uitgifte worden omgezet in aandelen. De couponrente bedraagt 5,5% en de conversieprijs is 7,39 (25% boven de gemiddelde slotkoers van de laatste 20 dagen, inclusief vrijdag 7 mei 2010, i.e. 5,91). Inclusief de aandelen die bij overname aan Deli worden uitgegeven, leidt dit bij de huidige conversieprijs tot een maximale verhoging van het aantal uitgegeven aandelen tot aandelen. Nieuwe grootaandeelhouder Deli ( zal bij Closing een belang van 8,4% in Acomo gaan houden. Deli zal bovendien voor 5 miljoen deelnemen in de converteerbare lening. Bij eventuele conversie van obligaties kan het belang derhalve oplopen tot 9,4%. Deli wordt daarmee de zesde grootaandeelhouder en krijgt, onder voorbehoud van goedkeuring door de aandeelhouders, een vertegenwoordiger in de Raad van Commissarissen van Acomo. De nieuwe aandeelhouder zegt toe de aandelen die hij bij de verkoop van de thee- en zadenbedrijven krijgt in elk geval een jaar vast te zullen houden. Goedkeuring transactie De acquisitie van de thee- en zadenactiviteiten en de uitgifte van de (rechten op) aandelen door Acomo dient onder andere te worden goedgekeurd door de Algemene Vergadering van Aandeelhouders op 27 mei De Aandeelhouderscirculaire die ingevolge artikel 2:107a(c) BW hiervoor is opgesteld en nadere informatie over de transactie bevat, is vanaf heden beschikbaar op de website van Acomo Partijen verwachten de transactie ultimo 30 juni 2010 af te ronden. 9 Amsterdam Commodities N.V. General Amsterdam Commodities N.V. (Acomo) is an international group of companies with its principal business being in trading and distribution of agricultural products. Acomo s main trading subsidiaries are Catz International B.V. in Rotterdam (100%, spices and food raw materials), Tefco EuroIngredients B.V. and Snick EuroIngredients N.V. (100%, natural food ingredients) and the non-consolidated participation in RCMA Commodities Asia (Pte) Ltd., Singapore (43%, natural rubber). Acomo s subsidiaries source the raw materials in the production areas and sell them in the consumer markets. The company s customers are the producers in mainly tropical countries (plantations, farmers, cooperations) and industrial consumers of agricultural commodities (spice mills, food processors, tire manufacturers). Acomo is involved in all the intermediate stages of distribution, i.e. transportation, cleaning, packaging, storage, technical analysis, trade finance and distribution. History & development 1856 the two Catz brothers opened their first shop in Groningen in the North of the Netherlands Rubber Cultuur Maatschappij 'Amsterdam' or RCMA, the predecessor of Acomo, was incorporated and officially listed on the Amsterdam Stock Exchange. 10 Deli Maatschappij N.V. General Deli Maatschappij is a leading trading and distribution company. Its main lines of business are supply of timber and building materials to the construction industry in the Netherlands, supply of constructive and decorative materials to DIY chains and garden centres throughout Europe and supply of specialty agri-products to industry worldwide. Through 15 main operating companies, Deli Maatschappij realizes revenues of over Euro 1 billion with about 3,450 employees. Deli Maatschappij seeks to be the leading supplier to professional buyers in each market segment it serves. To accomplish this objective, Deli has made extensive investments in its companies, staff and value-added customer services. Deli is expanding rapidly through internal growth and acquisitions. The holding is small, which reflects Deli's orientation towards decentralized, capable and leading distribution companies with strong local management. History & development Deli Maatschappij has its origins in Indonesia where in 1869 the Deli Maatschappij was awarded a cigar tobacco concession in Deli, a region of Sumatra, Indonesia. Building on this base, the company entered into adjacent lines of business (trade in tropical goods, among others) and into other territories, such as Africa and South America. During the 1940s Deli established trading operations in the USA. From its foundation until 1986 the N.V. Deli Maatschappij was listed on (the predecessor of) the Amsterdam Stock Exchange. In 1986 Deli Maatschappij was acquired by Universal Leaf Tobacco Company (ULTC) and its name was changed to Deli Universal. This acquisition completed a process of ever closer cooperation and joint ventures in tobacco activities. Universal Corporation, quoted at the New York Stock Exchange, acted as holding company for two autonomous entities, overseeing activities in tobacco (ULTC) and distribution/merchandising (DU). In September 2006 the management of Deli Universal, together with NIBC Principal Investments and NPM Capital, acquired the businesses of Deli Universal from Universal Corporation. The name Deli Universal was changed back to its original name Deli Maatschappij on 1 May, Since the late eighties Deli has prospered. The trade, merchandising and distribution activities have grown significantly and all activities command leading positions in their respective industries. Further profitable growth is actively and successfully being pursued. The holding offices are located at the Wijnhaven in Rotterdam, The Netherlands. The building was once used as a dockside warehouse for Deli's tobacco operations (see below, left). 14 Press announcement Rotterdam, 20 April 2010 Amsterdam Commodities benefits from price volatility Net profit increases 20% to 10.5 million Net profit 10.5 million (2008: 8.7 million) Proposed final dividend per share (2008: 0.25) Total dividend per share (2008: 0.35, +14%) 9.5% dividend return (based on average 2009 stock price) 2009 was a year of economic uncertainty and very volatile markets. In these circumstances, Amsterdam Commodities (Acomo) achieved a 20% higher net profit than the year before, to an amount of 10.5 million (2008: 8.7 million). The prices of many commodities showed a clear V-shape development, with sharp declines followed by equally rapid rises. Based on these excellent results the proposed final dividend amounts to 0.30 per share, bringing the total dividend for 2009 to 0.40 per share (2008: 0.35, + 14%). Also this year all the group s activities were profitable. In the last quarter of 2008 and the first quarter 2009 commodity prices spiraled downward. The worldwide economic crisis affected consumption, industrial production came to a standstill and inventories were depleted. Prices started to stabilize in the second quarter 2009 and in the second half of the year swiftly moved up again mainly thanks to the demand from China. Acomo s trading teams proved once again their know-how in anticipating and reacting very alertly to these price and market movements. 15 Catz International B.V. (spices, nuts, dried fruits and raw materials or the food industry). Trading house Catz achieved new records and was the main contributor to the group s results. Total sales amounted to 149 million (2008: 164 million, - 9%), mainly due to lower prices in the first half year. The profit before tax was the highest in 150 years and amounted to 13.5 million (2008: 9.5 million). All activities saw improvement, especially tropical products (spices and coconut products) and nuts. Catz experienced teams were able to anticipate the large price fluctuations and to continue to serve the best interest of producers and industrial clients in all circumstances. Food Ingredients (natural ingredients for the food industry). In February 2009 Acomo made a further step in the execution of its food ingredients strategy through the acquisition of the Belgian based company Snick Ingredients. Geographically and product-wise Snick complements the activities of TEFCO. During the year, the companies changed their names into TEFCO EuroIngredients, respectively Snick EuroIngredients. The results continue to exceed the objectives set at the time of the acquisition, even though the financial crisis affected the volumes slightly and resulted in tougher price competition. The combined sales in food ingredients represent a turnover of 15.1 million ( million) and a profit before tax of 1.4 million (Snick being included for 11 months in these figures). RCMA Commodities Asia (Pte) Ltd (RCA) (42.52% not consolidated participation active in the international rubber trade). The world rubber market was severely affected by the collapse of sales in the automobile and related tyre industries in the first half of Demand and prices of (natural) rubber plummeted, resulting in increased contract off-take risks by customers. Demand for natural rubber in China started to rise again in the second half of the year, especially in the last months, and prices reacted sharply higher. The results of RCA remained positive, albeit at a much lower level than in RCA recorded net profits amounting to US$ 2.1 million (2008: US$ 8.9 million). Sales amounted to US$ 841 million, 37% lower compared to the year before as a consequence of lower volumes (-6%) and prices. Acomo N.V. Thanks to the steadfast policy aimed at strengthening the group s equity, and based on the excellent profit track record, the group did not experience difficulties from the credit crisis.

16 The internal risk control and management systems were tested in real life circumstances during 2009 and performed according to the expectations. The strategy of the group remains unchanged, being the growth and diversification of the activities in the trade of food commodities and the distribution of food ingredients. Dividend The management and Supervisory Board propose to pay a cash dividend of 0.40 per share (2008: 0.35). This dividend represents a return of 9.5% based on the average stock price ( 4.23) in 2009 (2008: 8.6% based on 4.07 respectively). Taking into account the interim dividend paid in September 2009 of 0.10 per share, the final dividend therefore amounts to 0.30 per share. The dividend shall be payable on 10 June 2010 and the ex-dividend date is 31 May Current performance In the first couple of months of 2010 trading remained very active and all activities were profitable. There are signs of stabilization of the world economies, but the recovery remains fragile and unstable. For these reasons, it is not possible to forecast the further development of trading activities and the results of the group in Management and supervisory directors have, however, confidence in the talent of our trading teams to make good use of trading opportunities and to trade profitably in both upward as well as downward markets.
