13 Media Groep Media Group Deze bedrijfsactiviteit bestaat voornamelijk uit de fabricage van CD s, CD-ROM s en DVD s (Audio, ROM en Video) ten behoeve van uitgevers. Via haar werkmaatschappijen in Nederland, Frankrijk, Duitsland en het Verenigd Koninkrijk levert DOCdata aan uitgevers authoring, (pre)productie, kopieerbeveiliging, verpakking, ontwerp en andere toegevoegde waarde diensten. Onze klanten zijn hoofdzakelijk onafhankelijke muziek-, games- en filmmaatschappijen, gespecialiseerde softwareontwikkelaars en leveranciers van digitale informatie. Daarnaast levert DOCdata productiecapaciteit aan grote film- en muziekuitgevers indien zij zelf met hun eigen capaciteit niet aan de vraag kunnen voldoen. DOCdata is in staat op korte termijn te voorzien in CD- en DVD-productieservices en hieraan gerelateerde diensten. Dit stelt onze klanten in staat te voldoen aan de wisselende vraag van de consument. De aangeboden diensten omvatten onder meer inkoop, ontvangst en opslag, orderpikken, sorteren, personaliseren, verpakken, verzenden, facturering en het ondersteunen van betalingen. Het fulfillment centrum in Waalwijk, Nederland, kan goederen als kleine elektronische apparatuur, boeken, CD s, DVD s, videobanden, software, spelletjes, premiums en aanverwante producten verwerken voor e-commerce bedrijven, detailhandel en direct marketing bedrijven. De orders worden voornamelijk binnen Europa verzonden. Vele bedrijven hebben een logistieke partner nodig die een groot aantal kleine orders snel en efficiënt kan verwerken. De IT-systemen van DOCdata maken het proces volledig transparant voor haar klanten. 17 Industrial Automation Integrators Industrial Automation Integrators Industrial Automation Integrators (IAI) is gespecialiseerd in het ontwerpen en bouwen van productiesystemen gebaseerd op optische- en lasertechnologie voor een breed spectrum aan industriële gebruikers. IAI concentreert zich op drie belangrijke aandachtsgebieden: documentbeveiliging, ondertiteling van films en bewerkingsprocessen voor verpakkingsmateriaal. In aanvulling daarop is IAI actief als partner in gevallen waar specifieke kennis van klanten kan worden gecombineerd met de eigen expertise van IAI op het gebied van optische- en lasertechnologie. Industrial Automation Integrators (IAI) is specialised in design and building of production systems utilising optical and laser technology for a broad spectrum of industrial users. IAI focuses on three major areas: Document Security, Motion Picture Subtitling and Processing of Packaging Materials. In addition, IAI is active in co-makership arrangements in which the specific customer s know how is combined with our own expertise in laser and optical technology. Beveiliging IAI brengt documentbeveiliging naar een hoger niveau met innovatieve antifraude maatregelen gebaseerd op lasertechnologie. Security IAI takes document security into a new age with anti-fraud innovation based on laser technology. For international operating security printers, financial institutions and government authorities, IAI created document security concepts based on the power of laser technology. The physical characteristics of a laser beam enable a perforation and/or engravure, which are clearly distinguishable from the mechanically punched or etched variety. IAI s security features are first line features, which are easy to check with only the help of the naked eye. Ondertiteling IAI levert volledig geautomatiseerde laserondertitelingsystemen ten behoeve van de filmindustrie. Subtitling IAI provides fully automated Laser Subtitling Systems to the motion picture industry. Verpakkingen IAI heeft in nauwe samenwerking met de belangrijkste fabrikanten van verpakkingen, en door gebruik te maken van een nieuwe geavanceerde lasertechnologie, systemen ontwikkeld voor Easy Opening by Laser voor de verpakkingsindustrie. Packaging Working in close cooperation with major packaging companies and using a new advanced laser process, IAI developed systems for Easy Opening by Laser for the packaging industry. By applying the power of laser technology, packaging designers and converters can engineer an opening device that makes access to the contents as easy as turning a page without compromise to protection of the contained product. 20 Verslag van de Raad van Commissarissen Report of the Supervisory Board Jaarrekening en dividendvoorstel De door de Directie opgestelde jaarrekening 2004 is door KPMG Accountants N.V. gecontroleerd en van een goedkeurende verklaring voorzien. De bevindingen van de externe accountant naar aanleiding van de controle van de jaarrekening zijn door de Audit Commissie en de Raad van Commissarissen in de jaarlijkse bijeenkomst met de externe accountant en de Directie besproken. Wij hebben de jaarrekening 2004 van DOCdata N.V. goedgekeurd en wij adviseren de Algemene Vergadering van Aandeelhouders deze jaarrekening in overeenstemming met het voorstel van de Directie vast te stellen. Tevens adviseren wij de Algemene Vergadering van Aandeelhouders het voorstel van de Directie te aanvaarden om een dividend van EUR 0,35 per gewoon aandeel vast te stellen. Verder verzoeken wij de Algemene Vergadering van Aandeelhouders decharge te verlenen aan de Directie voor het gevoerde bestuur en aan de Raad van Commissarissen voor het gehouden toezicht in De Raad van Commissarissen is tevreden met het in 2004 behaalde resultaat en dankt de Directie en het personeel van DOCdata voor hun inzet in 2004 die heeft geleid tot het gepresenteerde resultaat. Financial Statements and Dividend Proposal The financial statements of DOCdata N.V. for 2004, as prepared by the Management Board, have been audited by KPMG Accountants N.V., independent public auditors. The Audit Committee and the Supervisory Board have discussed in the annual meeting with the independent public auditors and the Management Board the outcome and findings of the independent audit. We have approved the financial statements of DOCdata N.V. for 2004 and we recommend the General Meeting of Shareholders to adopt these financial statements in accordance with the proposal of the Management Board. Also, we recommend the General Meeting of Shareholders to adopt the Management Board s dividend proposal of EUR 0.35 per Ordinary Share. Furthermore, we request that the General Meeting of Shareholders discharges the Management Board for the management and the Supervisory Board for the supervision in The Supervisory Board is satisfied with the achieved result in 2004 and would like to thank the Management Board and personnel of DOCdata for their efforts in 2004, which have lead to the presented result. Samenstelling en beloning van de Raad van Commissarissen Leden van de Raad van Commissarissen worden door de Algemene Vergadering van Aandeelhouders benoemd. De Raad van Commissarissen streeft naar een adequate combinatie van kennis en ervaring onder zijn leden inzake de activiteiten van DOCdata. Daarom wordt gestreefd naar een gepast ervaringsniveau in de marktkennis, fabricage, financiële, fiscale, economische, technische, sociale en juridische aspecten. De Raad van Commissarissen bestaat momenteel (inclusief de Voorzitter) uit drie leden. Volgens het rooster van aftreden loopt de huidige zittingstermijn van de heer J.A. de Vreeze op de Jaarlijkse Algemene Vergadering van Aandeelhouders 2005 af en loopt de huidige zittingstermijn van de heer H.C.G.F. Knuvers op de Jaarlijkse Algemene Vergadering van Aandeelhouders 2006 af; de huidige zittingstermijn van vier jaar van de heer E.F. van Veen, als lid en als Voorzitter van de Raad van Commissarissen, loopt af op de Jaarlijkse Algemene Vergadering van Aandeelhouders De beloning van de leden van de Raad van Commissarissen wordt door de Algemene Vergadering van Aandeelhouders vastgesteld. Op 16 mei 2002 heeft de Algemene Vergadering van Aandeelhouders besloten om de beloning met ingang van het boekjaar 2002 voor een periode van zes jaar, derhalve tot en met boekjaar 2007, vast te stellen op een bedrag van EUR per jaar voor de leden van de Raad van Commissarissen en EUR per jaar voor de Voorzitter van de Raad van Commissarissen. Composition and remuneration of the Supervisory Board The General Meeting of Shareholders appoints members of the Supervisory Board. The Supervisory Board aims for an appropriate combination of knowledge and experience amongst its members in relation to the activities of DOCdata. Consequently the Board aims for an appropriate level of experience in market knowledge, manufacturing, financial, fiscal, economical, technical, social and legal aspects. The Supervisory Board currently consists (including the Chairman) of three members. According to the schedule for retirement by rotation, the present term of Mr. J.A. de Vreeze will end at the 2005 Annual General Meeting of Shareholders and the present term of Mr. H.C.G.F. Knuvers will end at the 2006 Annual General Meeting of Shareholders; the present term of four years of Mr. E.F. van Veen, both as Member and Chairman of the Supervisory Board, will end at the 2007 Annual General Meeting of Shareholders. The General Meeting of Shareholders determines the remuneration of the members of the Supervisory Board. On May 16, 2002 the General Meeting of Shareholders has determined the remuneration for a period of six years, starting the financial year 2002 up till and including 2007, at an amount of EUR 14,000 per year for members of the Supervisory Board and EUR 16,500 per year for the Chairman of the Supervisory Board. 18 DOCdata Jaarverslag 2004
