Beleidsregel uitgangspunten toepassing tweede pijler Kapitaalakkoord Bazel 2 Beleidsregel van De Nederlandsche Bank N.V. van 15 juli, houdende uitgangspunten voor de evaluatie, bedoeld in artikel 3:18a van het Wet op het financieel toezicht, van het ICAAP (Internal Capital Adequacy Assessment Process) van banken en beleggingsondernemingen (Beleidsregel uitgangspunten toepassing tweede pijler Kapitaalakkoord Bazel 2) Juli 2008

2 1. INLEIDING Een bank of beleggingsonderneming als bedoeld in artikel 3.17, eerste en derde lid, 3:22 of 3:23 van de Wet op het financieel toezicht (Wft)1, hierna onderneming genoemd, beschikt ingevolge artikel 3:17 van de Wft over solide, doeltreffende en alomvattende strategieën en procedures aan de hand waarvan zij doorlopend nagaat of en ervoor zorgt dat de hoogte, samenstelling en verdeling van haar eigen vermogen aansluit op de omvang en de aard van haar huidige en mogelijk toekomstige risico s. Deze strategieën en procedures, hierna ICAAP genoemd (Internal Capital Adequacy Assessment Process), worden op grond van artikel 3:18a van de Wft periodiek door de Nederlandsche Bank (DNB) geëvalueerd. Centraal in deze evaluatie, ook wel SREP (Supervisory Review and Evaluation Process) genoemd, staat de dialoog tussen de onderneming en DNB. De door DNB gehanteerde uitgangspunten bij de uitvoering van het SREP zijn uitgewerkt in hoofdstuk 2 van deze beleidsregel. Uitgangspunt 1 betreft de toepassing door DNB van de door het Committee of European Banking Supervisors (CEBS) vastgestelde richtsnoeren voor het ICAAP, uitgangspunt 2 de uitvoering van de evaluatie van het ICAAP op geconsolideerde basis, uitgangspunt 3 het bij deze beoordeling in aanmerking nemen van diversificatie-effecten, uitgangspunt 4 het door DNB gehanteerde betrouwbaarheidsinterval bij de beoordeling van het ICAAP en uitgangspunt 5 de gegevens die DNB ten minste nodig heeft voor de toepassing van de evaluatie van het ICAAP. 1.1 Definities o ICAAP kapitaal: het eigen vermogen, bedoeld in artikel 24a Besluit prudentiële regels Wft (Bpr), dat naar het oordeel van de onderneming nodig is voor een duurzame en beheerste dekking van de huidige en mogelijk toekomstige risico s. o SREP kapitaal: het toetsingsvermogen dat op basis van de evaluatie, bedoeld in artikel 3:18a, naar het oordeel van DNB minimaal nodig is voor het waarborgen van een duurzame en beheerste dekking van de huidige en mogelijk toekomstige risico s van die onderneming. o Pijler 1 kapitaal: het toetsingsvermogen ingevolge artikel 3:57 van de Wft 1.2 Juridisch kader In artikel 3:18a, eerste lid, van de Wft is bepaald dat DNB periodiek een evaluatie uitvoert met betrekking tot de strategieën, procedures en maatregelen (ICAAP) die ondernemingen ingevolge artikel 3:17 van de Wft hebben ingevoerd. Het ICAAP is nader uitgewerkt in artikel 24a van het Besluit prudentiële regels Wft (Bpr)2 en artikel in 25a, het SREP. 1 Het betreft de bank of beleggingsonderneming met zetel in Nederland, de beleggingsonderneming met zetel in een staat die geen lidstaat is en die beleggingsdiensten verleent in Nederland en de bank met zetel in een staat die geen lidstaat is en die vanuit een in Nederland gelegen bijkantoor het bedrijf uitoefent. 2 Besluit prudentiële regels Wft (Stb. 2006, 519), zoals gewijzigd bij het Besluit implementatie Kapitaalakkoord Bazel 2 (Stb. 2006, 662). 2

3 Op basis van de uitkomst van de evaluatie kan DNB maatregelen nemen op grond van artikel 3:111a van de Wft, daaronder begrepen het voorschrift dat de desbetreffende onderneming beschikt over een hoger toetsingsvermogen (het SREP kapitaal) dan ingevolge artikel 3:57 van de Wft is voorgeschreven (het pijler 1 kapitaal), of dat in verband met de solvabiliteitsvereisten door de onderneming een specifiek voorzieningenbeleid wordt gevoerd. DNB heeft deze bevoegdheid onverminderd de bevoegdheden waarover zij beschikt op grond van het bepaalde in Deel 1 van de Wft, daaronder de bevoegdheid tot het geven van een aanwijzing aan een onderneming die niet voldoet aan hetgeen bij of krachtens de Wft is bepaald, evenals een aanwijzing als DNB tekenen ontwaart van een ontwikkeling die het eigen vermogen, de solvabiliteit of de liquiditeit van de desbetreffende onderneming in gevaar kunnen brengen. Ingevolge artikel 1:29a, aanhef en onderdeel d, van de Wft maakt DNB de algemene criteria en methodieken openbaar op basis waarvan het SREP, bedoeld in artikel 3:18a van de Wft, wordt verricht. Deze beleidsregel strekt mede daartoe. 1.3 Reikwijdte van het ICAAP en het SREP Op grond van artikel 24a, eerste lid, van het Bpr wordt het ICAAP toegepast door een onderneming als bedoeld in artikel 23, tweede lid, tweede volzin, van het Bpr, welke bepaling verwijst naar de bank of beleggingsonderneming als bedoeld in artikel 3:17, eerste of derde lid, 3:22 of 3:23 van de Wft3. Het toepassingsbereik van het ICAAP volgt het toepassingsbereik van de pijler 1 solvabiliteitseisen4. Dat wil zeggen dat de ondernemingen die op individuele basis of ge(sub)consolideerd onder solvabiliteitstoezicht staan volgens pijler 1, in beginsel ook over een ICAAP dienen te beschikken. Een onderneming waarop deze solvabiliteitsregels niet van toepassing zijn, behoeft de ICAAP-bepalingen dus niet toe te passen. Dit laat onverlet dat zo n onderneming in het geval dat zij betrokken is in het toezicht op ge(sub)consolideerde basis van haar moederonderneming, altijd betrokken is in het ICAAP dat de moederonderneming op ge(sub)consolideerde basis toepast. Voor beleggingsondernemingen is in artikel 3 van het Bpr bepaald dat het pijler 1 toezicht niet geheel van toepassing is op beleggingsondernemingen die uitsluitend als beleggingsdienst orders van cliënten met betrekking tot financiële instrumenten ontvangen en doorgeven, of die adviseren over financiële instrumenten. Alle andere ondernemingen, met inbegrip van ondernemingen die uitsluitend voor rekening van cliënten handelen (agents), of die - al dan niet onder verantwoordelijkheid en garantie van een clearinginstelling - voor eigen rekening handelen (principals), evenals beheerders van individuele vermogens die zelf niet handelen, maar die uitsluitend orders voor rekening van hun cliënten doorgeven, zijn in beginsel onderworpen aan de pijler 1 vereisten en uit dien hoofde aan de ICAAP-bepalingen, het pijler 2 toezicht. Hoewel de formele reikwijdte van het pijler 2 toezicht dus dezelfde is als van het pijler 1 toezicht, zal DNB zich bij haar beoordeling in beginsel richten op het ICAAP op geconsolideerde basis. Overweging hierbij is dat een onderneming in de regel haar kapitaalbeheersingsproces 3 Zie voor een nadere omschrijving voetnoot 1 bij deze beleidsregel. 4 Voor financiële ondernemingen die gebruik maken van de overgangsregeling uit de implementatiewetgeving voor het Kapitaalakkoord Bazel 2 en die derhalve eerst vanaf 1 januari 2008 overstappen op de nieuwe regels van dit akkoord, volgt deze samenloop tussen de eerste en de tweede pijler uit artikel II van de Wet implementatie Kapitaalakkoord Bazel 2 (Stb. 2006, 613), in samenhang met artikel VIII, tweede lid, van het Besluit implementatie Kapitaalakkoord Bazel 2 (Stb. 2006, 662). 3

4 gecentraliseerd toepast. Daarnaast geeft de nadruk op het ICAAP op geconsolideerde basis invulling aan een proportionele toepassing van de desbetreffende bepalingen. 1.4 Toepassing van het ICAAP en het SREP De proportionele toepassing van de regels ingevolge de Wft houdt in dat bij de toepassing van het SREP rekening wordt gehouden met aard, omvang en complexiteit van de activiteiten van de onderneming. Bij de beoordeling van de naleving van de normen zal DNB zich baseren op de door het CEBS vastgestelde richtsnoeren 5. Van een grote, complexe, onderneming verwacht DNB in beginsel een economic capital model. Een kleine onderneming, die relatief eenvoudige activiteiten ontplooit, kan volstaan met het opstellen van een eenvoudiger ICAAP 6. Voor deze categorie kleinere ondernemingen baseert DNB zich op het door het CEBS op 27 maart 2006 gepubliceerde Paper on the Internal Capital Adequacy Assessment Process (ICAAP) for Smaller Institutions. Overigens heeft dit document geen officiële status en kunnen de in dit document opgenomen uitgangspunten niet worden aangemerkt als richtsnoeren van CEBS. Een overzicht van de richtsnoeren van CEBS en van laatstgenoemd paper met betrekking tot kleinere ondernemingen is opgenomen in de bijlage bij deze beleidsregel. De volledige documenten van CEBS zijn beschikbaar op haar website ( uitgezonderd het paper met betrekking tot kleinere ondernemingen, waarvan de volledige tekst beschikbaar is op de website van DNB ( Of een onderneming kan worden aangemerkt als kleinere onderneming is afhankelijk van de oordeelsvorming van DNB over het karakter van de activiteiten van deze onderneming. Factoren die deze beoordeling beïnvloeden zijn: de aard van de activiteiten, de complexiteit ervan en/of de mate waarin de activiteiten zich beperken tot een beperkt aantal soorten financiële instrumenten of -beleggingsdiensten. Ook het marktaandeel van de onderneming, het gebruik van interne modellen en de mate waarin de onderneming grensoverschrijdend actief is, spelen hierbij een rol. Overigens wordt opgemerkt dat beleggingsondernemingen in beginsel aangemerkt zullen worden als kleine ondernemingen. Het ICAAP Het ICAAP bevat alle voor een onderneming materiële risico s. De onderneming past een risicoidentificatieproces toe op grond waarvan de onderneming kan aantonen welke risico s al dan niet in het ICAAP zijn betrokken. Een niet limitatieve opsomming van risico s die de onderneming beoordeelt is als volgt7: 1. de pijler 1 risico s: de krediet-, markt- en operationele risico s; 2. de risico s die niet afdoende onder pijler 1 zijn afgedekt: securitisatierisico, restrisico s als gevolg van het gebruik van kredietrisicomitigeringstechnieken; 5 Bij het vaststellen van deze beleidsregel zijn de volgende richtsnoeren van het CEBS meegenomen: - Guidelines on the application of the Supervisory Review Process under Pillar 2 van 25 January 2006; - Technical aspects of stress testing under the supervisory review process van 14 December 2006; - Technical aspects of the management of interest rate risk arising from non-trading activities under the supervisory review process van 3 October 2006; en - Technical aspects of the management of concentration risk under the supervisory review process van 14 December Voor een nadere toelichting op de toepassing van het proportionaliteitsbeginsel wordt verwezen naar ICAAP richtsnoer 9 van het CEBS, opgenomen in de Guidelines on the application of the Supervisory Review Process under Pillar 2 van 25 januari Zie ook artikel 25a Bpr 4

5 3. de risico s onder pijler 2: renterisico bankenboek, concentratierisico, reputatierisico, pensioenrisico; 4. de risico s die samenhangen met de invloed van externe factoren: economische omgevingsfactoren, uitkomsten van stresstesten.8 Het ICAAP is ingebed in de organisatie-inrichting, risicogebaseerd, alomvattend en toekomstgericht en omvat daarom ook een beoordeling van de toekomstige kapitaaltoereikendheid. Indien deze beoordeling duidt op een ontoereikende kapitaalpositie in de toekomst, zal de onderneming tijdig afdoende maatregelen dienen te treffen om de kapitaaltoereikendheid in de toekomst te handhaven. Stress-testen vormen een essentieel instrument voor de beoordeling van de toekomstige kapitaaltoereikendheid van een onderneming en zijn daarom onderdeel van het ICAAP. 9 De onderneming zal kunnen aantonen wat de kapitaalconsequenties zijn indien zich uitzonderlijke maar plausibele omstandigheden voordoen, en zal de onderneming beschikken over een plan op grond waarvan zij in deze situatie(s) haar kapitaal kan waarborgen. Het stresstesten vormt een geïntegreerd onderdeel van de bedrijfsvoering van de onderneming en de uitkomsten ervan worden betrokken bij het formuleren van de strategische doelstellingen. Dit laat onverlet dat stresstesten ook andere toepassingen hebben, bijvoorbeeld in het kader van parameter schattingen. DNB evalueert, met inachtneming van het proportionaliteitsprincipe en als onderdeel van het SREP, de kwaliteit van de stresstesten binnen de onderneming. Factoren bij de beoordeling zijn de plausibiliteit en het conservatisme van de gehanteerde scenario s, de mate waarin deze scenario s passen bij de aard, omvang en complexiteit van de activiteiten van de onderneming, de wijze waarop deze scenario s worden vastgesteld en vertaald naar kapitaalconsequenties, evenals de toereikendheid van de procedures en maatregelen om een adequate kapitalisatie te waarborgen indien bedoelde scenario s zich manifesteren. De richtsnoeren met betrekking tot het ICAAP bepalen onder meer dat het ICAAP de verantwoordelijkheid van elke financiële onderneming is, dat het ICAAP volledig gespecificeerd moet zijn, een integraal onderdeel van het managementproces, risicogebaseerd, alomvattend en toekomstgericht. Wat dit laatste betreft, specificeert ICAAP 8 dat het ICAAP 'should take into account the institution's strategic plans and how they relate to macroeconomic factors. The institution should develop an internal strategy for maintaining capital levels which can incorporate factors such as loan growth expectations, future sources and uses of funds and dividend policy, and any procyclical variation of Pillar 1 minimum own funds requirements. En daarnaast dat 'The institution should have an explicit, approved capital plan which states the institution's objectives and the time horizon for achieving those objectives, and in broad terms the capital planning process and the responsibilities for that process. The plan should also lay out how the institution will comply with capital requirements in the future, any relevant limits related to capital, and a general contingency plan for dealing with divergences and unexpected events'. Het staat een financiële onderneming vrij om haar interne kapitaaldoelstelling te heroverwegen. Indien de financiële onderneming in dit kader ertoe besluit haar interne kapitaaldoelstelling te 8 Verwezen wordt ook naar het sjabloon kwantitatieve analyse in Open Boek op de website van DNB. 9 Artikel 1 van het Besluit prudentiële regels Wft definieert het begrip stresstest als: onderzoek naar de risico s die ontstaan als zich veranderingen in de marktsituatie voordoen of zouden voordoen die een ongunstige invloed uitoefenen op de toereikendheid van het toetsingsvermogen van een financiële onderneming, en naar de risico s die ontstaan als zekerheidsrechten worden uitgeoefend in crisissituaties. 5

6 verlagen, zal zij DNB daarover tijdig moeten informeren, gezien de aansluiting van het SREP op de interne kapitaaldoelstelling. Ook als genoemde doelstelling wordt onderschreden of wanneer deze onderschreden dreigt te worden, informeert de financiële onderneming DNB. Dit stelt DNB in de gelegenheid om, in dialoog met de financiële onderneming, te beoordelen of deze ontwikkelingen aanleiding geven tot heroverweging van de uitkomsten van de evaluatie c.q. tot een hernieuwde evaluatie. De evaluatie door DNB, het SREP De evaluatie van DNB is erop gericht om door middel van een dialoog met de onderneming tot een gezamenlijke visie te komen over de aansluiting van de hoogte, samenstelling en verdeling van het ICAAP kapitaal op de aard van haar huidige en mogelijke toekomstige risico s. Een aanvullend toetsingsvermogen bóven het pijler 1 kapitaal kan nodig zijn als (tijdelijke) correctie op gebreken in de modellering van risico s of als correctie op tekorten in de beheersing in het algemeen. Ook als er sprake is van materiële risico s die nog niet (kunnen) worden vertaald naar kapitaal of als er sprake is van diversificatievoordelen die (nog) niet in aanmerking kunnen worden genomen, kan een aanvullend toetsingsvermogen nodig zijn. Naar verwachting zal de evaluatie door DNB slechts in een beperkt aantal gevallen leiden tot de noodzaak tot het aanhouden van een hoger toetsingsvermogen. Dit omdat veel ondernemingen al voldoen aan de onder pijler 2 neergelegde verwachting, namelijk dat zij op basis van hun eigen beoordeling kapitaal aanhouden bóven het pijler 1 minimum. Deze verwachting vloeit voort uit het feit dat bij toepassing van het ICAAP risico s in aanmerking worden genomen die niet in de pijler 1 solvabiliteitsvereisten zijn vervat. DNB geeft een onderneming schriftelijk kennis van de uitkomsten van de evaluatie. Alleen wanneer de uitkomsten van het ICAAP van de onderneming, in casu de strategieën, procedures en maatregelen óf het toetsingsvermogen van deze onderneming, naar het oordeel van DNB niet een beheerste en duurzame dekking van de risico s waarborgen, specificeert DNB welke aanvullende maatregelen zij nodig acht, danwel welk hoger toetsingsvermogen nodig is. In zoverre dit laatste het geval is, vermeldt DNB met redenen omkleed de eventuele tekortkomingen in de onder het ICAAP toegepaste maatregelen, strategieën en procedures, evenals de door de onderneming te treffen maartregelen, met inbegrip van de termijn waarbinnen deze maatregelen worden gerealiseerd teneinde te voldoen aan de regels ingevolge artikel 3:17 van de Wft met betrekking tot de beheerste en integere bedrijfsuitoefening van de onderneming. DNB kan op basis van artikel 3:111a van de Wft voorschrijven dat de onderneming beschikt over een hoger toetsingsvermogen (SREP kapitaal), indien DNB het ICAAP kapitaal ontoereikend acht in het licht van de huidige en mogelijke toekomstige risico s van de onderneming, en andere maatregelen er redelijkerwijs niet toe leiden dat binnen redelijke termijn wordt voldaan aan bedoelde regels met betrekking tot de beheerste en integere bedrijfsuitoefening van de onderneming,. 6

7 2 UITGANGSPUNTEN VOOR HET ICAAP EN HET SREP Uitgangspunt 1: DNB baseert zich bij de evaluatie van het ICAAP van een financiële onderneming op de daarvoor door het CEBS vastgestelde richtsnoeren. Het CEBS heeft afspraken gemaakt over normen voor de beoordeling van het ICAAP en over de invulling van het SREP 10. Deze richtsnoeren betreffen de verwachtingen van de toezichthouders over de invulling van het ICAAP (zie onderdeel A van de bijlage bij deze beleidsregel, respectievelijk onderdeel D voor kleinere ondernemingen), de verwachtingen van de toezichthouders over de invulling van de stresstesten (onderdeel B van de bijlage), de inrichting van het SREP (zie onderdeel C), de verwachtingen van de toezichthouders over de beheersing van het concentratierisico (onderdeel F), evenals de beheersing van het renterisico met betrekking tot niet-handelsposities (onderdeel E van de bijlage). DNB baseert haar invulling van het SREP op deze afspraken.11 Uitgangspunt 2: DNB voert de evaluatie uit van het ICAAP dat de positie van de onderneming op geconsolideerde basis betreft, tenzij bijzondere omstandigheden naar het oordeel van DNB uitvoering van de evaluatie op individuele of ge(sub)consolideerde basis vergt. Uit de Wft volgt dat het toepassingsgebied van het ICAAP dat van de pilaar 1 vereisten volgt. Omdat een onderneming in de regel op geconsolideerde basis aan deze vereisten voldoet en haar kapitaalbeheersingsproces gecentraliseerd toepast, legt DNB de nadruk op een evaluatie van het ICAAP dat de positie van de onderneming op geconsolideerde basis betreft. Ongeacht het niveau waarop DNB de evaluatie toepast, speelt het proportionaliteitsbeginsel een belangrijke rol bij het bepalen van de diepgang van de evaluatie. Bij het invullen van het proportionaliteitscriterium spelen de volgende criteria een rol: - de omvang van de onderneming, zowel in absolute termen als ten opzichte van het financiële systeem in Nederland; - het risicoprofiel van de onderneming; - de verhouding tussen het toetsingsvermogen dat DNB op basis van de evaluatie nodig acht en het aangehouden eigen vermogen; hoe dichter het ICAAP kapitaal het aangehouden eigen vermogen nadert, hoe groter de kans op een tekort en hoe meer diepgang de evaluatie zal hebben; - voor binnenlandse groepsmaatschappijen, de mate van integratie met de moedermaatschappij en de kwaliteit van het groeps-icaap ; - voor buitenlandse groepsmaatschappijen: de mate van integratie met de (buitenlandse) moedermaatschappij, de kwaliteit van het ICAAP op dat niveau en de kwaliteit van het toezicht op de moedermaatschappij. Naarmate het toezicht op de moedermaatschappij meer equivalent is en de uitwisseling van informatie met de desbetreffende toezichthouder eenvoudiger, zal de intensiteit van de evaluatie van DNB kunnen afnemen. Als aanvulling op de laatste twee factoren zij vermeld dat DNB hoe dan ook verwacht dat het 10 Zie paragraaf 4 van hoofdstuk 1 van deze beleidsregel. 11 Niettegenstaande dat DNB zich baseert op álle richtsnoeren van CEBS, dus inclusief de richtsnoeren voor de toezichthouders, zijn in de bijlage bij deze beleidsregel met uitzondering van de richtsnoeren met betrekking tot het SREP alleen de richtsnoeren met betrekking tot de financiële ondernemingen opgenomen. 7

8 management van de dochteronderneming kan aantonen dat het aanwezige kapitaal voldoende is gegeven het risicoprofiel van de onderneming. Uitgangspunt 3: DNB kan bij de beoordeling van de kapitaaltoereikendheid diversificatieeffecten in aanmerking nemen, met dien verstande dat, ongeacht de hoogte van het op basis van het ICAAP nodig geachte eigen vermogen, het toetsingsvermogen ingevolge artikel 3:57 van de Wft bepalend is voor het minimum aangehouden toetsingsvermogen. Diversificatie doet zich voor op diverse niveaus, te weten: a) binnen risicocategorieën (intra-risicodiversificaties); b) tussen risicocategorieën (inter-risicodiversificaties); c) tussen juridische entiteiten; en d) tussen sectoren. Deze verschillende niveaus van diversificatie kunnen als volgt nader worden toegelicht: Ad a: intra-risicodiversificatie De pijler 1 solvabiliteitseisen voor het kredietrisico zijn afgestemd op grote, goed gediversificeerde ondernemingen en bevatten impliciet een erkenning voor diversificatie binnen de kredietportefeuille van die ondernemingen. Is de kredietportefeuille minder goed gediversificeerd dan in bedoelde solvabiliteitseisen is verondersteld, dan verwacht DNB dat dit tot uiting komt in het ICAAP van de desbetreffende onderneming. Daarom kunnen niet alleen concentraties van uitzettingen op landen of economische sectoren, maar bijvoorbeeld ook een relatief klein aantal wederpartijen, ook wel aangeduid als lage granulariteit, aanleiding zijn voor een aanvullende solvabiliteitsbehoefte. Ad b: inter-risicodiversificatie DNB kan bij de beoordeling van de uitkomst van het ICAAP van een onderneming ook diversificatievoordelen tussen risicocategorieën in aanmerking nemen, dat wil zeggen dat DNB in het kader van de door haar uitgevoerde evaluatie accepteert dat het totale, op basis van het ICAAP nodig geachte eigen vermogen, lager is dan de som der delen voor de afzonderlijke risico s. Het al dan niet erkennen van diversificatie-effecten door DNB hangt af van de onderbouwing hiervan door de desbetreffende onderneming. DNB dient voldoende vertrouwen te hebben in de door de onderneming gemaakte analyses. Aspecten die bij deze beoordeling een rol spelen zijn onder meer: - De empirische onderbouwing van diversificatie-effecten en de bijhorende meetonzekerheid. - De wijze waarop rekening wordt gehouden met de mogelijk veranderende samenhang tussen risico s onder stress omstandigheden. - De wijze waarop de gebruikte modellen en resultaten intern toepassing vinden. Naarmate de door een onderneming gebruikte methoden in het risicobeheer eenvoudiger zijn ten opzichte van de omvang en complexiteit van haar bedrijf, is DNB conservatiever in de erkenning van diversificatievoordelen. DNB verwacht van ondernemingen die opteren voor de erkenning van diversificatie-effecten de expliciete ambitie om te werken aan een betere kwantificering van deze effecten op termijn. - De mate waarin gebruik gemaakt wordt van conservatieve veronderstellingen en de kwaliteit en resultaten van toegepaste gevoeligheidsanalyses. Ad c: diversificatie tussen juridische entiteiten Voorts houdt DNB bij de evaluatie rekening met diversificatie tussen entiteiten die in de consolidatiekring vallen, mits de desbetreffende onderneming overtuigend kan aantonen dat het 8

9 toetsingsvermogen van de groep tijdig beschikbaar is voor de entiteiten die het nodig hebben, dat wil zeggen dat wordt aangetoond dat er geen materiële belemmeringen zijn voor de overdraagbaarheid van kapitaal tussen de groepsentiteiten. Hierbij spelen in ieder geval de volgende factoren een rol: i. Mogelijke snelheid en eenvoud van betaling; ii. Betrokkenheid/belangen van derden bij de desbetreffende dochter; iii. De verdeling van het kapitaal binnen de groep; iv. De eventuele fiscale problemen; v. De eventuele valutarestricties; vi. De beschikbaarheid van liquideerbare activa bij de desbetreffende dochter; vii. De invloed van toezicht- en regelgevingeisen; viii. De vraag of de doelstellingen van de desbetreffende dochter voorzien in overdraagbaarheid van vermogen; ix. De vraag of de juridische structuur van de moeder casu quo de desbetreffende dochter voorziet in overdraagbaarheid; x. De vraag of contractuele overeenkomsten met de moeder of met derden voorzien in overdraagbaarheid; xi. Het track record en verwachtingen ten aanzien van de mogelijkheid van overdraagbaarheid; en xii. De mate waarin soloconsolidatie wordt toegepast door de moeder. Ad d: diversificatie tussen sectoren DNB houdt bij de beoordeling van de uitkomst van het ICAAP van een financieel conglomeraat geen rekening met eventuele diversificatievoordelen tussen bancaire en verzekeringsactiviteiten die ontstaan doordat de bank (op welke pijler 2 van toepassing is) een dochteronderneming is van een verzekeraar of van een niet gereglementeerde holding die ook een verzekeringsdochter heeft. Uitgangspunt 4: DNB hanteert bij de evaluatie van de toereikendheid van het toetsingsvermogen van een onderneming een betrouwbaarheidsinterval van ten minste 99,9 procent, over de horizon van één jaar. De omvang van het toetsingsvermogen dat een onderneming nodig heeft als buffer voor haar risico s is mede afhankelijk van het door deze onderneming gewenste risicoprofiel, bij voorbeeld tot uiting komend in een ratingdoelstelling. Belangrijke overweging van DNB om bij de beoordeling van de kapitaaltoereikendheid uit te gaan van een omschaling van het ICAAP kapitaal naar ten minste 99,9 procent betrouwbaarheid, is dat het betrouwbaarheidsinterval van 99,9 procent ook ten grondslag ligt aan de minimum solvabiliteitseisen ingevolge pijler 1. Omschaling bevordert tevens de consistentie in de evaluatie, zowel tussen ondernemingen onderling, als tussen de uitkomsten van de pijler 1 solvabiliteitseisen en het ICAAP kapitaal. DNB treedt hiermee niet in de strategische keuze van de onderneming met betrekking tot het risicoprofiel casu quo de rating ambitie. Een eventueel verzoek tot omschaling vindt plaats als onderdeel van de dialoog tussen DNB en onderneming in het kader van de evaluatie door DNB. Voor ondernemingen die geen interne modellen gebruiken is omschaling in de hiervoor bedoelde zin niet aan de orde. Dit laat echter onverlet dat ook deze ondernemingen moeten aantonen dat hun kapitaalcalculaties toereikend zijn. Uitgangspunt 5: DNB dient voor de evaluatie van het ICAAP ten minste de beschikking te hebben over toereikende gegevens betreffende: a. de wijze waarop het ICAAP is geïntegreerd in de activiteiten van de onderneming; 9

10 b. de wijze waarop het kapitaaltoereikendheidsbeleid is ingericht; c. de wijze waarop de hoogste leiding betrokken is bij het ICAAP; d. welke huidige en toekomstige risico s de onderneming heeft geïdentificeerd; e. hoe de omzetting van het risicoprofiel plaatsvindt naar het benodigde eigen vermogen; f. hoe rekening is gehouden met stresstesten; g. hoe het ICAAP intern wordt beoordeeld en wat de periodiciteit is van de beoordeling; h. hoeveel eigen vermogen volgens de onderneming nodig is ter dekking van de huidige en mogelijk toekomstige risico s; i. hoeveel eigen vermogen is toegewezen aan elk van de geïdentificeerde materiële risico s en hoeveel eigen vermogen wegvalt als gevolg van diversificatie-effecten; j. wat de belangrijkste verklaringen zijn voor eventuele significante verschillen tussen het minimum toetsingsvermogen ingevolge artikel 3:57 van de Wft en het eigen vermogen dat de onderneming op basis van de uitkomsten van het ICAAP aan deze, door de regels ingevolge artikel 3:57 van de Wft afgedekte, risico s toewijst; k. hoe, in het geval van een groep, het aangehouden eigen vermogen is verdeeld over de belangrijkste entiteiten in de groep en hoe het zich verhoudt tot het toetsingsvermogen ingevolge artikel 3:57 van de Wft en het op basis van het ICAAP nodig geachte eigen vermogen voor deze entiteiten. Elke onderneming die gehouden is het ICAAP uit te voeren, verstrekt DNB bedoelde informatie als startpunt van de evaluatie door DNB, waarbij de vorm en timing in overleg met DNB wordt bepaald. Ondernemingen zullen periodiek rapporteren over de beter meetbare pijler 2 risico s het concentratierisico en het renterisico in het bankenboek op basis van de formulieren die opgenomen zijn als bijlagen bij de toezichthouderregeling staten financiële ondernemingen. De beoordeling van het ICAAP wordt ten minste één keer per jaar geactualiseerd. 3 SLOTBEPALINGEN Deze beleidsregel wordt aangehaald als: Beleidsregel uitgangspunten toepassing tweede pijler Kapitaalakkoord Bazel 2. Deze bijlage bestaat uit de volgende onderdelen: Onderdeel A. 12 Onderdeel A. CEBS richtsnoeren voor het ICAAP Toelichting: DNB past de onderstaande richtsnoeren toe wanneer zij beoordeelt of een onderneming de normen inzake het ICAAP naleeft. De artikelen 20 en 21a van het Besluit prudentiële regels Wft, alsmede het uitgangspunt dat de normen van dat Besluit proportioneel worden toegepast, vormen daarbij de basis. ICAAP 1: ICAAP 2: ICAAP 3: ICAAP 4: ICAAP 5: ICAAP 6: ICAAP 7: ICAAP 8: ICAAP 9: Every institution must have a process for assessing its capital adequacy relative to its risk profile (an ICAAP). The ICAAP is the responsibility of the institution. The ICAAP s design should be fully specified, the institution s capital policy should be fully documented, and the management body (both supervisory and management functions) should take responsibility for the ICAAP. The ICAAP should form an integral part of the management process and decision making culture of the institution. The ICAAP should be reviewed regularly. The ICAAP should be risk based. The ICAAP should be comprehensive. The ICAAP should be forward looking. The ICAAP should be based on adequate measurement and assessment processes. ICAAP 10: The ICAAP should produce a reasonable outcome. 12

13 Onderdeel B: CEBS richtsnoeren voor stress-testing (ST) ST1. ST2. ST3. ST4. ST5. ST6. ST7. ST8. ST9. The Guidelines on stress testing will be applied to all institutions taking into account their size, sophistication and diversification. In line with one of the principles listed in the CEBS Guidelines on the Supervisory Review Process (ICAAP 7) institutions should identify their material risks. In general, institutions should conduct stress tests on all the risks they have identified as material. Based upon the identification of material risks, institutions should derive material risk factors that should be subject to stress testing. Depending on their situation, institutions should consider historical and/or hypothetical scenarios. Stress testing should be based on exceptional but plausible events. Stress testing should in principle be applied at the same level as the ICAAP. The frequency of stress testing should be determined in accordance with the nature of the risks to which the institution is exposed and the types of tests performed. Institutions should determine the time horizon of stress testing in accordance with the maturity and liquidity of the positions stressed. Under specific circumstances, supervisors may require institutions to perform ad hoc stress tests at a specific point in time. ST10. Institutions should use accurate, complete, appropriate and representative data when performing stress tests and the IT resources should be commensurate with the complexity of the techniques and the coverage of stress tests performed by institutions. ST11. The management body has the ultimate responsibility for the overall stress testing framework. Where appropriate the management body can delegate certain aspects of this framework to specific risk committees or senior management, keeping the effective oversight. ST12. The stress testing process should be an integral part of an institution s risk management framework, with clear reporting lines and communication in an understandable format. ST13. Where deemed appropriate by the institution, it should take remedial measures or actions considering the level of risk exposure as revealed by stress tests and the objectives and risk tolerances defined by the management body. ST14. Appropriate documentation should be in place to facilitate the adequate implementation of the whole stress testing framework. 13

14 ST15. Institutions should consider periodically whether stress tests are still adequate. In particular, institutions should ensure that assumptions regarding the risk profile and the external environment are still valid over time. ST16. In line with one of the CEBS s High Level Principles listed in the CEBS Guidelines on the Supervisory Review Process (ICAAP 8) institutions should use stress testing as one (among others) tool to assess the risks in a forward looking manner. ST17. As part of these policies and processes, institutions should conduct stress tests for their positions in financial instruments in the trading book. ST18. For those institutions using internal models for the calculation of capital requirements for market risks, supervisory requirements for stress testing remain unchanged. Their ongoing fulfilment will be considered under the SREP. ST19. Institutions under the large exposures provisions using the comprehensive method for calculating the effects of financial collateral, or permitted to use their own estimates of LGDs and conversion factors, should identify conditions which would adversely affect the realisable value of their financial collateral. ST20. According to Article 114 (3) of the CRD, where the results of the stress testing indicate a lower realisable value of collateral, the value of collateral taken into account for the purpose of determining an institution s LE limits should be adjusted accordingly. ST21. Institutions should regularly project cash flows under alternative scenarios of various degrees taking into account both market liquidity (external factors) and funding liquidity (internal factors) ST22. When assessing the impact of these scenarios on their cash flows, institutions should rely on a set of reasonable assumptions that should be reviewed regularly. ST23. Institutions should have in place adequate contingency plans in the event of the realisation of a liquidity crisis. ST24. To come up with a complete view of various risk positions, stress testing of other risk types may be usefully considered to design alternative liquidity scenarios. ST25. Supervisors may perform their own stress tests based on available data in their assessment of liquidity risk under SREP. 14

15 Onderdeel C: CEBS richtsnoeren voor het SREP SREP 1: SREP 2: SREP 3: SREP 4: SREP 5: SREP 6: SREP 7: SREP 8: SREP 9: The SREP should be an integrated part of the authority s overall risk based approach to supervision. The SREP should apply to all authorised institutions. The SREP should cover all the activities of an institution. The SREP should cover all material risks and internal governance. The SREP will assess and review the institution s ICAAP. The SREP will assess and review the institution s compliance with the requirements laid down in the CRD. The SREP should identify existing or potential problems and key risks faced by the institution and deficiencies in its control and risk management frameworks; and it should assess the degree of reliance that can be placed on the outputs of the institution s ICAAP. The SREP will inform supervisors about the need to apply prudential measures. The results of the SREP will be communicated to the institution at the appropriate level (usually the management body) together with any action that is required of the institution and any significant action planned by the supervisory authority. SREP 10: The supervisory evaluation should be formally reviewed at least on an annual basis, to ensure that it is up-to-date and remains accurate. 15

16 Onderdeel D: Richtsnoeren voor kleinere financiële ondernemingen 1. Introduction 1. Section D provides recommendations for smaller institutions (credit institutions and investment firms) on how they might approach the ICAAP. This Section is a summary of the guidelines formulated by CEBS in its Paper on the Internal Capital Adequacy Assessment Process (ICAAP) for Smaller Institutions, which full text is available at the website of DNB ( and provides more detail about how smaller institutions could comply with the guidelines formulated by CEBS in its Guidelines on the Application of the Supervisory Review Process under Pillar 2 (hereafter: Guidelines ), published on 25 January The recommendations in this Section are without prejudice to the approaches that may be considered or adopted by larger institutions. 3. The recommendations focuses mainly on elaborating Guidelines on ICAAP 6 to 10 in the Guidelines, which are subject to the principle of proportionality. For the avoidance of doubt, smaller institution should also adopt Guidelines on ICAAP 1 to 5 in the Guidelines (also subject to the principle of proportionality). 4. The approaches to ICAAP described in these recommendations are not exhaustive. The recommendations are instead to be seen as a toolkit from which institutions can collect ideas on how to approach the ICAAP in Pillar Proportionality and scope of application 5. The Guidelines state that the ICAAP should be proportionate to the nature, scale and complexity of the activities of the institution. This implies that the concept of proportionality will have a particular influence on the structure and complexity of the ICAAP of smaller institutions. 6. For the purpose of these recommendations, an institution would usually be considered as a smaller institution if it meets most or all of the following criteria: 1 its activities are noncomplex and focus on a limited product range; 2 it has a relatively small market share; 3 it does not adopt or use any of the IRB, AMA and internal models related to market risk which are approved by DNB; 4 it mainly operates inside the national territory and has none or only limited international activities. However, the supervisory authorities recognise that some small investment firms conduct more extensive crossborder activities or service foreign clients; and 5 it describes itself as a smaller institution in its own assessment. However, the ultimate decision whether an institution should be considered as a smaller institution in the sense of this paper rests with the supervisory authorities. 16

17 2. Smaller institutions and ICAAP 2.1 ICAAP requirements General requirements 7. The Capital Requirements Directive includes basic requirements for all institutions to have robust governance arrangements and effective processes for managing all risks. It also requires all institutions to have in place sound, effective and complete strategies and processes to assess and maintain adequate capital, having considered the nature and level of their risks in a forward-looking manner. 8. The management body of the institution is responsible for structuring the ICAAP and assessing the institution s internal capital need. The smaller institutions bear the responsibility for setting targets of adequate internal capital need in a way which is consistent with their risk profile and operating environment. This remains the case even if the ICAAP is outsourced to any extent in accordance with CEBS Standards on Outsourcing. The institution must further be able to explain and demonstrate how the ICAAP meets supervisory requirements. Regardless of the choice of ICAAP structure and assessment methodology, the ICAAP should be based on the Guidelines on ICAAP 1 to 10 laid down in the Guidelines. 9. The ICAAP should capture all the material risk to which the institution is exposed including all Pillar 1 risks, risk not fully captured under Pillar 1, Pillar 2 risks, and risk factors external to the institution Requirements for smaller institutions 10. Smaller institutions are also expected to conduct capital planning and capital adequacy assessment relative to their entire risk profile considering institution specific characteristics and uncertainties. A suitable ICAAP can be seen as one of the key internal management processes for the management body. The development of an ICAAP aims to enhance risk awareness, maintain good risk assessments in smaller institutions and a sufficient level of internal capital to meet unexpected losses. 11. The supervisory authorities expect that the smaller institutions will already conduct many of the thought processes required by the ICAAP as part of their usual budgeting and strategic planning processes. 12. Smaller institutions could comply with the criteria in the Guidelines by setting up an ICAAP which takes into consideration the appropriate risk areas including risk drivers from Annex 1 of the Guidelines. These risk areas and risk drivers should be considered as a reference source institutions can use to identify which risks they are exposed to. If the institution is exposed to risks not mentioned in Annex 1 of the Guidelines, it should ensure that internal capital if appropriate is allocated to capture such risks. 13. Smaller institutions should be mindful that capital is not the only mitigant available and that in many circumstances, risk can be addressed through adequate systems and controls, especially for risks which are difficult or impossible to quantify. 17

18 2.2 Methodology 14. There is no single correct process when setting up the ICAAP. Smaller institutions could, for example, adopt an ICAAP based on the Pillar 1 minimum capital requirement and assess extra capital proportionate to the non Pillar 1 risk. Alternatively, smaller institutions could choose to adopt a building block approach, using different methodologies for the risk types under the different Pillars and then calculating a sum of the resulting capital needs. As a further alternative, an institution might start with its actual capital (risk taking capacity) and break it down to all its material risks. The choice of methodology should clearly be commensurate with the institutions ability to collect the necessary information and to calculate the necessary inputs in a reliable manner. 15. Regardless which methodology a smaller institution decides to adopt, it needs to compare its actual and future capital with the actual and future internal capital need arising from the assessment. The actual calculation and allocation of internal capital always needs to be supplemented by sufficiently robust qualitative procedures, measures and provisions to identify, manage, control and monitor all risks. 16. The process an institution has chosen for its ICAAP will always consist of two parts. One part covers all steps necessary for calculating the risks. The other part covers all steps necessary to calculate the actual capital. In order to compile this overall measure, the institution has to define which components of its balance sheet and/or P/L can be included into the calculation (i.e. which balance sheet and/or P/L components genuinely represent loss absorption capacity for the institution). Therefore the institution has to define a clear process for the calculation. As these two parts will always meet at the end of the ICAAP and have to be in balance, there is no procedure which says which part has to be calculated first Pillar 1 minimum capital requirement approach 17. An institution which chooses to use the Pillar 1 minimum capital requirement as the starting point has to consider what additional capital may be required to take account of those risks which are not included or fully captured by the Pillar 1 minimum capital requirement. This requires an assessment first of whether the Pillar 1 minimum capital requirement fully captures the Pillar 1 risks (credit risk, market risk and operational risk), and second, how much capital to allocate against the Pillar 2 risks and external factors Structured approach 18. An institution which chooses to use a structured approach will need to set the internal capital requirement at a starting point of zero capital and then build on capital due to all Pillar 1 and Pillar 2 risks and external factors. This methodology could be seen as a simple model for calculating economic capital and is not based on the Pillar 1 minimum capital requirement. All material risk areas, including credit risk, market risk and operational risk, should be assessed and taken into consideration when assessing the internal capital need. A sensitivity analysis could form the starting point. The sensitivity analysis should be based on an exceptional but plausible scenario. Risks which are not included in the sensitivity analysis should also be considered in terms of the structured approach. 18

19 2.2.3 Allocation of risktaking approach 19. An institution which chooses to use this method will start from its actual capital and compare this figure to its total risks. Thereby it breaks the capital down to all its material risks. This step in the process requires quantification or at least an estimation method for various risks. The amount of capital provided for each risk category is determined by the current and envisaged amount of risk in each category, a risk buffer and the risk appetite of the institution. The institution will decide which type of risk quantification/estimation method is suitable and sufficient for its particular use. If the allocated capital seems insufficient, either the risk has to be reduced or the capital has to be raised. The allocated amounts of the capital will therefore work as a limit system, which assists and facilitates the institution in balancing its risktaking capacity and its risks. The actual calculation and allocation of capital always needs to be supplemented by sufficiently robust qualitative procedures, measures and provisions to identify, manage, control and monitor all risks. 20. After choosing its ICAAP methodology, the institution could take its thinking through the following steps in developing the ICAAP: 1 Risk identification A smaller institution could prepare a list of all material risks to which it is exposed; for that purpose it may find it useful to identify and consider its largest past losses and whether those losses are likely to recur. The identification of all material risk to which the institution is exposed should be conducted in a forward looking manner. 2 Capital assessment For all the risks identified through the process above, a smaller institution could then consider how it would act, and the amount of capital that would be absorbed, in the event that one or more of the risks identified was to materialise. 3 Forward capital planning A smaller institution could then consider how its capital need as calculated above might alter in line with its business plans over its strategic time horizon, and how it might respond to these changes. In doing so, a smaller institution may want to perform a sensitivity analysis to understand how sensitive its capital is to changes in internal and external factors such as business risks, and changes in business cycles. 4 ICAAP outcome Finally, a smaller institution should document the ranges of capital required identified above and form an overall view on the amount of internal capital which it should hold. 2.3 Risk areas of focus according to the nature of activities of smaller credit institutions 21. The next section sets out risks which may be considered by smaller credit institutions. It provides examples of the types of risks which such institutions might typically face and should therefore consider in their ICAAP, as detailed in the section above. The definitions of risks are valid as laid down in Annex 1 of the Guidelines. 19

20 2.3.1 Concentration risk 22. Concentration risk resulting from concentrated loan portfolios could be a significant factor, especially for smaller institutions. If a credit institution chooses to use the minimum capital requirement as a starting point for its capital assessment, it should remember that, when assessing its exposure to concentration risk, the minimum capital requirement is calibrated on the assumption that an institution is a well diversified internationally active institution, which usually does not apply to smaller institutions. 23. In assessing the degree of credit concentration, a credit institution should consider its degree of credit concentration to both individual counterparties and economic or geographic areas. Where the business of a credit institution is, by its nature, concentrated (for example, a specialised firm lending to one sector only, or where there is collateral concentration), it should consider the impact of adverse economic factors on the concentrated area and its impact on asset quality Control/management risk 24. Control/management risk could be divided into risk due to control/management deficiencies and risk due control/management limitations. Control/management deficiencies relate to circumstances where institutions do not comply with minimum legal requirements. Control/management limitations relate to circumstances where the institutions comply with minimum legal requirements, but, due to structural reasons inherent in their size, have a limited capacity to set up sophisticated governance arrangements and systems and controls. 25. Control/management deficiencies should normally be addressed by using other risk mitigants than capital. In fact, the correct response must be to take action to resolve the problems. 26. Control/management risk due to control/management limitations could be a significant factor for smaller institutions. The concept of proportionality means that supervisors would not expect the same degree of sophistication of governance arrangements and controls that could be found in a larger institution. However, other things being equal, the overall risk profile may be higher in smaller institutions after taking into account the proportionate management and control environment (whether in relation to specific risks, or in general). Smaller institutions will also be expected to consider the risk resulting from control/management limitations in their internal capital assessment, if the application of other measures is deemed to be inadequate to address such limitations within an appropriate timeframe Credit risk 27. The Pillar 1 minimum requirement seeks to cover credit risk. However, the Standardised Approach might not reflect the full credit risk of the institution. Therefore it is important that the institution considers whether its credit risk is fully captured in the capital assessed by Pillar 1. For example, the institution should make sure that the capital assessment allocates internal capital for the weaker exposure classes where accounting standards do not require (or allow) that provisions are made and where the Pillar 1 approach used does not sufficiently reflect the risk of a particular portfolio. 20
