5 WIJ ZIJN FIER U HET JAARVERSLAG 2003 VAN INCOFIN TE MOGEN PRESENTEREN. In de loop van 2003 nam de investeringsportefeuille van Incofin in het Zuiden toe met euro. Acht nieuwe investeringsprojecten werden uitgevoerd. Dit is de sterkste groei die Incofin ooit op één jaar tijd heeft gerealiseerd. Incofin investeerde in 2003 hoofdzakelijk in kwaliteitsvolle microfinancieringsinstelingen en in KMO s in het Zuiden (Afrika en Latijns-Amerika). De investeringen werden verricht om lokaal ondernemerschap op een professionele wijze te ondersteunen. Via zijn investeringen bereikt Incofin nu reeds zo n kleine lokale ondernemers in het Zuiden. Het huidige elan van Incofin is te danken aan een grondige heroriëntering van de strategie, die in 2002 werd doorgevoerd, precies 10 jaar na Incofins oprichting als eerste Belgische sociale investeringsmaatschappij voor het Zuiden. De nieuwe strategie werpt haar vruchten af. Wellicht daarom traden in 2003 een 70-tal nieuwe aandeelhouders toe tot Incofin. Als resultaat van de heroriëntering werd Incofin in 2003 opnieuw winstgevend. Naast de investeringen met kapitaal verschaft Incofin ook expertise en knowhow aan ondernemers in het Zuiden. Incofin heeft in 2003 talrijke consultancy-opdrachten uitgevoerd, voornamelijk op het vlak van technische assistentie aan microfinancieringsinstellingen. Daarnaast is Incofin mede-initiatiefnemer van Ex-Change, een expertenplatform, dat in 2003 niet minder dan 26 missies uitvoerde. Vele van deze missies werden aangebracht door het netwerk van Incofin in het Zuiden. Door lokaal ondernemerschap in het Zuiden te ondersteunen, wil Incofin de groeidynamiek in het Zuiden een duw in de rug geven. Bovendien gaat Incofin bedrijfsmatig en professioneel te werk. Het zijn de basisingrediënten van het succes van Incofin, dat nog een groot groeipotentieel in zich heeft. FRANS VERHEEKE VOORZITTER INCOFIN WE TAKE PRIDE IN PRESENTING YOU WITH INCOFIN S ANNUAL REPORT In the course of 2003, Incofin s investment portfolio in the southern hemisphere regions grew by euro. Eight new investment projects were executed. This represents the strongest growth Incofin ever achieved in the space of one year. In 2003, Incofin invested primarily in high-quality microfinance institutions and in SMEs in the southern hemisphere (Africa and Latin America). These investments were designed to support local entrepreneurship in a professional manner. Through investments of this kind, Incofin has today established close ties with some 120,000 small local entrepreneurs in the southern countries. The current stimulus that drives Incofin is due to a thorough reorientation of the strategy that was introduced in 2002, exactly 10 years following Incofin s formation as the first Belgian social investment company for the southern hemisphere. This strategy is now bearing fruit. It is no doubt for that reason that in 2003 some 70 new shareholders joined Incofin. As a result of this reorientation, Incofin returned to profit in Aside from capital investments, Incofin also provides expert advice and know-how to entrepreneurs in the southern regions. In 2003, Incofin engaged in a large number of consultancy assignments, primarily in the area of technical assistance to microfinance institutions. In addition, Incofin is a co-initiator of Ex-Change, a specialist platform that conducted no fewer than 26 missions in Many of these were brought about by the Incofin network active in the southern hemisphere. By supporting local entrepreneurship in the southern hemisphere, Incofin seeks to promote the growth dynamics in those regions. 12 Mission, Vision and Values MISSION Incofin invests capital and know-how of entrepreneurs in order to support sustainable and profitable entrepreneurship in the southern hemisphere. VISION Incofin aims at bundling efforts by businesses, organisations, and private parties from Flanders, Belgium, and neighbouring European countries, into a solid, social investment company that supports local entrepreneurship in southern countries through investments. VALUES Attention to disadvantaged population segments in developing countries. Incofin invests only in projects that can demonstrate the generation of socio-economic benefits. Incofin creates opportunities for the deployment of local initiative. In the southern hemisphere, Incofin wishes only to play a supportive role, certainly not the part of leader. The administration and control of the companies in which Incofin decides to invest remains at all times in the hands of local management. Operational effectiveness and long-term vision. Incofin judges projects on the basis of their financial feasibility, founded on the results of a thorough screening and on a solid business plan. A positive financial result is important, but Incofin does not pursue the goal of maximizing profits. Any profits made will be reinvested in the southern countries. Socially responsible entrepreneurship. Incofin stimulates businesses and entrepreneurs here to pay attention to North-South relations and to socially responsible entrepreneurship. Sustainable entrepreneurship. Incofin invests only in enterprises that contribute to sustainable development and that pass the test of international standards and exclusionary criteria. Appreciation for entrepreneurship. Incofin is of the opinion that entrepreneurship is a significant motor in self-development. For, indeed, it is important that people can themselves take the initiative in trying to improve their living conditions. Incofin invests in companies that are managed by entrepreneurs who want to realize their projects in an ambitious way. Transparency and integrity. Incofin strives for total transparency, both vis-à-vis its shareholders and the enterprises in which it has decided to invest. 13 Missie, Visie en Waarden MISSIE Incofin investeert met kapitaal en kennis van ondernemers om duurzaam en rendabel ondernemen in het Zuiden te stimuleren. VISIE Incofin wil inspanningen van bedrijven, organisaties en particulieren uit Vlaanderen, België en uit de omliggende Europese landen bundelen in een duurzame sociale investeringsmaatschappij, die door middel van investeringen lokaal ondernemerschap in het Zuiden ondersteunt. WAARDEN Aandacht voor achtergestelde bevolkingsgroepen in ontwikkelingslanden. Incofin investeert enkel in projecten die een aanwijsbare sociaal-economische meerwaarde hebben. Incofin creëert kansen voor de ontplooiing van lokaal initiatief. Incofin wil in het Zuiden enkel een ondersteunende rol spelen, in geen geval een leidende rol. De leiding van de ondernemingen, waarin Incofin investeert, is steeds in handen van lokaal management. Bedrijfsmatigheid en termijnvisie. Incofin beoordeelt projecten op basis van hun financiële haalbaarheid, gestaafd door een grondig voorafgaand onderzoek en van een stevig bedrijfsplan. Een positief financieel resultaat is belangrijk, maar Incofin streeft geen winstmaximalisatie na. Eventuele winsten worden geherinvesteerd in het Zuiden. Maatschappelijk verantwoord ondernemen. Incofin stimuleert bedrijven en ondernemers van hier om oog te hebben voor Noord-Zuid relaties en voor maatschappelijk verantwoord ondernemen. Duurzaam ondernemen. Incofin investeert enkel in ondernemingen die bijdragen tot duurzame ontwikkeling en die de toets doorstaan van internationale normen en uitsluitingscriteria. Waardering voor ondernemerschap. 14 Strategic accents Ten years after its formation (founded on August 27, 1992) Incofin engaged in a strategic reorientation. In 2002, the company went through an extensive strategic exercise that was concluded during a two-day seminar of Incofin s Board of Directors in Cadzand (December 19-20, 2002). As of 2003, the new strategy was put into practice. THE ACCENTS OF THIS RENEWED STRATEGY ARE AS FOLLOWS. Integrated approach. Incofin invests both with capital and with know-how. Aside from financial contributions (participations, loans, guarantees), facilitating the provision of technical assistance is an important component of Incofin s interventions. Investment targets. With its investments, Incofin addresses both micro-enterprises (not directly but through local financial intermediaries) and small and medium-sized companies*. Incofin submits all investment projects to a thorough screening. All investments are tested against financial and operational criteria and examined for their relevancy to further development. The investment policy is available on the Incofin website. In view of the numerous risks associated with investments in southern hemisphere countries, specific rules regarding risk management were drawn up. These will be discussed later in this report. Financial autonomy. Incofin aims at financial autonomy. Its structural, recurring costs are first of all covered by the return on the investment portfolio. Incofin aims for a return on its investment portfolio that is comparable to that of other social investment companies. Incofin accepts that 1/10th of its investment portfolio does not yield a return, in so far as the initially invested value is maintained and the investments in question prove to be particularly relevant for development. In order to achieve a reasonable impact and to be able to operate with financial independence, Incofin wants to have access to a solid capital base. To this effect, the company is looking for additional shareholders, both companies and institutions, as well as private individuals. For private individuals, a special no-par value share was created (1/20th of the normal share value). Geographic demarcation. Geographically, Incofin concentrates its attention on Sub-Sahara Africa and Latin America. Within these continents, the main focus for Africa lies on East Africa, while for Latin America special attention is being paid to the Andes region and Central America. * Classification according to IFC. 15 Strategische krachtlijnen Tien jaar na zijn oprichting heeft Incofin (opgericht op 27 augustus 1992) een strategische heroriëntering doorgevoerd. In de loop van 2002 had een uitgebreide strategische oefening plaats, die werd afgesloten tijdens een tweedaags seminarie van de Raad van Bestuur van Incofin in Cadzand (19-20 december 2002). Vanaf 2003 werd de vernieuwde strategie in de praktijk gezet. DE KRACHTLIJNEN VAN DE HERNIEUWDE STRATEGIE ZIJN DE VOLGENDE. Geïntegreerde aanpak. Incofin investeert zowel met kapitaal als met kennis. Naast de financiële inbreng (participaties, leningen, garanties) is het faciliteren van technische assistentie een belangrijke component van de interventies van Incofin. Investeringsdoelwitten. Incofin richt zich met zijn investeringen enerzijds tot micro-ondernemingen (niet rechtstreeks maar via lokale financiële intermediairs) en anderzijds tot kleine- en middelgrote ondernemingen*. Incofin onderwerpt de investeringsprojecten aan een grondige voorafgaande screening. Alle investeringen worden getoetst aan financiële en operationele criteria en onderzocht op hun ontwikkelingsrelevantie. De investeringspolitiek is op de website van Incofin te vinden. Gelet op de talrijke risico s verbonden aan investeringen in het Zuiden, werden specifieke regels inzake risicobeheer afgesproken. Hierop wordt verder in dit verslag teruggekomen. Financiële zelfstandigheid. Incofin wil financieel zelfstandig zijn. De structurele, recurrente kosten van Incofin worden in de eerste plaats gedekt door het rendement op de investeringsportefeuille. Incofin streeft een rendement na op zijn investeringsportefeuille, dat vergelijkbaar is met dat van andere sociale investeringsmaatschappijen. Incofin aanvaardt dat op 1/10e van zijn investeringsportefeuille geen rendement wordt gehaald, voor zover de initieel geïnvesteerde waarde wordt gehandhaafd en de betrokken investeringen bijzonder ontwikkelingsrelevant zijn. Om een redelijke impact te hebben en om financieel zelfstandig te kunnen zijn, wil Incofin over een stevige kapitaalsbasis beschikken. Hiervoor worden bijkomende aandeelhouders aangezocht, zowel bedrijven als instellingen en particulieren. Voor particulieren werd speciaal een deelbewijs gecreëerd (1/20e van een normaal aandeel). Geografische afbakening. Incofin concentreert zich geografisch op Sub-Sahara Afrika en op Latijns- Amerika. Binnen voornoemde continenten wordt voor Afrika de nadruk gelegd op Oost-Afrika en voor Latijns-Amerika op het Andesgebied en Centraal-Amerika. * Classificatie op basis van IFC definitie. 18 Shareholders Incofin is registered as a Co-operative Association with a social purpose (CVSO) in which both companies and private individuals can participate and become an associate. In the course of 2003, the Incofin General Meeting decided to proceed with the issue of split-up shares worth 1/20th of the regular shares priced at euro (nominal value as of time of formation). This new type of share is aimed primarily at private individuals. The prospectus drawn up on the occasion of the issue was approved by the Banking and Finance Commission, in accordance with article 14 of the Law of April 22, 2003 on public share offerings. Through the introduction of this new type of share, the number of shareholders increased considerably during 2003 from 29 as per December 31, 2002 to 96 as per December 31, As of the end of 2003, Incofin counted 70 private shareholders. A significant increase in capital has been recorded by Incofin during the past three years. Proportionally, the largest participation in the Incofin capital is recorded by banks and holdings, industry and businesses. The new 1/20 type shares were particularly successful with private investors, as illustrated by the following graphic. 19 Aandeelhouders Incofin is geregistreerd als een Coöperatieve Vennootschap met Beperkte Aansprakelijkheid met Sociaal Oogmerk (CVSO) waarin zowel bedrijven als particulieren kunnen participeren en vennoot worden. In de loop van 2003 besliste de Algemene Vergadering van Incofin over te gaan tot de uitgifte van gesplitste aandelen ter waarde van 1/20e van de gewone aandelen van euro (nominale waarde vanaf oprichting). Dit nieuw type aandeel richt zich voornamelijk tot de particulieren. De prospectus voor de uitgifte ervan werd goedgekeurd door de Commissie voor het Bank- en Financiewezen overeenkomstig artikel 14 van de wet van 22 april 2003 betreffende de openbare aanbieding van effecten. Door de invoering van dit nieuw type aandeel nam het aantal aandeelhouders in de loop van 2003 aanzienlijk toe van 29 per 31/12/2002 naar 96 per 31/12/2003. Per einde 2003 telde Incofin 70 particuliere aandeelhouders. Vooral sinds de 3 laatste jaren is er een belangrijke toename van het kapitaal bij Incofin. Proportioneel wordt de belangrijkste deelname in het kapitaal van Incofin geleverd door banken en holdings, industrie en bedrijven. Het nieuwe 1/20 type aandeel kende vooral succes bij de particulieren zoals geïllustreerd wordt in de grafiek. 22 Corporate Governance PRINCIPLES In 2003, the Incofin Board of Directors approved a code of conduct which sets out unequivocal rules pertaining to corporate governance. This code of conduct includes rules concerning transparency and principles pertaining to the avoidance of conflicts of interest. Concrete agreements were made regarding the procedure for introducing investment projects, the purchase of services by Incofin, the transparency of sponsor-return, confidentiality, and the independence of the management team. SHAREHOLDER PARTICIPATION Incofin counts numerous shareholders that actively support the company. In 2003, VDK Spaarbank provided Incofin with a sponsor contribution in the amount of euro. In addition, Incofin receives from VDK Spaarbank a commission on the outstanding balances of the VDK-World Savings Account. In 2003, this commission amounted to euro. VKW has concluded a five-year sponsor contract with Incofin. In 2003, Incofin received from VKW an amount of euro. Roularta Media Group has donated a publicity campaign to Incofin which will run from December 2003 to May A full-page advertisement will each month be published in Knack, Trends and Plus Magazine. This contribution was made for the purpose of reinforcing Incofin s follow-up capacity for investments in microfinance institutions. VDK Spaarbank verstrekte in 2003 een sponsorbijdrage aan Incofin ten belope van euro. Daarnaast ontvangt Incofin van VDK Spaarbank een commissie op de uitstaande saldi van de VDK-Wereldspaarrekening.
