HOOFDSTUK I: LICENTIEVOORWAARDEN Artikel 1 Definities De woorden die in deze Licentievoorwaarden met een hoofdletter zijn geschreven, hebben de betekenis zoals aangegeven in artikel 1 van de Algemene Bepalingen (hoofdstuk IV). Artikel 2 LICENTIEOVEREENKOMST, AANVANG, DUUR EN BEËINDIGING 2.1 Today IT en Licentienemer gaan een Licentieovereenkomst aan met betrekking tot de Software door schriftelijke of elektronische acceptatie door Licentienemer van het voorstel daartoe van Today IT. Deze Licentievoorwaarden en de Algemene Bepalingen (hoofdstuk IV) maken integraal onderdeel uit van de Licentieovereenkomst. Op maatwerksoftware kunnen andere voorwaarden van toepassing zijn. Today IT zal Licentienemer daarover, indien van toepassing, informeren. 2.2 De Licentieovereenkomst wordt aangegaan voor onbepaalde tijd. Beëindiging is mogelijk zoals aangegeven in artikel 11 van de Algemene Bepalingen (hoofdstuk IV). Bij beëindiging van de Licentieovereenkomst zal Licentienemer direct het gebruik van de Software staken en gestaakt houden. Het bepaalde in artikel 6.1 van de Algemene Bepalingen is van toepassing. Artikel 3 LICENTIEVERGOEDING - Terms and Conditions Today IT B.V. CHAPTER I: LICENSE TERMS Article 1 DEFINITIONS Capitalized terms in these License Terms shall have the meanings ascribed to them in Article 1 of the General Terms & Conditions (chapter IV). Article 2 LICENSE AGREEMENT, START, TERM AND TERMINATION 2.1 Today IT and Licensee enter into a License Agreement with regard to the Software by written or electronic acceptance by Licensee of the proposal thereto from Today IT. These License Terms and the General Terms & Conditions (chapter IV) form an integral part of the License Agreement. Other terms and conditions may apply to customized software. If applicable, Today IT will inform Licensee about such other terms and conditions. 2.2 The License Agreement is entered into for an indefinite period of time. Termination is possible as described in article 11 of the General Terms & Conditions (chapter IV). Upon expiry of the License Agreement Licensee will immediately cease using the Software and will refrain from using it again. The provisions of article 6.1 of the General Terms & Conditions apply. Article 3 LICENSE FEE Voor het gebruik van de Software is Licentienemer aan Today IT vanaf de dag van levering van de Software een licentievergoeding verschuldigd zoals in de Licentieovereenkomst aangegeven, tenzij partijen over de aanvangsdatum schriftelijk andere afspraken hebben gemaakt. De licentievergoeding moet betaald worden, ook als Licentienemer om welke reden dan ook geen gebruik (meer) maakt van de Software. Artikel 4 GEBRUIKSRECHT Licensee will pay Today IT a license fee for the use of the Software from the date of delivery of the Software as defined in the License Agreement, unless the parties have made different agreements in writing about the start date of payment. The license fee is payable even if, for any reason, Licensee does not use the Software (any more). Article 4 RIGHT OF USE 4.1 Bij het tot stand komen van de Licentieovereenkomst ontstaat voor Licentienemer het niet-exclusieve recht om de Software en de daarbij behorende gebruikersdocumentatie te gebruiken volgens de bepalingen in de Licentieovereenkomst en deze Licentievoorwaarden. 4.2 Het gebruikrecht houdt in dat Licentienemer de Software één keer op een server mag (laten) installeren, het maximale aantal in de Licentieovereenkomst aangegeven gebruikers en administraties mag creëren en de Software voor dit aantal gebruikers en administraties mag gebruiken binnen de voorwaarden van deze 4.1 At the conclusion of the License Agreement the non-exclusive right arises for Licensee to use the Software and the accompanying user documentation in accordance with the provisions in the License Agreement and in these License Terms. 4.2 The right to use entails the right for Licensee to install the Software or have it installed once per server, to create the maximum number of users and administrations defined in the License Agreement and to use the Software for this number of users and administrations in accordance with these License Terms. versie / version

2 Licentievoorwaarden. Het gebruiksrecht omvat ook de eventuele bijbestellingen van de Software (extra gebruikers en/of administraties) door Licentienemer onder dezelfde Licentieovereenkomst. Het gebruiksrecht is beperkt tot de eigen onderneming van Licentienemer. De Software mag niet worden gebruikt voor de uitvoering van opdrachten van derden, tenzij schriftelijk duidelijk anders is afgesproken. 4.3 Licentienemer zorgt zelf voor de installatie en inrichting van de Software op zijn computersysteem, tenzij Today IT en Licentienemer schriftelijk afspreken dat Today IT hiervoor tegen betaling - zal zorgen. The right to use also includes any additional orders to the Software (additional users and/or administrations) Software ordered by Licensee under the same License Agreement. Licensee may only use the Software within its own organization. The Software may not be used for the execution of assignments from third parties, unless the parties have made different agreements in writing. 4.3 Licensee will take care of the installation and implementation of the Software, unless Today IT and Licensee agree in writing that Today IT will take of this, against payment. 4.4 Bij installatie en gebruik van de Software zal Licentienemer de Systeemeisen zoals door Today IT gesteld, in acht nemen. 4.5 Licentienemer mag de Software niet geheel of gedeeltelijk, op welke wijze dan ook, kopiëren, reproduceren, vertalen, aanpassen, ontleden, namaken, wijzigen, reconstrueren of op andere wijze verveelvoudigen en/of bewerken. 4.6 Licentienemer mag 1 (één) kopie van de Software maken als reservekopie, voor hersteldoelen en deze eventueel op een aparte server installeren. Deze kopie mag alleen gebruikt worden als back-up, voor het vervangen van onbruikbaar geworden originele Software. 4.7 Licentienemer is verantwoordelijk voor het regelmatig maken van een back-up van alle gegevensbestanden die met de Software worden gebruikt, geregistreerd, gegenereerd en/of toegepast. 4.4 When installing and using the Software, Licensee will observe the System Requirements set by Today IT. 4.6 Licensee may not copy, reproduce, translate, adjust, decompile, imitate, change, reconstruct or otherwise duplicate and/or adapt the Software in any other manner, wholly or in part. 4.6 Licensee is entitled to make 1 (one) copy of the Software as backup, for recovery purposes and install such copy on a separate server. This copy may only be used as backup, to replace the original Software when it has become unfit for use. 4.7 Licensee is responsible for making regular backups of all data files that are used, registered, generated and or applied with the Software. Artikel 5 OVERDRAAGBAARHEID EN HOSTING 5.1 Licentienemer mag de Software, het gebruiksrecht op de Software en/of de Licentieovereenkomst niet aan derden overdragen, onder welke titel dan ook. Daarbij is niet van belang of er een vergoeding wordt gevraagd en/of betaald. Onder overdracht wordt in ieder geval maar niet alleen begrepen verhuur, verkoop, vervreemding, verpanding en in sublicentie geven. 5.2 Licentienemer zal, als dit gevraagd wordt, direct zijn volledige medewerking verlenen aan een door of namens Today IT uit te voeren onderzoek om na te gaan of Licentienemer de overeengekomen gebruiksrechten en beperkingen naleeft. Today IT zal alle vertrouwelijke bedrijfsinformatie van Licentienemer die zij tijdens een dergelijk onderzoek van of bij Licentienemer verkrijgt, vertrouwelijk behandelen. Article 5 TRANSFERABILITY AND HOSTING 5.1 Licensee may not transfer the Software, the right of use on the Software and/or the License Agreement to third parties irrespective of the nature of the action. It is not important whether a fee is asked for and/or paid. Transfer includes but is not limited to hiring out, selling, disposing of, pledging and sub-licensing. 5.2 Licensee shall, when requested, immediately cooperate in full with a research to be conducted by or on behalf Today IT, with the goal to determine whether Licensee complies with the agreed rights and restrictions regarding the use of the Software. Today IT will treat all confidential business information of Licensee obtained from or with Licensee during the investigation, confidentially. versie / version

3 5.3 Als Licentienemer het gebruiksrecht overdraagt aan een derde partij zonder dat daartoe expliciete, schriftelijke toestemming van Today IT is ontvangen, dan blijft Licentienemer aansprakelijk voor betaling van de licentie- en onderhoudsvergoedingen voor het eigen gebruik en voor het ongeoorloofde gebruik door de derde. Verder heeft Today IT het recht om dergelijke vergoedingen evenals overige schade op die derde te verhalen. 5.4 Hosting van de Software door Licentienemer bij een derde partij is toegestaan onder de voorwaarde dat Licentienemer deze Licentievoorwaarden en als van toepassing de Onderhoudsvoorwaarden oplegt aan die derde (hosting)partij. Today IT is niet verantwoordelijk of aansprakelijk voor eventuele gevolgen van het niet in acht nemen van de Licentie- en Onderhoudsvoorwaarden door een door Licentienemer ingeschakelde derde (hosting)partij. Licentienemer zal Today IT vrijwaren tegen eventuele aanspraken van de derde (hosting)partij. Artikel 6 GARANTIE 6.1 Today IT staat er niet voor in dat de aan Licentienemer ter beschikking gestelde Software geschikt is voor het feitelijke en/of beoogde gebruik door Licentienemer. Today IT garandeert ook niet dat de Software zonder Fout, onderbreking, of gebrek zal werken of dat altijd alle Fouten en gebreken opgelost worden. 6.2 Today IT zal zich naar beste vermogen inspannen om Fouten in de Software binnen een redelijke termijn te herstellen als deze Fouten binnen een periode van 3 (drie) maanden na levering van de Software schriftelijk en voldoende duidelijk omschreven bij Today IT zijn gemeld. Gecorrigeerde en nieuwe versies van de Software die na de genoemde periode van 3 (drie) maanden aan Licentienemer worden geleverd in het kader van de Onderhoudsovereenkomst, vallen niet onder de garantie. 6.3 Het herstel zoals in artikel 6.2 aangegeven zal gratis worden uitgevoerd, tenzij sprake is van gebruiksfouten, oneigenlijk gebruik door Licentienemer, aanpassingen in de Software die niet door of namens Today IT zijn gemaakt, fouten of latenties (zoals virussen, trojan horses etc.) in software, hardware of randapparatuur die niet van Today IT afkomstig is, of andere niet aan Today IT toe te rekenen oorzaken. 6.4 Today IT is niet verplicht om verminkte of verloren gegane gegevens te herstellen of herstelwerkzaamheden te verlenen in verband met Fouten of gebreken die niet zijn toe te rekenen aan Today IT. Als Today IT dergelijke werkzaamheden wel verricht, mag zij Licentienemer daarvoor kosten in rekening brengen. Artikel 7 ACCEPTATIE 5.3 If Licensee grants a third party the right of use without the explicit written consent of Today IT, Licensee will remain liable for the payment of the license and maintenance fees for both Licensee s own use as well as the unauthorized use by that third party. Furthermore Today IT has the right to recover such fees as well as other damages directly from the third party. 5.4 Licensee is authorized to host the Software with a third party under the condition that Licensee will apply these License Terms as well as when applicable the Maintenance Terms to this third (hosting)party. Today IT is not responsible or liable for any noncompliance with the License and Maintenance terms by the third (hosting)party engaged by Licensee. Licensee shall hold Today IT harmless against any claims from the third (hosting)party. Article 6 WARRANTY 6.1 Today IT does not guarantee that the Software provided to Licensee is suitable for the actual and/or intended use by Licensee. Today IT also does not guarantee that the Software will work without Error, interruption or defect, or that all Errors and defects will always be resolved. 6.2 Today IT will use commercially reasonably efforts to repair Errors in the Software within a reasonable period of time when these Errors are reported to Today IT within a period of 3 (three) months from delivery of the Software in writing and in sufficient detail. Corrected and new versions of the Software that are provided to Licensee after the aforementioned period of 3 (three) months, are not covered by the warranty. 6.3 The repair as described in article 6.2 will be performed for free, except in the case of operation errors, improper use by Licensee, adjustments to the Software not performed by or on behalf of Today IT, errors or latencies (such as viruses, Trojan horses, etc.) in software, hardware or peripherals not derived from Today IT or other causes not attributable to Today IT. 6.4 Today IT is not obliged to restore corrupted or lost data or to provide maintenance services in respect of Errors or defects that are not attributable to Today IT. If Today IT nevertheless provides such services, it is entitled to charge the costs of those services to Licensee. Article 7 ACCEPTANCE versie / version

4 7.1 Als tussen Today IT en Licentienemer een acceptatietest is overeengekomen bedraagt de testperiode 14 (veertien) dagen na levering van de Software of, als partijen zijn overeengekomen dat Today IT de Software installeert, 14 (veertien) dagen na installatie. Licentienemer zal de Software gedurende de testperiode niet gebruiken voor productieve of operationele doeleinden. De acceptatietest wordt uitgevoerd door Licentienemer die daarbij gebruik maakt van voldoende gekwalificeerde personen. De testresultaten zullen schriftelijk aan Today IT worden meegedeeld. 7.2 Door middel van de acceptatietest toetst Licentienemer of de geleverde Software voldoet aan de door Today IT schriftelijk kenbaar gemaakte functionele en technische specificaties. De bijstand die Today IT verleent bij het uitvoeren van een acceptatietest komt geheel voor rekening en risico van Licentienemer. 7.3 De Software zal door Licentienemer zijn geaccepteerd: a. als partijen geen acceptatietest zijn overeengekomen: bij levering van de Software. Licentienemer aanvaardt de Software as is, onverminderd de verplichtingen van Today IT op grond van de garantiebepaling (artikel 6); b. als partijen wel een acceptatietest zijn overeengekomen: op de eerste dag na de testperiode, dan wel c. als Today IT vóór het einde van de testperiode een testrapport ontvangt zoals bedoelt in artikel 7.4: op het moment dat de in het testrapport genoemde Fouten zijn hersteld, behoudens de aanwezigheid van onvolkomenheden die volgens artikel 7.5 niet aan acceptatie in de weg staan; d. op het moment dat Licentienemer de Software vóór het moment van acceptatie in gebruik neemt voor productieve of operationele doeleinden. 7.4 Als bij het uitvoeren van de overeengekomen acceptatietest blijkt dat de Software Fouten bevat, zal Licentienemer Today IT hierover uiterlijk op de laatste dag van de testperiode informeren via een schriftelijk, gedetailleerd testrapport. Today IT zal zich naar beste vermogen inspannen deze Fouten binnen een redelijke termijn te herstellen. Today IT heeft daarbij het recht om tijdelijke oplossingen of work-arounds aan te brengen. 7.5 Acceptatie van de Software mag niet worden onthouden: a. op gronden die geen verband houden met de tussen partijen uitdrukkelijk overeengekomen specificaties; 7.1 If an acceptance test has been agreed between Today IT and Licensee, the test period shall be 14 (fourteen) days after delivery of the Software or, if the parties agreed that Today IT installs the Software, 14 (fourteen) days after the installation is completed. Licensee shall not use the Software during the test period for productive or operational purposes. The acceptance test will be performed by Licensee who will engage suitably qualified people. The test results will be provided to Today IT in writing. 7.2 Through the acceptance test Licensee assesses if the Software supplied meets the functional and technical specifications stated by Today IT in writing. The assistance of Today IT at the performance of the acceptance test is entirely at the risk and expense of Licensee. 7.3 The Software will be accepted by Licensee: a. if no acceptance test has been agreed between the parties: at the time of delivery of the Software. Licensee accepts the Software as is, notwithstanding the obligations Today IT has under the warranty clause (article 6). b. if an acceptance test has been agreed between the parties: on the first day after the test period, or c. if Today IT receives a test report as referred to in article 7.4 before the end of the test period: at the time that the Errors mentioned in test report have been fixed, notwithstanding the existence of imperfections which do not preclude acceptance under article 7.5; d. at the time Licensee starts making any use of the Software for productive or operational purposes before acceptance. 7.4 If it turns out during the agreed acceptance test that the Software contains Errors, Licensee will inform Today IT about this in a written and detailed report, no later than on the last day of the test period. Today IT will try to resolve the Errors with commercial reasonably efforts within a reasonable time. Today IT is entitled to provide temporary solutions or work-arounds. 7.5 Acceptance of the Software may not be withheld: a. on other grounds besides those relating to the expressly agreed specifications between the parties; versie / version

5 b. wegens het bestaand van kleine onvolkomenheden, zijn fouten die aan de operationele of productieve ingebruikneming van de Software redelijkerwijs niet in de weg staan; c. wegens aspecten van de Software die slechts subjectief beoordeeld kunnen worden, zoals esthetische aspecten en aspecten van vormgeving van gebruikersinterfaces. 7.6 Als de Software in onderdelen en/of fasen wordt geleverd en getest, laat de niet-acceptatie van een bepaald onderdeel en/of fase een eventuele acceptatie van een eerder onderdeel en/of fase onverlet. 7.7 Acceptatie van de Software heeft tot gevolg dat Today IT gekweten is van zijn verplichtingen tot terbeschikkingstelling en levering van de Software. Acceptatie van de Software doet niets af aan de rechten van Licentienemer op grond van artikel 6 (garantie). b. because of the existence of minor errors, that is, errors which do not reasonably preclude putting the Software to operational or productive use; c. with regard to aspects of the Software which can only be evaluated subjectively, such as esthetical aspects and the design of user interfaces. 7.6 If the Software is delivered and tested in parts and/or stages, the non-acceptance of a particular part and/or stage shall not affect any acceptance of another part and/or an earlier stage. 7.7 Acceptance of the Software shall have the effect that Today IT is fully discharged for performing its obligations concerning providing and delivering of the Software. Acceptance of the Software shall not in any way impair Licensee s rights under article 6 (warranty). HOOFDSTUK II: ONDERHOUDSVOORWAARDEN CHAPTER II: MAINTENANCE TERMS Artikel 1 - DEFINITIES De woorden die in deze Onderhoudsvoorwaarden met een hoofdletter zijn geschreven, hebben de betekenis zoals aangegeven in artikel 1 van de Algemene Bepalingen (hoofdstuk IV). Artikel 2 ONDERHOUDSOVEREENKOMST 2.1 Today IT en Licentienemer gaan een Onderhoudsovereenkomst met betrekking tot de Software aan door schriftelijke of elektronische acceptatie door Licentienemer van het voorstel daartoe van Today IT. Deze Onderhoudsvoorwaarden en de Algemene Bepalingen (hoofdstuk IV) maken integraal onderdeel uit van de Onderhoudsovereenkomst. 2.2 De Onderhoudsovereenkomst is van toepassing op alle Software waarvoor Today IT en Licentienemer een Licentieovereenkomst zijn aangegaan, tenzij partijen schriftelijk anders zijn overeengekomen. Op maatwerksoftware kunnen andere voorwaarden van toepassing zijn. Today IT zal Licentienemer daarover, indien van toepassing, informeren. 2.3 Licentienemer heeft alleen recht op Onderhoudsdiensten met betrekking tot de Software als hij zowel een Licentieovereenkomst als een Article - DEFINITIONS Capitalized terms in these Maintenance Terms shall have the meanings ascribed to them in Article 1 of the General Terms & Conditions (chapter IV). Article 2 MAINTENANCE AGREEMENT 2.1 Today IT and Licensee enter into a Maintenance Agreement with regard to the Software by written or electronic acceptance by Licensee of the proposal thereto from Today IT. These Maintenance Terms and the General Terms & Conditions (chapter IV) form an integral part of the Maintenance Agreement. 2.2 The Maintenance Agreement covers all Software for which Today IT and Licensee entered into a License Agreement, unless the parties have made different agreements in writing. Other terms and conditions may apply to customized software. If applicable, Today IT will inform Licensee about such other terms and conditions. 2.3 Licensee is only entitled to Maintenance Services in respect to the Software when he has concluded both a License and Maintenance Agreement with Today IT in respect to the Software. versie / version

6 Onderhoudsovereenkomst met Today IT heeft gesloten met betrekking tot de Software. Artikel 3 AANVANG, DUUR EN BEËINDIGING 3.1 De Onderhoudsovereenkomst gaat in op de datum en voor de duur zoals overeengekomen in de Onderhoudsovereenkomst. Als geen ingangsdatum is overeengekomen, dan gaat de Onderhoudsovereenkomst in op het moment dat de Licentieovereenkomst voor de Software wordt aangegaan. Als geen duur is overeengekomen, geldt een duur van 1 (één) jaar. Na afloop van de initiële termijn wordt de Onderhoudsovereenkomst stilzwijgend voor de duur van telkens 1 (één) jaar verlengd, tenzij deze door Today IT en/of Licentienemer minimaal 3 (drie) maanden vóór het einde van de dan lopende termijn schriftelijk wordt opgezegd. Tussentijdse beëindiging is mogelijk zoals aangegeven in artikel 11 van de Algemene Bepalingen. 3.2 De looptijd van de Onderhoudsovereenkomst wijzigt niet door het toevoegen van bijbestellingen op de Software onder dezelfde Licentieovereenkomst. De onderhoudsvergoeding van bijbestellingen wordt per de datum van levering naar rato gefactureerd tot de einddatum van de dan lopende onderhoudstermijn en vervolgens jaarlijks met de Software gefactureerd. 3.3 De Onderhoudsovereenkomst eindigt automatisch als de Licentieovereenkomst met betrekking tot de Software eindigt. Als de Onderhoudsovereenkomst eindigt voor het einde van de dan lopende termijn, zal Today IT geen onderhoudsvergoeding terugbetalen. 3.4 Opzegging van een deel van de Onderhoudsovereenkomst is mogelijk als het gaat om één of meerdere gebruikers en/of administraties en Licentienemer schriftelijk duidelijk aangeeft om welke gebruikers en/of administraties het gaat. De opzegtermijn genoemd in artikel 3.1 is van toepassing. Artikel 4 - ONDERHOUDSVERGOEDING 4.1 Voor de Onderhoudsdiensten beschreven in artikel 5 betaalt Licentienemer jaarlijks vooraf een vergoeding aan Today IT. De hoogte van de vergoeding is aangegeven in de Onderhoudsovereenkomst. De onderhoudsvergoeding moet betaald worden, ook als Licentienemer om welke reden dan ook geen gebruik (meer) maakt van de Onderhoudsdiensten. 4.2 Today IT heeft het recht de onderhoudsvergoeding jaarlijks aan te passen op basis van het CBS Consumenten Prijsindexcijfer Article 3 - START, TERM AND TERMINATION 3.1 The Maintenance Agreement is deemed to take effect on the date and for the term agreed upon in the Maintenance Agreement. If no start date is agreed upon, the Maintenance Agreements takes effect on the date the License Agreement with respect to the Software takes effect. If no term is agreed upon, the duration will be 1 (one) year. After expiry of the initial term, the Maintenance Agreement will be tacitly renewed for subsequent periods of 1 (one) year each, unless either Today IT and/or Licensee terminates the agreement in writing no later than 3 (three) months prior to the end of the then current term. Early termination is possible as defined in article 11 of the General Terms & Conditions. 3.2 The term of the Maintenance Agreement will not change as a result of Licensee adding additional orders to the Software under the same License Agreement. The maintenance fee for additional orders will be invoiced pro rata per the delivery date until the end date of the then current maintenance term and thereafter invoiced on a yearly basis with the Software. 3.3 The Maintenance Agreement ceases automatically when the License Agreement in respect to the Software is terminated. When the Maintenance Agreement ceases before the end of the then current term, Today IT will not reimburse any maintenance fees. 3.4 Termination of a part of the Maintenance Agreement is possible with regard to one or more users and/or administrations and Licensee clearly states in writing which users and/or administrations it regards. The notice period defined in article 3.1 applies. Article 4 MAINTENANCE FEE 4.1 Licensee will pay a yearly maintenance fee to Today IT for the Maintenance Services described in article 5. The amount of the maintenance fees is agreed upon in the Maintenance Agreement. The Maintenance Fee is payable even if, for any reason, Licensee does not use the Maintenance Services (any more). 4.2 Today IT is entitled to adjust the maintenance fee on an annual basis based on the CBS (Dutch Central Statistics Bureau) Consumer Price Index figure (series: versie / version

7 (reeks alle huishoudens 2006 = 100). Licentienemer verklaart zich hiermee akkoord. Bij prijsstijgingen boven dit prijsindexcijfer heeft Licentienemer het recht de Onderhoudsovereenkomst op te zeggen tegen het einde van de dan lopende termijn, zonder dat de opzegtermijn zoals aangegeven in artikel 3.1 in acht hoeft worden genomen. Artikel 5 ONDERHOUDS- EN SUPPORTDIENSTEN 5.1 Onderhoudsdiensten omvatten Support zoals beschreven in artikel 5.2 en Onderhoud zoals beschreven in artikel 5.3. Alle Onderhoudsdiensten worden door Today IT uitgevoerd op basis van een inspanningsverbintenis. 5.2 Onder Support wordt verstaan telefonisch, schriftelijke en/of elektronische helpdeskondersteuning met betrekking tot het gebruik en functioneren van de Software. all households 2006=100). All Maintenance Services are carried out to the best of its ability without a result being guaranteed. 5.2 Support means the provision of telephonic, written and/or electronic helpdesk support relating to the use and functioning of the Software. 5.3 Onder Onderhoud valt: 5.3 Maintenance includes: a. correctief onderhoud: het naar beste vermogen van Today IT opsporen en herstellen van alle door Licentienemer aan Today IT gemelde Fouten in de Software (zie ook artikel 5.10); b. preventief onderhoud: het op eigen initiatief van Today IT nemen van geëigende maatregelen (preventief en correctief) om er naar beste vermogen voor te zorgen dat de Software voor de duur van de Onderhoudsovereenkomst zal functioneren; c. vernieuwend onderhoud: het op eigen initiatief van Today IT beschikbaar stellen van nieuwe versies van de Software. 5.4 Voor nieuwe versies kan het nodig zijn dat Licentienemer zijn computersysteem aanpast aan nieuwe Systeemeisen. Als Licentienemer een nieuwe versie van de Software installeert zonder te voldoen aan nieuwe Systeemeisen, is Today IT niet verplicht Onderhoudsdiensten te verrichten. Eventuele herstelwerkzaamheden door Today IT te verrichten, zullen apart aan Licentienemer in rekening worden gebracht. Today IT is niet aansprakelijk voor eventuele schade als gevolg van het gebruik van verkeerde of verouderde Systeemeisen. 5.5 Today IT zal een versie van de Software voor een periode van 1 (één) jaar na het uitkomen van een nieuwe versie blijven onderhouden. a. corrective maintenance: the tracing and repairing, with commercially reasonably efforts, of all Errors in the Software reported by Licensee to Today IT (article 5.10 applies); b. preventive maintenance: on its own initiative, with commercially reasonably efforts, Today IT takes appropriate measures (both preventive and corrective) to ensure that the Software will operate during the term of the Maintenance Agreement; c. innovative maintenance: the provision of new versions of the Software, at the discretion of Today IT. 5.4 It may be required for new versions that Licensee adjusts its computer system to new System Requirements. If Licensee installs a new version of the Software without complying with new System Requirements, Today IT is not obliged to perform Maintenance Services. Any repairs needed and performed by Today IT will be charged to Licensee. Today IT is not liable for any damages as a result of the use of incorrect or outdated System Requirements. 5.5 Today IT will maintain a version of the Software for the period of 1 (one) year after the release of a new version. 5.6 Onderhoudsdiensten worden zoveel 5.6 Maintenance Services will as much as possible, be versie / version

Licentienemer is verantwoordelijk voor het tot stand brengen van een dataverbinding met Today IT in zijn computersysteem. 5.7 Today IT is niet verplicht Onderhoudsdiensten te verrichten als deze noodzakelijk zijn door: a. een aanpassing van de Software, die niet door of namens Today IT is aangebracht; performed online. Licensee is responsible for realizing a data connection with Today IT in its computer system. 5.7 Today IT is not obliged to provide Maintenance Services if these are necessary because of: a. modification to the Software that is not made by or on behalf of Today IT; b. het gebruik van de Software door of namens Licentienemer op een manier of met andere software of hardware die niet in de bijbehorende gebruikersdocumentatie is omschreven of op andere wijze niet is toegestaan op grond van deze Onderhoudsvoorwaarden en/of de Licentievoorwaarden; c. het gebruik van een oude versie van de Software 1 (één) jaar nadat Today IT een nieuwe versie van de Software heeft uitgebracht; d. opzettelijk verkeerd gebruik van de Software door of namens Licentienemer; e. virussen, worms, trojans horses, logic bombs etc.; f. fouten in niet van Today IT afkomstige software, hardware of andere apparatuur van Licentienemer of van derden. 5.8 Als Today IT toch Onderhoudsdiensten verleend voor redenen zoals in artikel 5.7 aangegeven, dan zal Today IT deze werkzaamheden aan Licentienemer in rekening brengen. 5.9 Onderhoudsdiensten worden verricht op Werkdagen tussen en uur. Voor Onderhoudsdiensten op verzoek van Licentienemer buiten deze uren mag Today IT Licentienemer kosten in rekening brengen volgens haar gebruikelijke tarieven inclusief door haar gehanteerde verhogingen voor avonduren en voor zon- en feestdagen Licentienemer zal Fouten in de Software zo snel mogelijk na constatering en zo gedetailleerd mogelijk aan Today IT melden. Na ontvangst van de melding zal Today IT zich volgens haar gebruikelijke procedures naar beste vermogen inspannen om de gemelde Fout(en) te herstellen. Today IT garandeert niet dat alle Fouten of gebreken worden hersteld. Today IT heeft het recht tijdelijke oplossingen of work-arounds aan te brengen. Licentienemer zal alle medewerking aan Today IT verlenen die redelijkerwijs van hem gevraagd kan worden. b. use of the Software by or on behalf of Licensee in a manner or in combination with other software or hardware that is not described in the accompanying user documentation or otherwise is not permitted pursuant to these Maintenance Terms and/or the License Terms; c. use of an old version of the Software 1 (one) year after Today IT has released a new version of the Software; d. intentional incorrect use of the Software by or on behalf of Licensee; e. viruses, worms, Trojan horses, logic bombs etc.; f. errors in software, hardware or other equipment of Licensee or third parties not derived from Today IT. 5.8 If Today IT nevertheless performs Maintenance Services for the reasons set out in article 5.7, Today IT will charge these services to Licensee. 5.9 Maintenance Services will be performed on Work Days between a.m. and p.m. Today IT is entitled to charge Licensee for any Maintenance Services provided per the request of Licensee outside these hours based on its usual rates including its usual increases for evenings, Sundays and public holidays Licensee will report Errors in the Software to Today IT as soon as possible after discovery and as detailed as possible. After receipt of the notice, Today IT will, according to its usual procedures and with commercially reasonably efforts, try to resolve the reported Error(s). Today IT does not warrant that all Errors or defects will be resolved. Today IT is entitled to provide temporary solutions or work-arounds. Licensee will rend every assistance to Today IT that can be reasonably asked from Licensee. Today IT is entitled to set priorities in remedying Errors versie / version

9 Today IT heeft het recht om prioriteiten te stellen bij het herstel van Fouten in de Software op basis van de ernst daarvan. Als partijen een Service Level Agreement ( SLA ) zijn overeengekomen bovenop de Onderhoudsovereenkomst, gelden de in de SLA gedefinieerde typen urgentie en reactietermijnen. Artikel 6 - UITZONDERINGEN De volgende werkzaamheden vallen niet onder Onderhoudsdiensten en kunnen, indien toch door Today IT uitgevoerd, apart door Today IT aan Licentienemer in rekening worden gebracht: a. installatie en inrichting van de Software, training met betrekking tot het gebruik van de Software b. werkzaamheden met betrekking tot systeemconfiguraties, hardware en netwerken; in the Software on the basis of their seriousness. When the parties have entered into a Service Level Agreement ( SLA ) on top of the Maintenance Agreement, the types of urgencies and reaction times as set out in the SLA will apply. Article 6 EXCEPTIONS The following services are not covered by the Maintenance Agreement and may be charged separately by Today IT to Licensee in case these services are nevertheless performed by Today IT: a. installation and implementation of the Software, training with regard to the use of the Software; b. work relating to system configurations, hardware and networks c. dataconversie; c. data conversions; d. ondersteuning op locatie; d. d. on-site support; e. uitbreiden van functionaliteit van de Software of andere aanpassingen aan de Software op verzoek van Licentienemer; f. herstel van Fouten in een oude versie van de Software die niet meer door Today IT wordt onderhouden; g. bestandsreparaties, waarbij de oorzaak niet kan worden toegeschreven aan de Software van Today IT; h. reproductie van verminkte of verloren gegane gegevens; i. onderhoud of support voor andere software van Today IT dan de Software en/of voor software van andere leveranciers en/of producenten dan Today IT; e. extensions to the functionality of the Software or other adjustments to the Software at the request of Licensee; f. repair of Errors in an old version of the Software which is no longer maintained by Today IT; g. file repairs, the cause of which cannot be attributed to the Software of Today IT; h. reproduction of corrupted or lost data; j. maintenance or support for software supplied by Today IT other than the Software and/or for software of producers or suppliers other than Today IT; k. onderhoud of support voor hardware. i. maintenance or support for hardware. versie / version

10 HOOFDSTUK III: CONSULTANCY VOORWAARDEN Artikel 1 - DEFINITIES De woorden die in deze Consultancyvoorwaarden met een hoofdletter zijn geschreven, hebben de betekenis zoals aangegeven in artikel 1 van de Algemene Bepalingen (hoofdstuk IV) tenzij anders overeengekomen. Artikel 2 CONSULTANCYOVEREENKOMST Today IT en Licentienemer gaan een Consultancyovereenkomst aan door schriftelijke dan wel elektronische acceptatie door Licentienemer van het voorstel daartoe van Today IT. Deze Consultancyvoorwaarden en de Algemene Bepalingen (hoofdstuk IV) maken integraal onderdeel uit van de Onderhoudsovereenkomst. Artikel 3 AANVANG, DUUR EN BEËINDIGING 3.1 De Consultancyovereenkomst gaat in op de datum en voor de duur zoals overeengekomen in de Onderhoudsovereenkomst. Als geen ingangsdatum is overeengekomen, gaat de overeenkomst in op het moment dat Today IT begint met de uitvoer van de overeengekomen Consultancydiensten. Als geen duur is overeengekomen, eindigt de Consultancyovereenkomst op de dag waarop Today IT de laatste overeengekomen Consultancydiensten heeft verleend. 3.2 Tussentijdse beëindiging van de Consultancyovereenkomst is mogelijk zoals aangegeven in artikel 11 van de Algemene Bepalingen. Artikel 4 - CONSULTANCYVERGOEDING 4.1 Licentienemer is aan Today IT de consultancyvergoedingen verschuldigd zoals opgenomen in de Consultancyovereenkomst. Als geen vergoeding is afgesproken, gelden de gebruikelijke tarieven van Today IT. Alle prijzen en tarieven zijn exclusief reis-, verblijf- en hotelkosten, tenzij schriftelijk duidelijk anders is afgesproken. 4.2 Today IT factureert Consultancydiensten op basis van bestede tijd per geheel uur. Voor Consultancydiensten verricht op Werkdagen na uur wordt het overeengekomen uurtarief verhoogd tot 150% van het normale tarief. Voor Consultancydiensten verricht op niet- Werkdagen wordt het overeengekomen uurtarief verhoogd tot 200% van het normale tarief. Article 1 DEFINITIONS CHAPTER III: CONSULTANCY TERMS Capitalized terms in these Consultancy Terms shall have the meanings ascribed to them in Article 1 of the General Terms & Conditions (chapter IV). Article 2 CONSULTANCY AGREEMENT Today IT and Licensee enter into a Consultancy Agreement by written or electronic acceptance by Licensee of the proposal thereto from Today IT. These Consultancy Terms and the General Terms & Conditions (chapter IV) form an integral part of the Consultancy Agreement. Article 3 START, TERM AND TERMINATION 3.1 The Consultancy Agreement is deemed to take effect on the date and for the term agreed upon in the Consultancy Agreement. If no start date is agreed upon, the Consultancy Agreements takes effect on the date Today IT starts with the performance of the agreed Consultancy Services. If no term is agreed upon, the Consultancy Agreement will end on the day Today IT has performed the last of the agreed Consultancy Services. 3.2 Early termination of the Consultancy Agreement is possible as described in article 11 of the General Terms & Conditions. Article 4 CONSULTANCY FEE 4.1 Licensee will pay Today IT the consultancy fees as described in the Consultancy Agreement. If no fee is agreed upon, the normal rates of Today IT will apply. All prices and rates are exclusive of travel, subsistence and hotel costs, unless the parties have made different agreements in writing. 4.2 Today IT invoices Consultancy Services on a timespent basis per full hour. For Consultancy Services provided on Work Days after pm the hourly rate is increased to 150% of the normal rate. For Consultancy Services provided on non- Work Days the hourly rate is increased to 200% of the normal rate. versie / version

11 Artikel 5 - CONSULTANCYDIENSTEN 5.1 Consultancydiensten kunnen omvatten het installeren en inrichten van Software, trainingen met betrekking tot het gebruik en functioneren van de Software, projectmanagement en andere tussen partijen overeen te komen werkzaamheden. De Consultancydiensten die Today IT zal verrichten voor Licentienemer worden vastgelegd in de Consultancyovereenkomst. 5.2 Today IT zal de Consultancydiensten naar beste kunnen verrichten en zich naar beste vermogen inspannen de Consultancydiensten met zorg uit te voeren, in overeenstemming met de schriftelijk vastgelegde afspraken en procedures. 5.3 Als is overeengekomen dat de Consultancydiensten in fasen zal plaatsvinden, heeft Today IT het recht te wachten met het verrichten van Consultancydiensten in een volgende fase totdat Licentienemer de resultaten van de voorafgaande fase schriftelijk heeft goedgekeurd. 5.4 Consultancydiensten worden op Werkdagen verricht tussen uur en uur, tenzij schriftelijk uitdrukkelijk anders is afgesproken. Bij uitvoering van Consultancydiensten die een hele dag duren, neemt de consultant 30 (dertig) minuten lunchpauze. 5.5 Licentienemer kan overeengekomen Consultancydiensten tot maximaal 5 (vijf) Werkdagen voor de geplande (aanvangs)datum kosteloos annuleren of om een nieuwe, latere (aanvangs)datum vragen. Als annulering of verzoek tot verplaatsing naar een andere datum binnen 5 (vijf) Werkdagen voor de geplande (aanvangs)datum door Today IT wordt ontvangen, dan heeft Today IT het recht om de geannuleerde/te verplaatsen Consultancydiensten bij Licentienemer in rekening te brengen. Eventuele kosten door Today IT gemaakt als gevolg van te late annulering/verplaatsing mag Today IT op Licentienemer verhalen. Artikel 6 LOSSE CONSULTANCYOPRACHT Voor Consultancydiensten die (nog) niet zijn vastgelegd in een Consultancyovereenkomst kan Licentienemer een verzoek bij Today IT indienen. Een dergelijk verzoek moet minimaal 1 (één) Werkdag voor de gewenste uitvoeringsdag door Today IT ontvangen zijn. Today IT zal de Consultancydiensten aan Licentienemer bevestigen door het op stellen van een Consultancyovereenkomst, maar kan de door Licentienemer gewenste uitvoeringsdag(en) niet garanderen. Article 5 CONSULTANCY SERVICES 5.1 Consultancy Services may include installation and implementation of Software, training regarding the use and operation of the Software, project management and other activities agreed between the parties. The Consultancy Services to be provided by Today IT for Licensee will be defined in the Consultancy Agreement. 5.1 Today IT will carry out the Consultancy Services to the best of its ability and make every effort to carry out the Consultancy Services with care, in accordance with the agreements and procedures laid down in writing. 5.3 If it is agreed that the Consultancy Services will be performed in stages, Today IT is entitled to postpone the provision of Consultancy Services in a next stage until Licensee has approved the results of the previous stage in writing. 5.4 Consultancy Services will be carried out on Work Days between a.m. and p.m., unless the parties have made different agreements in writing. In the execution of Consultancy Services that last an entire day, the consultant will take a 30 (thirty) minute lunch break. 5.5 Licensee may cancel agreed Consultancy Services up to maximum 5 (five) Work Days before the agreed (start)date or ask for a new, later (start)date free of charge. If the cancellation or request to move to another date is received by Today IT within 5 (five) Work Days before the planned (start) date, Today IT is entitled to invoice Licensee the cancelled Consultancy Services. Any costs made by Today IT as a result of late cancellation or a late request to move the Consultancy Services may be charged by Today IT to Licensee. Article 6 INDIVIDUAL CONSULTANCY ASSIGNMENT For Consultancy Services not (yet) agreed upon in a Consultancy Agreement, Licensee shall submit a request to Today IT. Such request must be received by Today IT at least 1 (one) Work Day before the desired execution day. Today IT will confirm the Consultancy Services to Licensee by drafting a Consultancy Agreement, but can t guarantee the desired execution day(s). Today IT will only perform Consultancy Services when versie / version

12 Consultancydiensten zullen door Today IT alleen uitgevoerd worden wanneer Licentienemer de door Today IT opgestelde Consultancyovereenkomst heeft ondertekend en deze door Today IT is ontvangen. Artikel 7 - MEERWERK 7.1 Today IT is niet verplicht aanwijzingen van of namens Licentienemer op te volgen die leiden tot wijziging van de overeengekomen Consultancydiensten. Als dergelijke aanwijzigen wel worden opgevolgd zullen de betreffende werkzaamheden aan Licentienemer in rekening worden gebracht als meerwerk. 7.2 Consultancydiensten die niet in de Consultancyovereenkomst zijn opgenomen maar die wel door Today IT op verzoek van Licentienemer worden verricht, worden aan Licentienemer in rekening gebracht op basis van het uurtarief dat tussen Today IT en Licentienemer is overeengekomen. Ook extra uren bovenop het in de Consultancyovereenkomst geschatte aantal uren voor Consultancydiensten worden als meerwerk aan Licentienemer in rekening gebracht. Als geen uurtarief is overeengekomen, dan gelden de gebruikelijke tarieven van Today IT. Licensee has signed the Consultancy Agreement drafted by Today IT and this Agreement is received by Today IT. Article 7 ADDITIONAL WORK 7.1 Today IT is obliged to follow up instructions from or on behalf of Licensee which will lead to a change in the agreed Consultancy Services. If such instructions are followed up the related services will be invoiced to Licensee as additional work. 7.2 Consultancy Services that are not defined in the Consultancy Agreement but which are performed by Today IT per request of Licensee, will be charged to Licensee based on the hourly rate as agreed between Today IT and Licensee. Also hours in addition to the estimated number of hours in the Consultancy Agreement will be charged to Licensee as additional work. If no hourly rate is agreed upon, the normal rates of Today IT apply. HOOFDSTUK IV: ALGEMENE BEPALINGEN Artikel 1 - DEFINITIES De volgende begrippen hebben in de Voorwaarden (inclusief deze Algemene Bepalingen) en in de Overeenkomsten de volgende betekenis: a. "Fout": een substantiële tekortkomingen in de Software die in belangrijke mate aan het functioneren van de Software, zoals omschreven in de bijbehorende gebruikersdocumentatie, in de weg staat. Het ontbreken van functionaliteit in een nieuwe versie van de Software die wel aanwezig was in een eerdere versie is geen Fout; b. "Licentienemer": de natuurlijke persoon of rechtspersoon die een Licentieovereenkomst en eventueel andere Overeenkomst(en) met Today IT sluit of heeft gesloten; c. "Licentieovereenkomst": de overeenkomst tussen Today IT en Licentienemer waarin de rechten en plichten met betrekking tot het gebruik van de Software zijn vastgelegd; CHAPTER IV: GENERAL TERMS & CONDITIONS Article 1 DEFINITIONS The following words have the following meaning in the Terms (including these General Terms & Conditions) and in the Agreements: a. Error: a substantial failure in the Software that prevent the Software from functioning substantially in accordance with the accompanying user documentation. The lack of certain functionality in a new version of the Software that was present in an earlier version is not considered to be a Defect; b. Licensee : the natural person or legal entity who entered into a License Agreement and possibly other Agreement(s) with Today IT; c. License Agreement : the agreement between Today IT and Licensee that contains the rights and obligations relating to the use of the Software; versie / version

13 d. "Onderhoudsovereenkomst": de overeenkomst tussen Today IT en Licentienemer waarin de rechten en plichten met betrekking tot het onderhoud op de Software zijn vastgelegd; e. "Overeenkomst": de Licentieovereenkomst en/of de Onderhoudsovereenkomst en/of de Consultancyovereenkomst en/of enige andere tussen Today IT en Licentienemer te sluiten of gesloten overeenkomst; f. "Software": de standaard uitvoerbare software van Today IT die op grond van de Licentieovereenkomst aan Licentienemer is geleverd of ter beschikking is gesteld, inclusief alle door Today IT aan Licentienemer verstrekte gecorrigeerde en nieuwe versies. Onder Software valt niet meegeleverde software van derden; g. Systeemeisen : de minimale eisen die gesteld worden aan de hardware en software van Licentienemer voor het deugdelijk gebruik kunnen maken van de Software. h. "Today IT": Today IT B.V., ingeschreven bij de Kamer van Koophandel onder nummer en gevestigd aan de Computerlaan 12 in Delft, Nederland; i. Voorwaarden : de Licentievoorwaarden, Onderhoudsvoorwaarden, Consultancyvoorwaarden en Algemene Bepalingen van Today IT; j. "Werkdagen": maandag tot en met vrijdag, met uitzondering van officiële vrije dagen in Nederland. Artikel 2 - TOEPASSELIJKHEID 2.1 Deze Algemene Bepalingen zijn van toepassing op alle aanbiedingen en overeenkomsten waarbij Today IT software en/of diensten van welke aard en onder welke benaming ook aan Licentienemer aanbiedt en/of levert. 2.2 De toepasselijkheid van inkoop- of andere voorwaarden van Licentienemer wordt uitdrukkelijk van de hand gewezen. 2.3 Today IT heeft het recht de Voorwaarden eenzijdig te wijzigen. Wijzigingen worden zoveel mogelijk 2 (twee) maanden voor de inwerkingtreding ervan aan Licentienemer meegedeeld. Licentienemer mag een Overeenkomst beëindigen binnen 2 (twee) weken nadat de wijzigingen in de Voorwaarden door Today IT zijn meegedeeld als de wijzigingen materieel en/of onredelijk bezwarend zijn voor Licentienemer. De Overeenkomst eindigt dan op het moment d. Maintenance Agreement : the agreement between Today IT and Licensee that contains the rights and obligations relating to the maintenance of the Software; e. Agreement : the License Agreement and/or the Maintenance Agreement and/or Consultancy Agreement and/or any other agreement entered into or to be entered into between Today IT and Licensee; f. Software : the standard executable software of Today IT that is supplied to Licensee or made available to Licensee pursuant to the License Agreement including any corrected or new versions issued by Today IT to Licensee. Software does not refer to third-party software that is also supplied; g. System Requirements : the minimum requirements set for Licensee s hardware and software for a proper use of the Software; h. Today IT : Today IT B.V., registered at the Chamber of Commerce under number and having its office at Computerlaan 12 in Delft, the Netherlands; i. Terms : the License Terms, Maintenance Terms, Consultancy Terms and General Terms & Conditions of Today IT; j. Work Days : Monday to Friday, with the exception of official public holidays in the Netherlands. Article 2 APPLICABILITY 2.1 These General Terms & Conditions apply to all offers and to all agreements pursuant to which Today IT offers and/or supplies software and/or services of any nature or name to Licensee. 2.2 The application of any purchase conditions or other terms and conditions of Licensee is explicitly rejected. 2.3 Today IT is entitled to unilaterally change the Terms. Where possible Licensee will be notified of such changes 2 (two) months before the changes come into effect. Licensee is entitled to terminate an Agreement within 2 (two) weeks after Today IT has announced the changes to the Terms if the changes are material and/or unreasonable onerous for Licensee. The Agreement will terminate at the date the changes come into effect. Such termination will not result in a reimbursement of license, maintenance and/or any other versie / version

Deze beëindiging heeft geen teruggave aan Licentienemer van licentie-, onderhoud- en/of enige andere vergoeding tot gevolg. 2.4 Een Overeenkomst geeft volledig weer wat tussen partijen is overeengekomen en vervangt alle eerdere en gelijktijdige, expliciete of impliciete afspraken, overeenkomsten, verklaringen en garanties, zowel schriftelijke als mondelinge. Met uitzondering van het bepaalde in artikel 4.2 van de Onderhoudsovereenkomst en artikel 2.3 van de Algemene Bepalingen zijn wijzigingen van en aanvullingen op een Overeenkomst en/of de Voorwaarden alleen geldig als deze schriftelijk door partijen zijn bevestigd. 2.5 Als een bepaling uit de Voorwaarden en/of een Overeenkomst nietig is of vernietigd wordt, zullen de overige bepalingen van de Voorwaarden en/of Overeenkomst ongewijzigd van kracht blijven. Today IT en Licentienemer zullen dan in overleg treden om een nieuwe bepaling ter vervanging van de nietige of vernietigbare bepaling af te spreken, waarbij zoveel mogelijk het doel en de strekking van de nietige c.q. vernietigbare bepaling in acht wordt genomen. 2.6 Vertraging of verzuim van de zijde van Today IT met betrekking tot het tegenover Licentienemer geldend maken van enig recht dat Today IT op grond van een Overeenkomst heeft, houdt nooit afstand van recht in. Als een partij afstand doet van een recht dat hij op grond van een Overeenkomst heeft, houdt dit niet in dat deze partij ook in een volgend geval afstand van dit recht of van andere rechten doet of moet doen. Artikel 3 AANBIEDINGEN 3.1 Alle aanbiedingen en andere uitingen van Today IT zijn vrijblijvend en herroepelijk, tenzij door Today IT anders is aangegeven. 3.2 Licentienemer staat in voor de juistheid en volledigheid van door of namens hem gegeven informatie waarop Today IT zijn aanbieding baseert. Artikel 4 PRIJS EN BETALING fee to Licensee. 2.4 The Agreement fully reflects everything that has been agreed between the parties and replaces all earlier and concurrent, explicit or implied agreements, contracts, declarations and guarantees, both written and verbal. With the exception of the provisions in article 4.2 of the Maintenance Agreement and article 2.3 of the General Terms & Conditions, changes to and additions to an Agreement and/or the Terms are only valid if agreed by both parties in writing. 2.5 If any provision in the Terms and/or an Agreement is void or voidable, the other provisions of the Terms and/or Agreement remain in full force and effect. Today IT and Licensee will then consult with each other in order to replace the void or voidable provision by a new provision, while the purpose and intent of the void or voidable provision will be observed to the extent possible. 2.6 Delays or omission on the part of Today IT in respect of enforcing any rights Today IT has against Licensee pursuant to the Agreement never constitutes a waiver of Today IT s right. If a party waives any right it has pursuant to the Agreement this does not mean that the party in question will or can be obliged to waive this right or any other rights in a subsequent matter. Article 3 OFFERS 3.1 All offers and other statements of Today IT are not binding and revocable, unless otherwise indicated by Today IT. 3.2 Licensee warrants the accuracy and completeness of information provided by or on behalf of Licensee based on which Today IT will base its offer. Article 4 PRICE AND PAYMENT 4.1 Alle prijzen zijn exclusief omzetbelasting (BTW) en andere heffingen die van overheidswege zijn of worden opgelegd. Tenzij anders is afgesproken, zijn alle prijzen in euro s en zal Licentienemer alle betalingen in euro s voldoen. 4.2 Alle door Today IT gegeven begrotingen en prijsindicaties zijn indicaties tenzij schriftelijk uitdrukkelijk anders is afgesproken. 4.1 All prices are exclusive of VAT and of any other government levies. Unless otherwise agreed, all prices are in Euros and Licensee will make all payments in Euros. 4.2 All budgets and price indications given by Today IT are indications, unless the parties have made different agreements in writing. versie / version

15 Aan door Today IT gegeven begrotingen en prijsindicaties kunnen door Licentienemer geen rechten of verwachtingen worden ontleend. Een door Licentienemer aan Today IT aangegeven beschikbaar budget geldt nooit als een tussen partijen overeengekomen vaste prijs voor door Today IT te leveren of Software of te verrichten prestaties. Alleen als dit schriftelijk tussen partijen is afgesproken zal Today IT Licentienemer informeren bij dreigende overschrijding van een door Today IT afgegeven begroting of prijsindicatie. 4.3 Als sprake is van periodieke betalingsverplichtingen van Licentienemer, heeft Today IT het recht om geldende prijzen aan te passen conform het CBS Consumenten Prijsindexcijfer (reeks alle huishoudens 2006= 100). De nieuwe prijzen gaan gelden 3 (drie) maanden na aankondiging van de nieuwe prijzen. Licentienemer verklaart zich akkoord met dergelijke prijswijzigingen. Bij prijsstijgingen boven dit prijsindexcijfer heeft Licentienemer het recht de betreffende Overeenkomst schriftelijk op te zeggen tegen de ingangsdatum van de nieuwe prijzen. Licensee may not derive any rights or expectations from the budgets and price indications of Today IT. When Licensee informs Today IT about an available budget, this budget will never be a fixed price agreed by the parties for Software and/or services to be provided by Today IT. Only when this has been agreed between the parties in writing, Today IT will inform Licensee of any risk that the budget or price indication given by Today IT may be exceeded. 4.3 In case of periodic payment by Licensee, Today IT has the right to adjust the prices in force based on the CBS (Dutch Central Statistics Bureau) Consumer Price Index figure (series: all households 2006=100). The new prices will apply 3 (three) months after the announcement of the new prices. Licensee agrees to such price increases. In the event of any price increases that exceed the aforementioned Price Index figure Licensee is entitled to terminate the concerning Agreement in writing against the effective date of the new prices. 4.4 Verschuldigde bedragen worden door Licentienemer betaald volgens de in de Overeenkomst overeengekomen dan wel op de factuur vermelde betalingstermijn. Als geen betalingstermijn is opgenomen, geldt een betalingstermijn van 30 (dertig) dagen na de factuurdatum. Licentienemer mag betalingen niet opschorten of verrekenen met door Today IT eventueel verschuldigde bedragen. 4.5 Als Licentienemer de verschuldigde bedragen niet, niet geheel of niet op tijd betaalt, is Licentienemer zonder verdere aankondiging of ingebrekestelling in verzuim en over het openstaande bedrag aan Today IT een rente van 1,5% per maand of gedeelte van een maand verschuldigd. 4.6 Alle kosten die Today IT maakt, zowel in als buiten rechte, als gevolg van het niet nakomen van Licentienemer van zijn betalingsverplichting ten opzichte van Today IT, komen voor rekening van licentienemer. 4.7 Today IT kan zijn verplichtingen tegenover Licentienemer opschorten totdat alle door Licentienemer aan Today IT verschuldigde vergoedingen geheel zijn voldaan. Artikel 5 GEHEIMHOUDING 5.1 Zowel Today IT als Licentienemer zorgen er voor dat alle van de andere partij ontvangen informatie waarvan men weet of redelijkerwijs behoort te weten dat deze vertrouwelijk is, geheim blijft. Informatie is in ieder geval vertrouwelijk als die door één van de partijen 4.4 Licensee must make payments in accordance with the payment terms agreed upon in the Agreement or else the payment terms stated on the invoice. If no such terms are mentioned payment must be made within 30 (thirty) days after the invoice date. Licensee may not suspend payments or deduct any sums owed by Today IT. 4.5 If Licensee wholly or in part fails to meet its payment obligations or fails to meet its payment obligations on time, Licensee is in default without any further announcement or notice of default being required. Furthermore Licensee owes Today IT in such case an interest of 1.5% per month or part thereof on the outstanding amount. 4.6 All costs incurred by Today IT, both judicial and extrajudicial, as a result of Licensee not meeting its payment obligations towards Today IT, will be at the expense of Licensee. 4.7 Today IT is entitled to suspend any obligation towards Licensee until such time as Licensee has paid all outstanding amounts in full. Article 5 CONFIDENTIALITY 5.1 Both Today IT and Licensee will assure that all information received from the other party of which is known or reasonably should be known that such information is confidential, is kept secret. Information is at least confidential when indicated as such by one of the parties. versie / version

16 als zodanig is aangeduid. 5.2 Vertrouwelijke informatie mag alleen gebruikt worden voor het doel waarvoor deze is ontvangen, tenzij gebruik buiten dat doel noodzakelijk is voor het kunnen uitvoeren van een Overeenkomst. Artikel 6 EIGENDOMSVOORBEHOUD 6.1 Alle door Today IT aan Licentienemer geleverde zaken waaronder cd-roms, Dvd s en gebruikersdocumentatie, worden aan Licentienemer in bruikleen gegeven voor de duur van de Licentieovereenkomst. Deze zaken blijven altijd volledig eigendom van Today IT. Licentienemer mag de door Today IT in bruikleen verstrekte zaken niet bezwaren, vervreemden, verhuren of op een andere manier aan derden ter beschikking stellen. Na beëindiging van de Licentieovereenkomst zal Licentienemer de aan hem geleverde zaken binnen 2 (twee) weken aan Today IT retourneren. 6.2 Als beslag wordt gelegd op door Today IT aan Licentienemer geleverde zaken of vermogensrechten, zal Licentienemer Today IT hierover onmiddellijk informeren. In geval van een dergelijke beslaglegging of als Licentienemer surseance van betaling wordt verleend of Licentienemer failliet wordt verklaard, zal Licentienemer de beslagleggende deurwaarder, bewindvoerder of curator onmiddellijk informeren over het eigendomsrecht van Today IT op de zaken en/of vermogensrechten. Artikel 7 INTELLECTUELE EIGENDOMSRECHTEN 7.1 Alle rechten van intellectuele eigendom op de op grond van een Overeenkomst ontwikkelde en/of aan Licentienemer ter beschikking gestelde Software, andere programmatuur, databestanden, gebruikersdocumentatie, tools, rapporten en ander materiaal behoren toe aan Today IT, diens licentiegevers of diens toeleveranciers. Licentienemer krijgt alleen de niet-exclusieve, niet-overdraagbare en niet in sublicentie te geven gebruiksrechten. 7.2 Licentienemer mag aanduidingen van de intellectuele eigendomsrechten, merken of handelsnamen van Today IT niet verwijderen, wijzigen, onzichtbaar of onherkenbaar maken. 7.3 Today IT heeft het recht technische voorzieningen aan te brengen ter bescherming van de Software, databestanden en dergelijke in verband met een overeengekomen beperking in de inhoud of de duur van het recht tot gebruik van deze objecten. Licentienemer mag dergelijke technische voorzieningen niet (laten) verwijderen of (laten) omzeilen. 5.2 Confidential information may only be used for the purpose for which it has been obtained, unless use outside that end is necessary to perform an Agreement. Article 6 RETENTION OF TITLE 6.1 All items Today IT supplies to Licensee, such as disks, CD-ROMs, DVDs and user documentation, are on loan to Licensee for the term of the License Agreement. These items remain the full property of Today IT at all times. Licensee is prohibited from encumbering, disposing of or renting out the items loaned to him, or making these items available to third parties in any other manner. Upon the expiry of the License Agreement Licensee is obliged to return the items loaned to him to Today IT within 2 (two) weeks. 6.2 When any items or property rights Today IT has provided to Licensee are seized, Licensee must notify Today immediately. In the event of such a seizure, or if Licensee is granted a suspension of payments or if Licensee is declared bankrupt, Licensee must notify the process server charged with seizing the items, the trustee, the administrator or the receiver immediately of the fact that Today IT is the owner of the items and/or property rights. Article 7 INTELLECTUAL PROPERTY RIGHTS 7.1 All intellectual property rights in respect of Software developed for and/or licensed to Licensee, other software, data files, user documentation, tools, reports and other material are the exclusive property of Today IT or its licensors or its suppliers. Licensee only receives the non-exclusive, nontransferrable and non-sublicensable right of use. 7.2 Licensee is prohibited from removing, changing or making unrecognizable any notice in respect of the intellectual property rights, trademarks or trade names of Today IT. 7.3 Today IT is entitled to make technical provisions for the purpose of protecting the Software, data files etc. with a view to enforcing the agreed restrictions in the content and term of use of these objects. The Licensee is prohibited from removing or circumventing such technical provisions. versie / version

17 7.4 Today IT vrijwaart Licentienemer tegen iedere rechtsvordering van een derde die gebaseerd is op de bewering dat door Today IT zelf ontwikkelde software, databestanden en andere materialen inbreuk maken op een recht van intellectuele eigendom van die derde, onder de voorwaarde dat Licentienemer Today IT onmiddellijk schriftelijk informeert over het bestaan en de inhoud van de rechtsvordering, en de afhandeling van de zaak, waaronder het treffen van eventuele schikking, overlaat aan Today IT. De verplichting tot vrijwaren vervalt als de verweten inbreuk verband houdt (a) met materialen die door Licentienemer voor gebruik, bewerking of verwerking aan Today IT ter beschikking zijn gesteld dan wel (b) met wijzigingen die door of namens Licentienemer in de Software, databestanden of andere materialen zijn aangebracht of door een derde zijn laten aanbrengen. 7.5 Als een gerechtelijk verbod op het gebruik van de Software, databestanden en/of materialen is opgelegd vanwege een inbreukmakende handeling als hiervoor bedoeld of als naar het oordeel van Today IT de kans bestaat dat de Software, de databestanden en/of de materialen het onderwerp zullen zijn van een succesvolle vordering wegens inbreuk, dan heeft Today IT het recht om naar eigen keuze en voor eigen rekening (a) voor Licentienemer het recht te verkrijgen de Software, databestanden en/of materialen te blijven gebruiken zoals bepaald in de Overeenkomst(en); (b) de Software databestanden en/of materialen te vervangen of zodanig aan te passen, dat deze niet langer inbreuk maken, onder de voorwaarde dat de functionaliteit daarvan zoveel mogelijk ongewijzigd blijft; of (c) de Overeenkomst(en) met betrekking tot die inbreukmakende Software, databestanden en/of materialen te beëindigen. Artikel 8 MEDEWERKING LICENTIENEMER Licentienemer zal Today IT op tijd alle noodzakelijke en nuttige informatie verstrekken die nodig is voor het kunnen uitvoeren door Today IT van de Overeenkomst(en). Licentienemer staat ook in voor de juistheid van de door haar verstrekte informatie. Artikel 9 KLACHTEN Als Licentienemer een klacht heeft over een onjuiste levering van een zaak of een onjuiste of gebrekkige dienst, dan zal Licentienemer Today IT daarover binnen 2 (twee) weken na de levering schriftelijk informeren. Een ingediende klacht schort de betalingsverplichting van Licentienemer ten opzichte van Today IT niet op. 7.4 Today IT indemnifies Licensee against any thirdparty legal claim based on the assertion that software, data files and other materials developed by Today IT infringe an intellectual property right of a third party, provided that Licensee informs Today IT immediately in writing about the existence and content of the legal claim, and leaves the handling of the case, including taking any settlement, up to Today IT. The obligation to indemnify expires if the alleged infringement relates to (a) materials which have been made available by Licensee to Today for use, adaption or processing or (b) changes made by or on behalf of Licensee in the Software, data files or other materials. 7.5 If an injunction is imposed prohibiting the use of the Software, data files and/or materials because of an infringement within the meaning of the previous paragraph or if, in the opinion of Today IT, there is a chance that the Software, data files and/or materials will become the subject of a successful claim for infringement, Today IT is entitled, at its own discretion and own expense, to (a) obtain the right for Licensee to continue to use the Software, data files and/or materials as per the Agreement(s); (b) replace the Software, data files and/or materials or adjust them in such a way that they no longer constitute an infringement, provided the functionality remains materially unchanged; or (c) terminate the Agreement(s) with regard to the infringing Software, data files and/or materials. Article 8 COOPERATON OF LICENSEE Licensee shall provide Today IT on time with all information that is necessary and useful to Today IT to perform the Agreement(s). Licensee also warrants the accuracy of the information provided. Article 9 COMPLAINTS In case Licensee has a complaint in respect of an incorrect delivery or in respect of an incorrect or deficient service, Licensee will inform Today IT within 2 (two) weeks after the delivery or provision of the service in writing. Such notification does not suspend the payment obligation of Licensee towards Today IT. versie / version

18 Artikel 10 TERMIJNEN Alle leverings- en oplevertermijnen met betrekking tot Software, Onderhoudsdiensten, Consultancydiensten en andere diensten zijn streefdata en worden door Today IT naar beste weten vastgesteld op basis van de informatie die op dat moment bij Today IT bekend was. Overtreding van afgesproken termijnen levert geen verzuim of verplichting tot schadevergoeding op. Article 10 PERIODS All (delivery) terms and deadlines related to Software, Maintenance Services, Consultancy Services and other services are target dates, determined by Today IT in good faith based on the information then known to Today IT. Violation of deadlines does not mean that Today IT is in default and does not lead to liability for damages. Artikel 11 ONTBINDING EN OPZEGGING 11.1 Today IT en Licentienemer hebben allebei het recht een Overeenkomst te ontbinden wegens een toerekenbare tekortkoming in de nakoming van een Overeenkomst als de andere partij na een schriftelijke ingebrekestelling waarbij een redelijke termijn voor zuivering van de tekortkoming wordt gesteld, alsnog nalaat wezenlijke verplichtingen uit de Overeenkomst na te komen. Betalingsverplichtingen van Licentienemer en alle andere verplichtingen tot medewerking door Licentienemer of een door Licentienemer ingeschakelde derde gelden als wezenlijke verplichting uit de Overeenkomst Today IT en Licentienemer hebben allebei het recht een Overeenkomst zonder ingebrekestelling met onmiddellijke ingang geheel of gedeeltelijk op te zeggen als: - de wederpartij surseance van betaling wordt verleend; - ten aanzien van de wederpartij faillissement wordt aangevraagd; - de onderneming van de wederpartij wordt geliquideerd of beëindigd anders dan in het kader van reorganisatie of samenvoeging van ondernemingen; - de beslissende zeggenschap over de onderneming van Licentienemer wijzigt. Today IT is wegens dergelijke beëindigingen niet verplicht tot terugbetaling van al ontvangen gelden of tot betaling van schadevergoeding. Bij faillissement van Licentienemer vervalt het recht tot gebruik van aan Licentienemer ter beschikking gestelde Software van rechtswege en zal Licentienemer dan wel de curator de Software, gebruikersdocumentatie en andere materialen aan Today IT retourneren (zie artikel 6.1 van deze Algemene Bepalingen). Artikel 12 AANSPRAKELIJKHEID 12.1 De totale aansprakelijkheid van Today IT wegens een toerekenbare tekortkoming in de nakoming van een Overeenkomst of uit enige andere hoofde, is beperkt tot vergoeding van directe schade tot maximaal het bedrag van de voor die Overeenkomst bedongen prijs (excl. Article 11 DISSOLUTION AND TERMINATION 11.1 Today IT and Licensee are both entitled to dissolve an Agreement due to an attributable shortcoming in the fulfillment of an Agreement if the other party upon written notice and a reasonable period for remedying being provided, still fails to meet essential obligations of the Agreement. Payment obligations of Licensee and all other obligations to cooperate by Licensee or a third party engaged by Licensee shall be construed as essential obligation under the Agreement Today IT and Licensee are both entitled to terminate an Agreement, wholly or in part, with immediate effect without a notice of default being required if: - the other party is granted suspension; - bankruptcy is requested for the other party; - the company of the other party is being liquidated or terminated other than for reason of reorganization or merger; - there is a change of control in the company of Licensee. In case of such termination Today IT is not obliged to reimburse any amounts already received or to pay damages. When Licensee is declared bankrupt the right of Licensee to use the Software lapses by operation of law and Licensee or the administrator or receiver will return the Software, user documentation and other materials to Today IT (article 6.1 of these General Terms & Conditions applies). Article 12 LIABILITY 12.1 The total liability of Today IT due to a attributable shortcoming in the fulfillment of an Agreement or due to any other ground, is limited to direct damage up to maximum the price agreed for said Agreement (exclusive of VAT). versie / version

Als de Overeenkomst hoofdzakelijk een duurovereenkomst is met een looptijd van meer dan 1 (één) jaar, wordt de voor de Overeenkomst bedongen prijs vastgesteld op het totaal van de vergoedingen (excl. BTW) bedongen voor 1 (één) jaar. In geen geval zal de totale aansprakelijkheid van Today IT voor directe schade, uit welke hoofde dan ook, meer bedragen dan EUR (vijfhonderd duizend Euro) De aansprakelijkheid van Today IT voor schade door dood, lichamelijk letsel of wegens materiële beschadiging van zaken bedraagt maximaal (één miljoen Euro) per schadetoebrengende gebeurtenis per jaar. Een reeks van samenhangende gebeurtenissen geldt als één gebeurtenis De aansprakelijkheid van Today IT voor indirecte schade, gevolgschade, gederfde winst, gemiste besparingen, verminderde goodwill, schade door bedrijfsstagnatie, schade als gevolg van het niet voldoen aan de Systeemeisen, schade als gevolg van aanspraken van afnemers van Licentienemer, schade verband houdende met het gebruik van door Licentienemer aan Today IT voorgeschreven zaken, materialen of software van derden, schade verband houdende met de inschakeling van door Licentienemer aan Today IT voorgeschreven toeleveranciers, verminking of verlies van gegevens en documenten is uitgesloten. In enkele landen en/of staten en rechtsgebieden is het niet toegestaan bijzondere, indirecte, bijkomende of gevolgschade uit te sluiten of te beperken, zodat de bovengenoemde beperkingen en uitsluitingen wellicht niet op alle Licentienemers van toepassing zijn. Dan zal de aansprakelijkheid van Today IT beperkt zijn tot het door de wet toegestane maximum De in artikel 12.1, 12.2 en 12.3 bedoelde uitsluitingen en beperkingen komen te vervallen indien en voor zover de schade het gevolg is van opzet of bewuste roekeloosheid Tenzij nakoming door Today IT blijvend onmogelijk is, ontstaat de aansprakelijkheid van Today IT wegens toerekenbare tekortkoming in de nakoming van een Overeenkomst alleen als Licentienemer Today IT onmiddellijk schriftelijk in gebreke stelt, waarbij een redelijke termijn ter zuivering van de tekortkoming wordt gegeven, en Today IT ook na die termijn toerekenbaar tekort blijft schieten in de nakoming van haar verplichtingen. De ingebrekestelling dient een zo volledig en gedetailleerd mogelijke omschrijving van de tekortkoming te bevatten, zodat Today IT in staat is adequaat te reageren. If the Agreement is primarily a continuing performance agreement with a term longer than 1 (one) year, the price agreed for the Agreement will be the total of the fees (exclusive of VAT) of 1 (one) year. In no event the total liability of Today IT for direct damage, on whatever ground, will exceed EUR 500,000 (five hundred thousand Euros) The liability of Today IT for damage for death or physical injury or for material property damage shall not exceed EUR 1,000,000 (one million Euros) per damage causing event per year. A series of related events is considered a single incident Today IT is never liable for indirect damage, consequential damage, lost profits, missed savings, reduced goodwill, damage resulting from operational stagnation, damage resulting from Licensee not complying with the System Requirements, damage resulting from claims by Licensee s clients, damage associated with the use of third-party items, materials or software prescribed to Today IT by Licensee, damage associated with the deployment of suppliers prescribed to Today IT by Licensee, corruption or loss of data and documentation. Some countries and/or states and jurisdictions do not allow the exclusion or limitation of special, indirect, incidental or consequential damage, so the above limitation and exclusion may not apply to all Licensees. In that case the liability of Today IT is limited to the maximum extent possible by law The exclusions and limitations set out in articles 12.1, 12.2 and 12.3 do not apply in case and to the extent that the damage is resulting from an intentional act or omission, willful misconduct or gross negligence Unless fulfillment of an obligation is permanently impossible, liability on the part of Today IT with regard to attributable shortcomings in the fulfillment of an Agreement with Licensee will in any case only exist if Licensee serves Today IT immediately with proper notice of default, whereby a reasonable period must be given for Today IT to remedy the breach, and Today IT remains in breach of its obligations even after this period. The notice of default must contain the most complete and detailed description of the breach possible, allowing Today IT to respond adequately. versie / version

20 12.6 Voorwaarde voor het ontstaan van enig recht op schadevergoeding is steeds dat Licentienemer de schade zo spoedig mogelijk na het ontstaan daarvan schriftelijk bij Today IT meldt. Iedere vordering tot schadevergoeding tegen Today IT vervalt door het enkele verloop van 12 (twaalf) maanden nadat de schade zich heeft geopenbaard Licentienemer vrijwaart Today IT voor aanspraken van derden, medewerkers van Licentienemer daaronder begrepen, die in verband met de uitvoering van een Overeenkomst schade lijden welke het gevolg is van het handelen of het nalaten van Licentienemer of van onveilige situaties in diens organisatie. Artikel 13 UITSLUITING Behalve dat wat uitdrukkelijk in de Overeenkomst is opgenomen, geeft Today IT geen andere of nadere garanties, toezeggingen of voorwaarden met betrekking tot de aan Licentienemer geleverde Software, gebruikersdocumentatie, materialen of diensten en Today IT wijst hierbij af alle andere garanties, toezeggingen, of voorwaarden, hetzij expliciet, impliciet of krachtens de wet (met inbegrip van maar niet beperkt tot garanties of voorwaarden met betrekking tot verkoopbaarheid, het geen inbreuk maken op andere rechten of geschiktheid voor een bepaald doel of voortvloeiend uit een gebruik of handelsgebruik) met betrekking tot de Software, gebruikersdocumentatie, materialen en diensten. In enkele landen en/of staten en rechtsgebieden is het niet toegestaan dat impliciete garanties uitgesloten worden; daarom is de bovenstaande uitsluiting niet op alle Licentienemers van toepassing. In die gevallen gelden de minimale door de toepasselijke wet voorgeschreven garanties. De in de Overeenkomsten opgenomen garantiebepalingen geven Licentienemer bepaalde rechten; Licentienemer KAN ook andere rechten hebben, die van staat tot staat of van rechtsgebied tot rechtsgebied verschillen. Artikel 14 OVERMACHT 14.1 Geen van partijen is gehouden tot het nakomen van een verplichting, daaronder begrepen enige tussen partijen overeengekomen garantieverplichting, als hij daartoe is verhinderd als gevolg van overmacht. Onder overmacht wordt onder andere verstaan: - overmacht van toeleveranciers Today IT; - overheidsmaatregelen; - elektriciteitsstoring; - storing van internet, computernetwerk of telecommunicatiefaciliteiten; 12.6 A claim for compensation cannot be considered unless written notice of the loss has been given to Today IT as soon as possible after it occurs. Any claim for compensation against Today IT expires by the mere lapse of time 12 (twelve) months after the damage has manifested itself Licensee indemnifies Today IT against claims from third parties, employees of Licensee included, who suffer damage in connection with the execution of an Agreement which is the result of actions or omissions of Licensee or of unsafe situations in its organization. Article 13 EXCLUSION/ DISCLAIMER With the exception of provisions that have been expressly included in the Agreement, Today IT does not make any other or further guarantees, promises or conditions in respect of the Software, user documentation, materials or services supplied to Licensee, and Today IT hereby rejects all other guarantees, promises or conditions, either explicit, implicit or in pursuant the law (including but not limited to guarantees or conditions relating to salability, noninfringement of other rights or suitability for a specific purpose or resulting from a specific use or commercial use) in respect of the Software, user documentation, materials and services. Some countries and/or states and jurisdictions do not allow the exclusion of implied warranties; thus, the above exclusion may not apply to all Licensees. In that case the minimum warranties as prescribed by the applicable law apply. The warranties contained in the Agreements give Licensee specific legal rights, and Licensee MAY also have other rights, which vary from state to state or jurisdiction to jurisdiction. Article 14 FORCE MAJEURE 14.1 Neither party is obliged to comply with an obligation, including any agreed warranty obligation, if such compliance is prevented by a situation of force majeure. Force majeure includes amongst other things: - force majeure of suppliers of Today IT; - government actions; - disruption of electricity; - disruption of internet, computer network or telecommunication connections; versie / version
